ORDER MINIMUM: Deliveries below $300 dollar order minimum will incur a $25 delivery fee.
ORDERING CUT OFF: Orders received after 12:00pm on weekdays and during the weekend will be processed the following business day. For urgent requests while your sales rep is unavailable, please email info@genjisake.com for assistance.
CONFIRMING DELIVERY: Invoices must be checked by staff and signed for upon receipt of orders. Returns are only permitted at the time of delivery. Once the driver has left the building with a signed invoice, we cannot guarantee changes to the invoice or merchandise (returns, replacements, billing adjustments).
TERMS AND CONDITIONS:
For the purpose of purchasing merchandise on credit, the information provided is warranted to be true. The undersigned also warrants that he/she is the owner or authorized agent of the purchasing entity and has the authority to enter into a legal contract. The applicant hereby authorizes the credit department of Minamoto Spirits, LLC, its subsidiaries and affiliates, to investigate any references or correspondents of the past, present and future in regards to the undersigned's credit and financial responsibility. On approved credit, applicant/licensee agrees to pay all invoices in accordance with the laws of the state of Texas. In accordance with the law, a late charge, to the fullest extent the state allows, will be levied on all late payments. Minamoto Spirits, LLC, its subsidiaries and affiliates, may put the purchaser on a C.O.D. basis.
Genji Sake is not required to provide credit to the applicant, may change the terms of credit at any time without notice, and may require payment in cash at its sole discretion. All sales are subject to the terms of our invoices, to which the applicant agrees regardless of the terms of any purchase order. The applicant/licensee further agrees to pay any costs and/or attorneys' fees that are incurred for the collection of any invoice that is past due whether or not a suit is instituted.

I have read the above and understand that I am required by state credit law to remit payment by the due date established by TABC terms. If I fail to remit payment by the due date, I understand that the monies due must be remitted in certified funds, as dictated by state credit law. If I fail to remit payment before the state's list effective date for the delivery period of the outstanding invoice, I understand that Minamoto Spirits LLC is required by credit law to report me to the state as delinquent.*

Letter of Guaranty
FOR GOOD CONSIDERATION, and as an inducement for Minamoto Spirits, LLC dba Genji Sake ("Creditor"), from time to time to extend credit to the above applicant ("Customer"), it is hereby agreed that the undersigned does hereby guaranty to Creditor the prompt, punctual and full payment of all monies now or hereinafter due Creditor from Customer. Until termination, this guaranty is unlimited as to amount or duration and shall remain in full force and effect notwithstanding an extension, comprise, adjustment, forbearance, waiver, release or discharge of any party obligor or guarantor, or release in whole or in party of any security granted for said indebtedness or compromise or adjustment thereto, and the undersigned waives all notices thereto. The obligations of the undersigned shall at the election of Creditor be primary and not necessarily secondary and Creditor shall not be required to exhaust its remedies as against Customer prior to enforcing its rights under this guaranty against the undersigned. The guaranty hereunder shall be unconditional and absolute and the undersigned waived all rights of subrogation and set-off until all sums due under this guaranty are fully paid. The undersigned further waives all suretyship defenses in the nature thereof, generally. In the event payments due under this guarantor to this guaranty, the obligations shall be joint and several and binding up and inure to the benefits of the parties, their successors, assigns, and personal representatives. This guaranty may be terminated by any guarantor upon thirty (30) days written notice of termination, mailed certified mail, return receipt requested to the Creditor. Such termination shall extend only to credit beyond said thirty (30) day period and not to prior extended credit, or goods in transit received by Customer beyond said date, or for special orders placed prior to said date notwithstanding date of delivery. Termination of this guaranty by any guarantor shall not impair the continuing guaranty of any remaining guarantor of said termination. Each of the undersigned warrants and represents it has full authority to enter into this guaranty. If a corporation, the undersigned personally guarantees the payment of this account in his or her individual capacity. This guaranty shall be construed and enforced under the laws of the State of Texas without giving effect to any choice or conflict of law provision or rule (whether of the State of Texas or any other jurisdiction) that would cause the application of laws of any jurisdiction other than those of the State of Texas, and the undersigned hereby consents to the exclusive jurisdiction and venue of the federal or state courts sitting in Travis County.
