Tier 0 - Listed Partners - No Fee - MOU Terms

BOUKEN CAPITAL · CHIMERA COMMUNITY&#13;&#10;Chimera Partner MOU - Tier 0 (Listed Partner)&#13;&#10;&#13;&#10;This Partnership Memorandum of Understanding (“MOU”) is entered into by and between Bouken Capital, operating the Chimera Community (“Bouken”), and the signing partner (“Partner”).&#13;&#10;&#13;&#10;Recitals&#13;&#10;Bouken builds and convenes the Chimera Community of founders, operators, and investors, and maintains a curated roster of partners and a Founder Perks Vault.&#13;&#10;&#13;&#10;The Partner provides complementary activities to Bouken’s ecosystem.&#13;&#10;The Parties wish to establish a partnership to integrate the Partner into the Founder Perks Vault.&#13;&#10;&#13;&#10;1. Purpose & Immediate Activation&#13;&#10;This MOU activates a "Tier 0 (Listed)" partnership framework immediately upon execution. In exchange for the Partner providing a founder-facing discount or perk, Bouken grants the Partner visibility and placement within the Founder Perks Vault. There is no listing fee required for this engagement.&#13;&#10;&#13;&#10;2. Founder Perks Vault&#13;&#10;As the core of this partnership, the Partner provides a specific discount or perk tailored for founders, which Bouken lists in the Founder Perks Vault. Bouken provides the Partner placement, a partner widget/page, and visibility in the Vault and roster. Bouken may share anonymized, aggregate redemption insight with the Partner; neither Party will attempt to re-identify individuals.&#13;&#10;&#13;&#10;3. Branding & Marketing Rights&#13;&#10;Bouken may feature the partnership and use the Partner’s name and logo in standard outreach and marketing without per-instance approval, and will provide visibility of materials on request. Reciprocally, the Partner may reference Bouken in approved, client-facing materials. Neither Party may imply an investment guarantee or fund endorsement on behalf of the other.&#13;&#10;&#13;&#10;4. Confidentiality [BINDING]&#13;&#10;Each Party will keep confidential the other’s non-public information and will not disclose it without prior written consent, except as required by law. This clause survives termination for three (3) years and is enforceable on execution.&#13;&#10;&#13;&#10;5. Non-Circumvention & Non-Solicitation [BINDING]&#13;&#10;Partner will not bypass Bouken to engage a relationship introduced through this MOU in a manner that circumvents the partnership or causes the other Party revenue loss. During the Term and for twenty-four (24) months after termination, Partner will not solicit, recruit, or hire Bouken’s employees or material subcontractors without prior written consent. This clause is binding and survives termination.&#13;&#10;&#13;&#10;6. Intellectual Property&#13;&#10;Each Party retains sole ownership of its pre-existing intellectual property, frameworks, templates, and methodologies.&#13;&#10;&#13;&#10;7. Indemnification [BINDING]&#13;&#10;The Partner agrees to indemnify, defend, and hold harmless Bouken Capital, the Chimera Community, and its affiliates from and against any and all claims, damages, liabilities, losses, and expenses arising out of or related to the Partner’s products, services, or perks. While Bouken carefully curates its ecosystem and will make reasonable, good-faith efforts to help bridge any communication gaps should founder issues arise, Bouken acts strictly as a connector. Bouken does not control the Partner’s ongoing product development, quality, or roadmap, and assumes no legal liability whatsoever for the Partner’s product execution, service failures, or any subsequent legal or commercial disputes between the Partner and founders, end-users, or other third parties.&#13;&#10;&#13;&#10;8. Term & Nature&#13;&#10;This MOU begins on the date of signature and runs for 12 months, renewing automatically unless either Party gives thirty (30) days’ written notice. It is non-binding except for Clauses 4, 5, and 7, which are enforceable on execution. The Parties are independent; this MOU creates no agency, joint venture, or employment relationship. Clauses 4, 5, 6, and 7 survive termination.&#13;&#10;&#13;&#10;9. Governing Law&#13;&#10;This MOU is governed by the laws of Delaware. Any amendment must be in writing. This MOU constitutes the entire understanding between the Parties on its subject matter.&#13;&#10;By signing below, the Partner acknowledges they have read, understood, and agree to this Tier 0 Memorandum of Understanding.
