Service Agreement
By signing this agreement you confirm your selection of the Ronin Management™ Shopify AI Visibility Sprint and agree to the terms set out below. This agreement is governed by the laws of Singapore and is binding upon completion of your electronic signature.
- Ronin Management™ provides AI Visibility and Authority services. This agreement covers the Shopify AI Visibility Sprint, a productised engagement designed to improve how AI systems interpret, trust, and reference your brand.
- The Shopify AI Visibility Sprint is a fixed 90-day engagement, delivered over three monthly payments of USD $2,500 each. A one-off setup fee of USD $1,500 is invoiced separately and is payable before work begins.
- The engagement includes the deliverables listed on our website or proposal at the time of purchase, delivered across the 90-day sprint.
- This payment represents the first of three monthly payments. All three monthly payments are payable in full as part of the fixed 90-day engagement.
- Services begin upon receipt of the setup fee and first monthly payment, and completion of required onboarding documentation.
- Payments, including the setup fee, are non-refundable once work has commenced.
- The three-month commitment applies from the date of the first monthly payment. Cancellation before the end of the 90-day sprint does not relieve the client of the remaining scheduled payments.
- All intellectual property, frameworks, documents, and internal processes remain the property of Ronin Management™ until all payments have been cleared. Upon full payment, all client-specific deliverables become the property of the client.
- Clients agree to provide necessary access including website login, analytics, content files, DNS or CMS access to allow completion of deliverables.
- You authorise Ronin Management™ to create, publish, or edit technical assets such as llms.txt files, schema markup, Knowledge Graph entries, metadata formatting, and other visibility assets as required for your program.
- Any continuation of services beyond the 90-day sprint is optional, scoped separately, and agreed in writing. There is no automatic renewal.
- Ronin Management™ does not guarantee specific rankings, traffic levels, AI citations, visibility increases, Knowledge Graph inclusion, or growth in enquiries, revenue, or conversions.
- Search engines and AI platforms including Google, OpenAI, Anthropic, Perplexity, and Meta may update their systems at any time. These updates may affect website visibility, rankings, or AI-generated responses. You agree that Ronin Management™ is not responsible for such changes.
- Past performance does not guarantee future results. All outcomes vary depending on competitors, industry conditions, algorithm updates, client input, and market forces.
- Ronin Management™ shall not be liable for indirect, incidental, or consequential damages, including loss of revenue, profits, opportunities, or data.
- Client agrees to indemnify and hold harmless Ronin Management™ from claims arising from content, data, or technical access provided by the client.
- Maximum liability for any claim is limited to the total fees paid by the client in the six months preceding the event giving rise to the claim.
- You agree to respond to communication, provide required information promptly, and review deliverables in a timely manner.
- Delays in client communication or access may extend timelines. This does not adjust billing cycles.
- You are responsible for maintaining your own hosting, website security, CMS stability, and backend environment.
