  • These conditions incorporate the Safety Depot Terms of Trade: safetydepot.co.nz/terms-of-trade
  • 1. Application for Credit

  • I/We, being a duly authorised director, partner, trustee, owner or employee of the named applicant, apply for a credit account with NZ Imports 2025 Limited trading as Safety Depot Packaging & Hygiene ("Safety Depot"). By signing or submitting this application, I'we accept and agree to be bound by the conditions on this form and by the Safety Depot Terms of Trade published at safetydepot.co.nz/terms-of-trade, which form part of this application. If there is any conflict, the Terms of Trade prevail.
  • 10. Delivery Charges

  • The applicant is responsible for freight and delivery charges, which are calculated at checkout or quoted at the time of order and clearly communicated before purchase. Safety Depot may amend shipping charges at any time before an order is accepted.
  • 11. Delivery Address

  • The applicant is responsible for providing the correct delivery address and any required delivery instructions. Safety Depot is not liable for delays or non-delivery due to inaccurate or incomplete delivery information, and re-delivery costs are payable by the applicant.
  • 2. Authorisation for Credit Check

  • I/We authorise Safety Depot to obtain information about the applicant and each guarantor from, and disclose information to, any third party, including trade referees, banks and credit reporting agencies such as Centrix, Equifax or illion, for the purposes of assessing this application, managing the account and recovering amounts owing. Credit information may be held by a credit reporting agency and disclosed to its other subscribers for credit checking and debt recovery purposes.
  • 12. Inspection Upon Delivery

  • The applicant must inspect goods on delivery and notify Safety Depot in writing of any damage, shortage or incorrect items within 7 days of receipt. Failure to report discrepancies in time may limit the applicant's ability to return goods or claim, as set out in clause 13 of the Terms of Trade.
  • 13. No Returns on Medical/Food-Grade Products

  • For health, safety and regulatory reasons, Safety Depot does not accept change of mind returns on medical-grade or food-grade products, or on hygiene-critical goods such as disposable gloves, masks, first aid consumables and food packaging, once dispatched. This does not affect rights where goods are faulty or not as described.
  • 3. Payment Terms

  • I/We agree to pay for all goods purchased in full on or before the 20th day of the month following the date of invoice. Failure to pay by the due date may result in suspension or termination of credit, default interest at 2% per month or part month on overdue amounts, and recovery of all collection costs, including debt collection commission and legal costs, as set out in clause 10 of the Terms of Trade.
  • 14. Back Orders

  • Items out of stock at the time of processing will be placed on back order and the applicant will be notified of expected timing. If an item remains on back order for an extended period, the applicant may cancel the back-ordered item or wait for supply. Safety Depot is not responsible for delays caused by shipping, supplier or production delays.
  • 4. Retention of Title and PPSA

  • Ownership of goods remains with Safety Depot until payment in full of all amounts owing on any account, regardless of delivery or possession. These conditions create a security interest in all goods supplied and their proceeds, and Safety Depot may register a financing statement under the Personal Property Securities Act 1999. If payment is not made as agreed, Safety Depot may repossess unpaid goods goods at the applicant's expense, as set out in clauses 11 and 12 of the Terms of Trade.
  • 15. Business Customers

  • The applicant confirms it is acquiring goods for the purposes of a business. The parties agree that the Consumer Guarantees Act 1993 does not apply, and contract out of sections 9, 12A, 13 and 14(1) of the Fair Trading Act 1986, in each case as set out in clause 17 of the Terms of Trade and to the extent permitted by law.
  • 5. Personal Guarantee

  • Where the applicant is a company, trust, partnership or other entity, each person who signs or submits this application as, or on behalf of, a director, shareholder, owner, partner or trustee of the applicant personally guarantees payment of all amounts the applicant owes Safety Depot, and indemnifies Safety Depot against loss arising from the applicant's default, on the terms in clause 20 of the Terms of Trade. Guarantors are liable jointly and severally. Safety Depot may require additional owners, directors or trustees to sign a separate guarantee as a condition of credit.
  • 16. Amendments and Termination

  • Safety Depot may amend the Terms of Trade as set out in clause 26 of those Terms, with the current version published on the website. Either party may close the account by written notice, but the applicant remains liable for all outstanding amounts, and the guarantee continues until all amounts are paid in full.
  • 6. Indemnity and Liability

  • The applicant indemnifies Safety Depot against any losses, costs or damages arising from any breach of these conditions or the Terms of Trade, including the costs of recovering outstanding payments. Safety Depot's liability is limited as set out in clause 19 of the Terms of Trade.
  • 17. Acknowledgement and Acceptance

  • By signing below, I/we confirm that the information provided is true, correct and complete, that I/we have read, understood and accepted these conditions and the Safety Depot Terms of Trade, and that each signatory who is a director, shareholder, owner, partner or trustee of the applicant gives the personal guarantee in condition 5.
  • 7. Default

  • If payment is not received by the due date, Safety Depot may place the account on stop credit until payment is made, require all amounts owing to become immediately due and payable, and take legal action to recover the debt.
  • 8. Communication

  • By completing this form, I/we consent to receive all communications, invoices, statements and notices electronically or by mail in relation to the account and these credit terms.
  • 9. Shipping and Delivery

  • Safety Depot is an online supplier and does not offer collection or pickup. Delivery is NZ-wide through our supplier networks. Delivery times are estimates only and may vary with availability, location and factors outside Safety Depor's control. Safety Depot will make reasonable efforts to deliver within estimated timeframes. but cannot guarantee specific delivery dates.
  • Background checks, including credit and referee checks, provide us with data on the ability of the applicant to settle accounts on time, an indication of the trading history of the applicant entity, time the referee has dealt with the applicant, and the type of relationship with the applicant.
  • 10. Online Terms & Conditions

  • Changes to these terms. The full Safety Depot Terms of Trade are published at safetydepot.co.nz/terms-of-trade and may be updated by us at any time, with the current version always available online. The terms that apply to each order are those published at the date the order is placed. By signing this application, I/we agree that Safety Depot may amend the Terms of Trade in this way and that continued use of the account after a change takes effect is acceptance of the amended terms.
