• UNTAP'D 2nd Saturdays Vendor Participation Agreement

  • For General Vendors, Artists, Makers, Beverage Vendors, and Food Vendors Where Applicable
  • 1. Event Participation

  • This Vendor Participation Agreement ("Agreement") is entered into by and between Magnum Opus Studio / UNTAP'D Community Arts Series ("Organizer") and the participating vendor ("Vendor") for participation in UNTAP'D 2nd Saturdays, a community arts series hosted in Jersey City, New Jersey. Vendor has been approved to participate in one or more UNTAP'D 2nd Saturdays event dates as confirmed in writing by Organizer. Event Name: UNTAP'D 2nd Saturdays
  • Location: 86 Forrest Street, Jersey City, NJ 07304 and surrounding approved event area

  • Participation is not fully confirmed until Vendor has completed all required documentation, payments, permits, licenses, insurance requirements, and any other approvals requested by Organizer or the City of Jersey City.
  • 2. Term of Agreement

  • This Agreement begins on the date signed by Vendor and remains in effect through the completion of Vendor's approved event date(s), including setup, event participation, breakdown, cleanup, and any post-event obligations.
  • 3. License, Not Lease

  • This Agreement grants Vendor a limited, temporary license to participate in the approved event and occupy an assigned vendor space during the event. This Agreement does not create a lease, tenancy, ownership interest, property right, or exclusive right to any portion of the event site. Vendor's assigned space may not be transferred, assigned, shared, subleased, or used by another business, person, or organization without prior written approval from Organizer.
  • 4. Vendor Fee

  • Vendor agrees to pay the vendor participation fee, if applicable, by the deadline provided by Organizer.

    1 event date: $75
    3 event dates: $180
    All 5 event dates: $250

  • Payment Due Date: 15 days before the first approved event date
  • Vendor fees are based on the approved number of event dates selected and are non-refundable unless Organizer cancels the event and does not offer a rescheduled date or credit. Failure to pay by the deadline may result in loss of vendor placement or removal from the approved vendor list.
  • 5. Approved Products, Services, and Merchandise

  • Vendor may only sell, display, distribute, sample, or promote the products, services, food, beverages, merchandise, or materials disclosed in Vendor's application and approved by Organizer. Organizer reserves the right to approve or deny any product, service, menu item, display, signage, sample, promotional material, or activity before or during the event. Vendor may not add new products, services, food items, beverages, merchandise, or promotional activities without prior approval.
  • 6. Vendor Space and Setup

    Please read carefully
  • Vendor will be assigned a designated vendor space by Organizer. Vendor may not move, expand, alter, or change the assigned space without written approval.

    • Displays, racks, shelves, signage, or easels
    • Inventory
    • Payment system
    • Packaging and bags
    • Extension cords, if power has been approved
    • Lighting, if approved
    • Trash bags and basic cleaning supplies
  • Vendor must keep all displays, inventory, signage, and equipment within their assigned area and must not block sidewalks, exits, entrances, emergency access, pedestrian pathways, streets, barricades, neighboring vendor spaces, or public access areas.
  • 7. Signage and Display Standards

  • Vendor is responsible for maintaining a clean, professional, safe, and visually appropriate display. Organizer reserves the right to require Vendor to remove, adjust, or relocate any signage, banner, display, sound device, lighting, or promotional material that is unsafe, disruptive, misleading, unauthorized, or inconsistent with event standards.
  • 8. Arrival, Load-In, and Breakdown

  • Vendor agrees to follow all arrival, load-in, setup, breakdown, and parking instructions provided by Organizer. Vendor must be fully set up before the event begins and must remain open for the full event unless otherwise approved. Late arrival may result in loss of assigned placement or denial of participation.
  • 9. Permits, Licenses, and Documentation

  • Vendor is responsible for obtaining, maintaining, and providing all permits, licenses, registrations, approvals, and documentation required for Vendor's business, products, services, and event participation.

    • Any additional permits or approvals required by the City of Jersey City
  • Vendor must provide copies of required documentation upon request. Vendor may also be required to visibly display permits, licenses, or approvals at the event if required by law, the City, or Organizer.
  • 10. Food and Beverage Vendors

  • This section applies only to Vendors serving food, beverages, samples, or any items for consumption. Food and beverage Vendors must comply with all applicable health, safety, fire, insurance, sanitation, and City requirements.

  • [] Vendor will follow all food handling, storage, sanitation, labeling, and disposal requirements.
  • [] Beverage service is non-alcoholic unless otherwise approved in writing.
  • [] Vendor may not sell or distribute alcoholic beverages unless all required approvals, permits, licenses, and written permissions have been obtained. Organizer reserves the right to remove or restrict any food or beverage service that has not been properly disclosed, approved, documented, or permitted.
  • 11. Prohibited Items and Activities

  • Vendor may not sell, display, distribute, or engage in any activity that violates applicable law, event rules, permit requirements, or Organizer standards.
    • Unauthorized food or beverage service
    • Open flames without approval
    • On-site cooking without approval
    • Alcohol without approval
    • Illegal substances
    • Weapons
    • Counterfeit goods
    • Unsafe displays
    • Unapproved amplified sound
    • Offensive, discriminatory, or harmful materials
    • Blocking exits, streets, emergency access, or public pathways
    • Unauthorized use of another vendor's assigned space
    • Unauthorized solicitation outside Vendor's approved area
  • 12. Sales, Payments, and Taxes

  • Vendor is solely responsible for all sales transactions, pricing, payment processing, customer service, refunds, taxes, and business records related to Vendor's sales. Organizer is not responsible for Vendor sales, lost revenue, payment disputes, customer claims, chargebacks, unpaid balances, or customer complaints. Vendor is responsible for collecting and remitting any applicable sales tax.
  • 13. Safety and Conduct

  • Vendor agrees to conduct themselves professionally and respectfully at all times.
    • Maintain a clean and safe vendor area
    • Secure tents, displays, cords, signage, and equipment
    • Follow event staff instructions
    • Comply with safety and emergency procedures
    • Treat guests, staff, vendors, artists, and community members respectfully
    • Avoid disruptive behavior
    • Report any issues to Organizer immediately
  • Organizer reserves the right to remove Vendor from the event for unsafe, disruptive, unprofessional, or non-compliant behavior.
  • 14. Equipment, Property, and Risk of Loss

  • Vendor is solely responsible for Vendor's property, equipment, inventory, vehicles, displays, materials, supplies, technology, products, cash, and personal belongings. Organizer is not responsible for loss, theft, damage, destruction, or disappearance of Vendor property before, during, or after the event. Vendor agrees that participation is at Vendor's own risk.
  • 15. Trash, Cleanup, and Waste

  • Vendor is responsible for keeping their assigned area clean during the event and removing all trash, boxes, packaging, products, displays, equipment, and personal items at the end of the event. Food and beverage Vendors are responsible for
  • properly disposing of food waste, liquids, grease, packaging, and service-related trash according to applicable requirements. Failure to clean up properly may result in additional cleanup fees and may impact future participation.
  • 16. Weather, Cancellation, Force Majeure, and Event Changes

  • UNTAP'D 2nd Saturdays may be impacted by weather, safety concerns, City requirements, permit changes, public emergencies, acts of God, government restrictions, emergencies, or other circumstances beyond Organizer's control. Organizer reserves the right to modify, postpone, relocate, reschedule, shorten, or cancel the event as needed. Vendor understands that Organizer makes no guarantee regarding attendance, weather, crowd size, vendor sales, revenue, visibility, customer traffic, or business results. Organizer will not be responsible for incidental, indirect, consequential, special, punitive, or lost-profit damages.
  • 17. Insurance and Liability

  • Vendor may be required to provide a Certificate of Insurance naming required parties as additional insured, depending on Vendor type, City requirements, and event requirements. If required, Vendor must provide insurance documentation by the deadline provided by Organizer.

    • Product liability
    • Completed operations coverage
    • Contractual liability
    • Liquor liability, if alcohol is ever approved
    • Automobile liability, if vehicles are part of Vendor operations
    • Workers' compensation, if required by law
    Vendor agrees to hold harmless, indemnify, and defend Organizer, Magnum Opus Studio, its owners, staff, partners, contractors, sponsors, volunteers, grant partners, affiliates, representatives, and any required City or property-related parties from any claims, losses, damages, liabilities, fines, penalties, injuries, costs, expenses, attorney's fees, or causes of action arising out of or related to Vendor's participation, products, services, setup, operations, negligence, non-compliance, failure to obtain required approvals, failure to display required permits, or breach of this Agreement.
  • 18. Default and Removal

  • The following may constitute a default or violation of this Agreement: failure to pay required fees; selling or displaying unapproved items; failure to provide required permits, licenses, insurance, or documentation; unsafe setup or operations; unauthorized use of open flame, cooking equipment, generators, fuel, or alcohol; disruptive conduct; leaving trash or equipment behind; or sharing assigned space without approval. If Vendor is in default or violation, Organizer may remove Vendor from the event, deny future participation, retain vendor fees, and pursue any additional remedies available under law or this Agreement.
  • 19. Media Release and Promotion

  • Vendor grants Organizer permission to photograph, film, record, and use Vendor's name, likeness, business name, products, display, and participation for event promotion, marketing, website, social media, grant reporting, documentation, and archival purposes. Vendor confirms they have the right to provide any logo, image, product photo, or promotional material submitted to Organizer.
  • 20. Compliance With Event Rules

  • Vendor agrees to follow all written and verbal instructions provided by Organizer, event staff, City officials, police, fire, health department representatives, property representatives, or other authorized personnel. Failure to comply may result in removal from the event and/or denial of future participation.
  • 21. Notices

  • Any notices related to this Agreement may be provided in person, by email, or by other written communication using the contact information provided by Vendor. Vendor is responsible for providing accurate and current contact information.
  • 22. Governing Law

  • This Agreement shall be governed by and interpreted under the laws of the State of New Jersey.
  • 23. Entire Agreement and Modification

  • This Agreement, together with any written event confirmation, vendor checklist, permit requirements, site map, invoice, or event rules provided by Organizer, represents the full agreement between Organizer and Vendor regarding Vendor's participation. Any changes must be made in writing and approved by Organizer.
  • 24. Severability

  • If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions will remain in effect.
  • 25. Waiver

  • Organizer's failure to enforce any provision of this Agreement does not waive Organizer's right to enforce that provision or any other provision later.
  • 26. Agreement Acknowledgment

  • By signing below, Vendor confirms that they have read, understood, and agree to comply with this Agreement and all UNTAP'D 2nd Saturdays vendor requirements. Vendor also certifies that Vendor has provided or will provide an accurate list of products, services, food items, beverages, or merchandise Vendor intends to present, sell, sample, or distribute at the event.
