  • ENGAGEMENT LETTER

  • Franchise Relationship Reality CheckSM & High-Level Recommendation Report
  • This Engagement Letter ("Agreement") is entered into between WorkHero, Inc. ("Consultant") and the undersigned organization ("Client").
  • Consultant will provide Client with the Franchise Relationship Reality CheckSM ("FRRC") and a High-Level Recommendation Report (collectively, the "Work Product").

  • 1. Scope of Services

  • Consultant will administer the Franchise Relationship Reality CheckSM and provide Client with a High-Level Recommendation Report summarizing key findings, areas of opportunity, and strategic recommendations related to franchise relationship health and overall system performance.
  • Delivery of the Work Product is contingent upon Client's completion of the Franchise Relationship Reality CheckSM survey and receipt of payment.

  • 2. Fee & Credit

  • The fee for this engagement is $500.00.
  • Should Client engage Consultant for a full ninety (90) day consulting engagement within thirty (30) days of delivery of the High-Level Recommendation Report, the full $500.00 fee shall be credited toward the first month of consulting services.

  • 3. Intellectual Property & Non-Circumvention

  • Client acknowledges that the Work Product contains proprietary methodologies, strategic frameworks, assessment tools, analyses, recommendations, visualizations, implementation milestones, and intellectual property developed exclusively by Consultant.
  • Client agrees that:
    • The Work Product is provided solely for Client's internal evaluation and planning purposes.
    • The Work Product shall not be distributed, shared, reproduced, disclosed, or provided to any third-party consultant, vendor, advisor, competitor, or service provider without Consultant's prior written consent.
    • Consultant retains all rights, title, and interest in and to the Franchise Relationship Reality CheckSM, the High-Level Recommendation Report, and all related methodologies, frameworks, processes, findings, and intellectual property.
    • For a period of eighteen (18) months following delivery of the Work Product, Client shall not engage a third party to implement the specific strategic recommendations, frameworks, implementation milestones, or initiatives outlined in the report without first offering Consultant the opportunity to provide such services.
  • Client further agrees that the Work Product may not be used, directly or indirectly, as a specification, roadmap, request for proposal (RFP), request for quote (RFQ), bidding document, implementation guide, or other procurement tool for obtaining services from another provider.
  • Any use of the Work Product, strategic frameworks, visualizations, findings, recommendations, or implementation milestones to solicit third-party bids or to execute work through an external provider shall constitute a material breach of this Agreement.
  • In the event of unauthorized use of the Work Product for third-party implementation, bidding, procurement, or competitive service acquisition, Client acknowledges and agrees that:

  • 1. Any previously offered $500 consulting credit shall be immediately forfeited; and
  • 2. Consultant shall be entitled to a Strategic Development Fee of Five Thousand Dollars ($5,000.00), representing
    the fair market value of the intellectual property, strategic development, proprietary methodologies, and strategic
    recommendations contained within the Work Product.
  • These remedies shall be in addition to any other rights or remedies available under applicable law.

  • 4. Confidentiality

  • Both parties agree to maintain the confidentiality of any non-public information exchanged during this engagement and
    to use such information solely for purposes related to the services described herein.
    Client further agrees to maintain the confidentiality of Consultant's proprietary methodologies, assessments, frameworks,
    recommendations, reports, and work product.

  • 5. Termination

  • This Agreement covers only the diagnostic and reporting phase described herein.
    Neither party shall be obligated to proceed with any additional consulting services beyond delivery of the Work Product.
    Any future consulting engagement shall be governed by a separate written agreement.

  • 6. Acceptance

  • By signing below, Client acknowledges that it has read, understood, and agrees to the terms of this Engagement Letter.
