Ethical Guidelines and Conditional Membership Agreement

Please review the full agreement below before signing.

1. The Partner agrees NOT to sell, barter, or exchange any Product with salvage brokers, jobbers, third-party vendors, liquidators/wholesalers, or the public, including in flea markets, thrift stores, discount outlets, online platforms, or any other for-profit context.

2. Product must be used solely to support the care of the ill, needy, or infants, and in a manner aligned with the Partner's exempt purpose.

3. When distributing Product directly to families and individuals in need, the Partner agrees to distribute in household quantities. The Partner may share Product with other 501(c)(3) organizations as sub-recipients, provided these organizations also distribute the Product solely to families and individuals in household quantities. In all cases, the Partner remains fully responsible for the use, distribution, and reporting of the Product. HTI reserves the right to require pre-approval for any sharing of Product with sub-recipients.

4. The Partner must comply with all HTI and primary donor restrictions and conditions, whether currently in effect or established in the future.

5. The Partner shall not return any Product to the original donor's physical or online retail store.

6. The Partner agrees not to solicit or advertise Product from HTI's donors or social media outlets.

7. The Partner will maintain adequate records of all Product received through HTI. These records should include details of donations and distributions, with relevant pictures for documentation when possible. This information should be available to HTI staff upon request to facilitate communication with our donors.

8. The Partner is not permitted to contact the original donor or any representative or affiliate of the donor's company. However, if the Partner had previously received donations from the original donor before establishing its relationship with HTI and disclosed this connection to HTI prior to receiving the Product donation, this restriction does not apply.

9. The Partner must ensure that no discrimination occurs in the distribution of Product based on national origin, race, creed, gender, religion, disability, or otherwise as may be prohibited by federal and state law.

Indemnification
The Partner agrees to indemnify, defend, and hold harmless HTI, its subsidiaries, affiliates, and their respective officers, directors, employees, agents, volunteers, and representatives from and against any and all claims, liabilities, losses, damages, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or related to the Partner's use, distribution, or handling of any Product received from HTI. This includes, but is not limited to, any claims resulting from the Partner's breach of this Agreement, misuse of the Product, or any negligent or wrongful acts or omissions by the Partner, its employees, agents, or representatives.

Partner Agreement Violations

HTI maintains a strict zero-tolerance policy for violations of this Agreement. All violations and complaints will be thoroughly investigated, and appropriate legal action, both criminal and civil, will be pursued if a Partner is found to be misusing donated Product in violation of this Agreement. HTI will fully cooperate with law enforcement and relevant agencies during the investigation. After carefully considering the evidence, HTI will decide whether to reinstate the Partner's privileges or terminate the partnership based on the investigation's findings.

Effective Date, Acceptance, Term, Amendments,

and Loss of 501(c)(3) Status

By signing this Application and Agreement, the Applicant acknowledges that it has read, understands, and agrees to comply with the Harvest Time International Ethical Guidelines and the Non-Profit Supply Center Membership Agreement if approved for membership.

This signed Application and Agreement does not constitute acceptance into the Harvest Time International Non-Profit Supply Center. This Agreement shall become effective only upon Harvest Time International's approval of the Application and the issuance of an official Non-Profit Supply Center Membership Number and Membership Card.

Until such approval is granted, Harvest Time International has no obligation to provide products or services to the Applicant and may approve or deny any Application in its sole discretion.

Approval of this Agreement and admission into the Non-Profit Supply Center do not guarantee the availability or receipt of any Products. Distribution of Products is based solely on donor availability, inventory levels, and Harvest Time International's operational requirements. Harvest Time International makes no representation or warranty that any specific Product, quantity, or category of Products will be available at any given time. All Product distributions are subject to applicable handling, processing, shipping, administrative, and other service fees, as determined by Harvest Time International.

Once effective, this Agreement shall remain in force until terminated by either the Partner or Harvest Time International. Harvest Time International reserves the right, in its sole discretion, to suspend or terminate a Partner's membership and this Agreement at any time, with or without prior notice, if it determines such action to be in the best interests of Harvest Time International, its donors, or the integrity of the Non-Profit Supply Center program. Upon termination, the Partner shall immediately cease receiving Products through Harvest Time International and shall no longer represent itself as a Harvest Time International Non-Profit Supply Center Partner.

Harvest Time International reserves the right to amend or update this Agreement, the Ethical Guidelines, and any policies or donor requirements from time to time. Notice of such amendments may be provided by email and/or posted within the Non-Profit Supply Center. Continued participation in the Non-Profit Supply Center after such notice constitutes the Partner's acceptance of the revised terms.

The Partner shall maintain its valid 501(c)(3) tax-exempt status throughout the term of this Agreement. If the Partner's 501(c)(3) tax-exempt status is revoked, suspended, or otherwise terminated after this Agreement becomes effective, the Partner shall notify Harvest Time International in writing within ten (10) business days. This Agreement shall automatically terminate immediately upon the loss of the Partner's 501(c)(3) tax-exempt status. Upon termination, the Partner shall no longer be eligible to receive any additional Products or participate in the Non-Profit Supply Center program.

By signing below, the individual executing this Application and Agreement represents and warrants that they have the legal authority and capacity to bind the Partner organization to the terms and conditions of this Agreement.
