By signing this Agreement, Student confirms that Student has read and understood it, had the opportunity to ask questions before enrolling, voluntarily agrees to be bound by it and can retain an electronic copy. 1. DEFINITIONS “Agreement” means this Agreement and the incorporated booking, invoice, checkout record, payment plan and written course-specific addenda. “Made You Look Lash” or “MYLL” means Made You Look Lash, {me.company}, Ella Steele and authorized employees, Instructors, assistants, contractors, representatives, agents, successors and assigns acting for the business. “Student” means the individual enrolled in or receiving Training, regardless of who pays. “Purchaser” or “Cardholder” means the person or entity paying all or part of Tuition. “Sponsor” means an employer, salon, business, organization, parent, guardian or other third party arranging or purchasing Training. “Instructor” means Ella Steele or another Instructor, substitute, guest Instructor, assistant or representative selected by MYLL. “Training” or “Course” means any workshop, class, course, coaching, mentorship, demonstration, consultation, business education, technique training, practical session, certification workshop or other educational service purchased from MYLL, regardless of subject, curriculum, technique, brand, level, duration or delivery method. Training may concern lash extensions, lifts, tinting, styling, mapping, isolation, volume or specialty techniques, sanitation, consultations, photography, content, marketing, pricing, booking, operations, customer service, retention, products, tools, adhesives, beauty services or another stated topic. “Scheduled Training” reserves a specific date, time, Instructor availability or live session, including private, group, in-person, live virtual and scheduled hybrid Training. “On-Demand Training” is prerecorded, self-paced or digitally delivered without an exclusive live date unless stated otherwise. “Hybrid Training” combines live, in-person, virtual, prerecorded, written or practical components. “Delivery Methods” includes live or recorded instruction, video conferencing, demonstrations, lectures, discussions, digital modules, manuals, workbooks, handouts, photographs, diagrams, slides, quizzes, assignments, coaching, communities, messaging, mannequin or live-model practice and assessments. “Course Materials” means all materials supplied or made available with Training, including manuals, workbooks, handouts, videos, recordings, photographs, presentations, templates, forms, scripts, pricing or marketing guides, business systems, demonstrations, assessments, certificates, digital files and online content. “Digital Access” means any account, login, link, password, platform access, download, replay or community access used to provide Training or Course Materials. “Tuition” means the total Training price and stated included materials. “Reservation Fee” means the $500 portion of Scheduled Training Tuition that is non-refundable except when MYLL cancels and Student elects a refund. “BNPL Provider” means Afterpay, Klarna, Affirm or another installment or deferred-payment provider. “Training Kit” or “Kit” means physical products, tools, supplies or materials included with or purchased for Training. “Practical Work” means any demonstration, mannequin exercise, product-handling exercise, live-model procedure or assessment. “Model” means a person receiving a demonstration or practical procedure, including a Student voluntarily receiving one. “Certificate of Completion” confirms completion of specified Training requirements but is not a governmental license, registration, state certification or authorization to practice unless expressly recognized as such by the applicable authority. “Third-Party Curriculum” means a technique, course, product, system, certification, trademark or educational material owned or controlled by someone other than MYLL, including LashBox LA materials and the Flower Bouquet Technique®. “Confidential Information” means nonpublic Course Materials, demonstrations, business systems, pricing or supplier information, Student or Model information, unreleased content and private discussions. “Written Notice” means notice by email, text, Jotform or another written method accepted by MYLL. Social-media comments, voicemail or messages to unmonitored accounts do not qualify unless MYLL confirms receipt. “Business Day” means Monday through Friday, excluding federal holidays. “Force Majeure Event” means an event beyond reasonable control, including severe weather, hurricane, fire, flood, natural disaster, evacuation, government order, public-health emergency, utility, internet or transportation interruption, labor disruption, civil unrest, war, terrorism, venue closure, serious illness, family emergency or another unforeseen event materially preventing performance. 2. AGREEMENT SCOPE, ELIGIBILITY AND ENROLLMENT 2.1 Application This Agreement applies to all MYLL Training, whether in person, online, virtual, self-paced or hybrid; private or group; Scheduled or On-Demand; technical, practical, creative or business-related; taught by Ella Steele or another authorized Instructor; based on MYLL or authorized Third-Party Curriculum; delivered through any platform; and with or without a Kit, certificate, assessment, coaching or live-model component. 2.2 Eligibility and Accurate Information Student represents that Student is at least eighteen (18) and legally able to contract. A minor may participate only with MYLL’s written approval and a parent or legal guardian’s signature, and the parent or guardian will be jointly responsible for Tuition, conduct, safety and compliance. Student certifies that identity, contact, licensing, experience, payment, medical and other information supplied is accurate and must promptly update material changes. 2.3 Purchasers, Sponsors and Personal Enrollment Anyone signing or purchasing for another person or business represents authority to do so. A Purchaser or Sponsor does not own Student’s certificate, Digital Access or personal course license unless MYLL agrees in writing and remains responsible for agreed payments. Enrollment, dates, Course Materials, Digital Access and certificates are personal and may not be transferred, sold, shared, substituted or assigned without written approval. 2.4 No Employment or Affiliation Enrollment creates no employment, partnership, franchise, agency, joint venture, instructor or affiliate relationship. Student may not claim to work for, represent, teach for, be sponsored by or be affiliated with MYLL, Ella Steele, LashBox LA or another third party without written authorization. 3. TRAINING SCOPE, CURRICULUM AND DELIVERY METHODS 3.1 Course Description The purchased Training is identified in Student’s booking, invoice or checkout record. Only curriculum, formats, items and services expressly identified as included are included in Tuition. 3.2 Reasonable Adjustments MYLL may reasonably change sequence, examples, products, demonstrations, materials, exercises, scheduling or methods to improve learning, address ability or safety, accommodate availability, update information, comply with law, licensing, insurance or venue rules or respond to circumstances outside MYLL’s control. A change that does not materially reduce the core Training does not create a refund right. 3.3 Instructor, Venue and Platform MYLL may use an authorized substitute or guest Instructor or a reasonably comparable venue or online platform when necessary. A material change will receive reasonable notice and any remedy required by this Agreement or law. 3.4 Student-Specific Instruction and Mastery The Instructor may adapt pacing, demonstrations, exercises and feedback based on Student experience, progress, safety, time and ability. Student is not guaranteed every optional or advanced topic. Training provides education, guided practice and feedback; continued lawful practice may be required, and completion does not prove mastery of every technique or ability to perform every procedure without further training or supervision. 4. TUITION, RESERVATION FEE AND PAYMENT AUTHORIZATION 4.1 Tuition and Reservation Fee Student agrees to pay the Tuition shown in the booking, invoice or checkout record, currently {total}, plus approved charges, taxes and lawful fees. For every Scheduled Training, $500 of total Tuition is a non-refundable Reservation Fee. It reserves Student’s exclusive date and compensates MYLL for removed availability, declined opportunities, administration, scheduling, communication, Instructor and curriculum preparation, product or Kit planning, venue or staffing arrangements and related advance work. Student acknowledges private dates generally cannot be rebooked on short notice. If Student cancels, any otherwise eligible refund excludes the $500 Reservation Fee. The fee is included within, not added to, advertised Tuition. For entirely On-Demand Training with no exclusive live date, it applies only when expressly disclosed. 4.2 Payment Methods and Schedule MYLL may accept cards, approved electronic payment or ACH, BNPL Providers, cash, check, certified funds or another offered method and may change available methods for future transactions. Student must follow the payment schedule shown at checkout, on the invoice, in Jotform or in a written plan. Unless stated otherwise, Tuition must be paid before Training. MYLL may deny participation or withhold access, materials, Kits, coaching or certificates until payment clears. 4.3 Card Authorization Student and Cardholder authorize charges for Tuition and the Reservation Fee; agreed installments; approved upgrades, add-ons or rescheduling fees; lawful failed-payment fees; authorized unreturned or damaged MYLL equipment; and other amounts specifically approved in writing. MYLL will not impose undisclosed discretionary charges. 4.4 BNPL Providers Afterpay, Klarna, Affirm and other BNPL payments remain subject to the same cancellation, refund, transfer, attendance and rescheduling rules. The provider agreement is separate, and MYLL does not control approval, installments, finance charges, restrictions, processing or refunds. Student remains responsible to the provider until an approved refund is applied. 4.5 Failed Payments, Discounts and Taxes Student must maintain a valid payment method. Where lawful, a failed or returned payment may incur the lesser of $35 or the maximum lawful fee. Overdue balances may accrue the lesser of 1.5% per month or the maximum lawful rate, plus collection costs and fees only where permitted. Discounts, scholarships, promotions and credits must be written, apply only as stated, have no cash value, may not be combined unless allowed and may be revoked for fraud or misuse. Student is responsible for applicable taxes and fees independently imposed by banks, card issuers or BNPL Providers. 4.6 Chargebacks and Billing Disputes Student agrees to contact MYLL promptly about suspected billing errors. A chargeback does not cancel a valid debt or alter this Agreement. MYLL may provide processors, financial institutions, insurers, collectors, arbitrators or courts with this Agreement, booking, attendance, access, delivery, correspondence, media, shipping and payment records. Nonwaivable billing rights remain unaffected. 5. CANCELLATION, REFUND AND RESCHEDULING POLICY 5.1 Reserved Date and Deadlines Scheduled Training is reserved specifically for Student and removes the date from MYLL’s availability. Cancellation and rescheduling rights depend on Written Notice received, calculated in calendar days from the scheduled start time. 5.2 Thirty or More Days Before Training With at least thirty (30) calendar days’ Written Notice, Student may either receive Tuition paid minus the $500 Reservation Fee and permitted deductions for customized, downloaded, opened, used or shipped materials, or transfer enrollment one (1) time to an available date without an administrative fee. 5.3 Fifteen Through Twenty-Nine Days Before Training With fifteen (15) through twenty-nine (29) days’ Written Notice, no refund will be issued, but Student may transfer one (1) time to an available date within six (6) months after the original date without an administrative fee. 5.4 Fourteen Days or Less Before Training With fourteen (14) calendar days or less notice, no refund or automatic reschedule is available. MYLL may approve a reschedule for a documented emergency in its reasonable discretion. A documented emergency may include hospitalization or serious illness, death of an immediate family member, natural disaster or mandatory evacuation, serious accident, government travel restriction or another extraordinary circumstance approved by MYLL. Documentation may be required. Ordinary work or scheduling conflicts, childcare problems, forgotten appointments, elective travel changes, transportation expenses, failure to obtain a Model, insufficient preparation or change of mind are not automatically emergencies. 5.5 Rescheduling Rules Student receives only one complimentary transfer under Sections 5.2 or 5.3. Additional requests, if approved, may require a $100 fee. Rescheduled Training must be completed within six (6) months after the original date unless extended in writing; otherwise Tuition and transfer credit are forfeited except where law prohibits. A transfer is ordinarily for the same Course. Student must pay any approved higher-price difference. No refund or credit is required for a voluntary transfer to a lower-priced Course unless MYLL agrees in writing. 5.6 No-Show, Lateness, Withdrawal and Removal A no-show forfeits all Tuition, including the Reservation Fee, without refund, credit, transfer or reschedule. Late arrival, delayed login or early departure creates no refund, extension or free makeup right. MYLL may preserve the ending time and may deny entry as a no-show when lateness disrupts Training, prevents essential safety instruction or makes Practical Work unsafe. Fifteen (15) minutes or more may be material depending on the Course. No refund is owed when Student leaves after Training begins, refuses required activities, is removed for unsafe conduct, disruption, harassment, dishonesty, intoxication, intellectual-property violations or refusal of reasonable instructions, or cannot participate because of an undisclosed prerequisite, health condition or licensing issue. Nonwaivable MYLL responsibilities remain unaffected. 5.7 Cancellation or Material Rescheduling by MYLL If MYLL cancels or materially reschedules because of Instructor illness, emergency, severe weather, venue unavailability, Force Majeure or another unforeseen circumstance, Student may transfer to the next reasonably available date or receive a full refund of Tuition paid for the affected Training, including the Reservation Fee. Except where law requires otherwise, that refund is Student’s sole monetary remedy. MYLL is not responsible for airfare, lodging, vehicles, fuel, parking, meals, transportation, childcare, lost wages, appointments, business opportunities or other incidental, consequential or third-party expenses. Refundable travel arrangements or insurance are recommended. 5.8 On-Demand, Hybrid and Refund Processing On-Demand purchases are final once Digital Access is issued, content is accessed or downloadable materials are delivered, except under another written policy or applicable law. Before access, MYLL may approve cancellation subject to disclosed non-refundable fees or customized materials. For hybrid or bundled Training, Scheduled rules apply to live or date-specific components and On-Demand rules apply to delivered digital content. The value of accessed content, Kits, customized materials, non-refundable fees and nonrecoverable shipping may be deducted from an approved refund. Approved refunds will be submitted to the original method, when reasonably possible, within seven (7) to ten (10) Business Days after approval. Financial institutions and BNPL Providers may take longer. Processing fees are refunded only if required by law or returned to MYLL. 6. SCHEDULING, ATTENDANCE AND TIMELINESS 6.1 Training Details and Preparation Student must review the date, time, location, time zone, login instructions and booking details; arrive or log in on time; complete required forms, prerequisites and technology tests; bring required tools, devices, products, identification or licensing records; arrange transportation and childcare; and be ready to participate. If no time zone is stated, MYLL’s Florida time zone controls. 6.2 Attendance and Missed Instruction Student must attend all required Training to qualify for a certificate requiring full attendance. Registration, breaks, photographs, product organization and administration may be part of the scheduled day. MYLL need not provide free makeup instruction for material missed because of lateness, absence, early departure, technology failure or nonparticipation. Any optional makeup session is subject to availability and may require a fee. 6.3 Guests, Illness and Accommodations Student may not bring guests, children, pets or unauthorized Models without written approval. Service animals are permitted as required by law, subject to safety and sanitation rules. Student must not attend in person with a contagious condition reasonably endangering others. Accommodation requests should be made as early as possible, preferably fourteen (14) calendar days before Training, and will be considered consistent with safety, law, resources and essential Course requirements. 7. ONLINE TRAINING, DIGITAL ACCESS AND TECHNOLOGY 7.1 Personal Access and Access Period Digital Access is solely for the enrolled Student and may not be shared. Group viewing requires a written license. Access lasts for the period stated in the course description or checkout record, or twelve (12) months if none is stated. “Lifetime access” means while MYLL commercially operates, controls and offers that Course version on a reasonably supported platform, not Student’s natural lifetime or permanent platform or outdated-content availability. 7.2 Student Technology and Third-Party Platforms Student is responsible for compatible devices, internet, current software, speakers, camera and microphone when required, storage, secure email and credentials. MYLL is not responsible for Student-side equipment, internet, software, blocked email, forgotten credentials or compatibility failures. MYLL may use payment processors, video-conferencing services, storage, communities, course platforms and other third parties subject to their own terms. MYLL does not guarantee uninterrupted operation, cybersecurity, permanent availability or specific third-party features and may move content to a reasonably comparable platform. 7.3 Outages, Updates and Termination Temporary maintenance or outages do not automatically create a refund right. If delivery is materially prevented, MYLL may extend access, replace materials or reschedule. MYLL may update, reorganize, replace or retire content because of product, legal, safety, platform or instructional changes. MYLL may suspend or terminate access for nonpayment, credential or content sharing, security circumvention, unauthorized recording or copying, harassment, unlawful use or material breach. Termination for Student’s breach does not entitle Student to a refund. 7.4 Recording MYLL will provide notice before recording a live online session. By remaining after notice, Student consents to recording of Student’s voice, image, screen participation and communications for delivery, documentation, quality control and authorized media uses. A Student who does not consent must notify MYLL before recording and refrain from participating unless MYLL offers a nonrecorded alternative, which is not guaranteed. Student may not audio record, video record, photograph, screen record, livestream, use automated transcription or otherwise capture Training without MYLL’s prior written consent and the consent of all persons recorded. 7.5 Online Community Conduct Student may not harass or threaten, disclose confidential client, Model or Student information, make unsolicited sales pitches, harvest contacts, share another person’s work without permission, provide medical diagnoses, upload unlawful or infringing content or distribute Course Materials outside the community. MYLL may moderate, remove or preserve content as reasonably necessary. 8. TRAINING KITS, PRODUCTS, MATERIALS AND SHIPPING 8.1 Included Items and Substitutions Only items expressly listed are included. Kit photographs are illustrative unless exact items are identified. MYLL may substitute a product, tool, color, size, packaging or brand with a reasonably comparable item when the original is unavailable, discontinued, delayed or unsuitable. 8.2 Inspection, Returns and Shipping Student must report missing, incorrect, damaged or visibly defective items within five (5) Business Days after receipt, with photographs and packaging information when requested. Opened, used, unsealed or contaminated cosmetics, adhesives and personal-use items are nonreturnable except when defective or required by law. Student must provide an accurate shipping address and may owe replacement shipping for Student-caused returns. MYLL is not responsible for porch theft or loss after confirmed delivery but will reasonably assist with carrier information. Carrier delays do not automatically permit cancellation; MYLL may substitute materials, modify exercises or reschedule a practical component. 8.3 Product Safety Student must follow manufacturer instructions and safety information; observe expiration and replacement dates; store adhesives and chemicals properly; keep products from children and unauthorized users; avoid improper mixing; use products only as intended; and stop using products suspected of contamination, damage or causing a reaction. Third-party products remain subject to manufacturer warranties and limitations. 8.4 Refund Deductions Where a refund is otherwise approved, MYLL may deduct the disclosed or reasonable retail value of nonreturnable, customized, downloaded, opened, used or retained Course Materials and Kits and nonrecoverable shipping, to the extent permitted by law. 9. STUDENT REQUIREMENTS, CONDUCT AND RIGHT TO DISCONTINUE TRAINING 9.1 Requirements and Prohibited Conduct Student must participate on time; act professionally; treat Instructors, Models, staff, venue personnel and Students respectfully; follow Instructor, safety and sanitation directions; complete required forms and prerequisites; use approved products and equipment; protect property and Course Materials; report injuries, spills, contamination and safety concerns; avoid activities beyond demonstrated ability; and comply with law, venue rules and this Agreement. Student may not attend while impaired; threaten, harass, abuse or discriminate; engage in sexual, violent or materially disruptive conduct; steal, damage or misuse property; bring unauthorized dangerous items; falsify identity, licensing, attendance or assessments; cheat; conceal an injury, contamination event or Model reaction; record without permission; solicit MYLL clients, Models, Students or staff during Training; distribute attendee contacts; bring unauthorized guests; or refuse reasonable instructions. 9.2 Right to Refuse, Remove or Discontinue MYLL may refuse entry, stop Practical Work, remove Student or discontinue Training if Student presents a safety risk, is impaired or materially disruptive, refuses sanitation or safety rules, misrepresented qualifications or licensing, infringes Course Materials, cannot safely participate, presents an unsuitable Model or venue or would cause a violation of law, insurance requirements or professional standards. Termination for Student’s material misconduct or misrepresentation does not entitle Student to a refund. 9.3 Property Damage Student is responsible for reasonable repair or replacement of property intentionally damaged or damaged through negligent misuse. Ordinary wear and tear is excluded. 10. LICENSING, REGULATORY AND PROFESSIONAL-PRACTICE ACKNOWLEDGMENTS 10.1 No Automatic License or Approval Completion does not automatically grant a cosmetology license, specialist registration, business or occupational license, professional credential or governmental authorization. Unless expressly stated for a specific Course, MYLL does not represent that Training is accredited, provides college credit, is board-approved, satisfies required school hours, qualifies for continuing-education credit or results in governmental certification. 10.2 Student Responsibility and Verification Student is solely responsible for all laws, licensing, sanitation, establishment, insurance and scope-of-practice requirements wherever Student intends to practice and may not rely solely on the Course, Instructor comments or certificate as legal authorization. MYLL may request and verify identification, licensing, registration, insurance or eligibility information. 10.3 Live-Model and Jurisdictional Limits Student may perform live-model work only when MYLL determines it is consistent with law, Student and venue licensing, insurance, Third-Party Curriculum rules and safety requirements. MYLL may limit an unlicensed, inexperienced or ineligible Student to mannequin practice, observation or another lawful activity. Rules vary by jurisdiction, and Florida delivery does not authorize practice elsewhere. 10.4 Continuing Education and Third-Party Brands Student may claim continuing-education credit only when the Course is expressly approved and identifies the credit hours. Third-Party Curriculum grants only rights authorized by its owner. Student may not claim to be an instructor, educator, distributor, ambassador or certifying authority for a third-party brand or method without written authorization. 11. HANDS-ON PRACTICE, LIVE MODELS AND SANITATION 11.1 Practical Training and Sanitation Training may include mannequins, tools, products, adhesives, chemicals, Models or close work around the eyes and may be modified or stopped based on time, ability, Model suitability, safety or law. Student must wash or sanitize hands; clean and disinfect tools and surfaces; use single-use items once; separate clean, used and contaminated items; prevent cross-contamination; follow labels and Instructor directions; properly handle products and chemicals; use directed protective equipment; maintain a clean workstation; and immediately report injury, spills, contamination, pain, burning, irritation or suspected reactions. 11.2 Instructor Authority The Instructor may stop or take over a procedure, remove a tool or product, require sanitation to be repeated, require mannequin instead of live-model practice, reject or dismiss a Model, modify Practical Work or prevent an unsafe technique. Student must comply immediately. 11.3 Models Every external Model must complete MYLL’s required consent, health disclosure and release. Student cannot waive an external Model’s rights and may not use an unauthorized Model. MYLL may reject a Model for infection or irritation, recent eye procedure, allergy or prior reaction, unsafe natural lashes, interfering existing work, incomplete forms, inability to follow instructions, age or consent concerns or another reasonable health, safety, legal or educational concern. Rejection does not automatically create a refund right. If Student must provide a Model, Student must communicate scheduling, duration, training nature and preparation requirements. MYLL does not guarantee replacement of an absent, late or unsuitable Model. Practical procedures are educational, may involve limited Student experience and carry no guaranteed styling, retention, symmetry, fullness, correction or aesthetic result. 11.4 Student as Model and Post-Training Work If Student voluntarily receives a demonstration or procedure, Student consents to an Instructor or supervised Student performing it, must disclose relevant conditions and may request that it stop; the health, risk and release provisions apply. MYLL does not supervise services Student performs after or outside Training. Student remains solely responsible for lawful practice, client consent, sanitation, products, insurance, aftercare and professional judgment. 12. ALLERGIES, MEDICAL CONDITIONS AND HEALTH DISCLOSURES 12.1 Required Disclosure Student certifies that Student disclosed conditions, sensitivities or allergies relevant to participation, including sensitivity to adhesives, cyanoacrylates, acrylates, latex, tape, eye pads, cosmetics, removers, disinfectants, fragrances, fumes or other products used. Student must also disclose any condition materially affecting safe participation, including current eye or skin infection, recent eye procedure, respiratory sensitivity or asthma triggered by fumes, open wounds or irritation, physical limitations affecting posture or stillness, a contagious condition or medical advice against participation. Unrelated medical information need not be disclosed. 12.2 Continuing Duty and Reactions Student must immediately report condition changes, pain, dizziness, breathing difficulty, burning, swelling, watering, irritation, numbness, weakness or another concerning symptom. Fumes and products may cause irritation, sensitivity or allergic reaction even after prior uneventful use. A patch test or prior safe use does not guarantee no future reaction. 12.3 No Medical Advice and Fitness MYLL and Instructors are not healthcare providers. Health, allergy, ingredient, ergonomic and safety information is general education, not diagnosis or treatment. Student is responsible, with an appropriate healthcare professional when necessary, for deciding whether Student can participate. MYLL may refuse or stop an unsafe activity. 13. ASSUMPTION OF RISK 13.1 Inherent and Ordinary Risks Training may involve risks that cannot be eliminated, including sharp tweezers and tools near the eyes; adhesives, removers, fumes and chemicals; allergic or sensitization reactions; skin, eye or respiratory irritation; watering, redness, itching or swelling; accidental skin or eye-area contact; corneal abrasion or other eye-area injury; infection or cross-contamination; minor cuts, punctures or tool-related injury; repetitive hand, wrist, neck, shoulder or back strain; prolonged sitting, standing or close visual work; slips, trips, falls, spills and electrical equipment; product damage or unexpected performance; Student practice errors; emotional discomfort from critique or assessment; and other ordinary risks of beauty-service education and Practical Work. 13.2 Voluntary Participation Student voluntarily participates after considering the Training, Student’s experience, health and qualifications. Student knowingly assumes the inherent and ordinary risks associated with Training, Practical Work, tools, products, venue attendance and voluntary participation as a Model. 13.3 Unknown Risks Not every possible risk can be predicted or listed. Student accepts reasonably foreseeable known and unknown ordinary risks associated with Training. 13.4 Risk Reduction Compliance with Instructor directions, health disclosures, sanitation rules and licensing restrictions is a material condition of participation. 14. RELEASE OF LIABILITY AND EMERGENCY ASSISTANCE 14.1 Released Parties “Released Parties” means Made You Look Lash; {me.company}; Ella Steele; all Instructors and guest Instructors; employees, contractors, assistants and representatives; venue owners and operators when applicable; and their members, owners, officers, agents, insurers, successors and assigns. 14.2 RELEASE OF ORDINARY-NEGLIGENCE CLAIMS TO THE FULLEST EXTENT PERMITTED BY LAW, STUDENT RELEASES AND AGREES NOT TO ASSERT CLAIMS AGAINST THE RELEASED PARTIES FOR PERSONAL INJURY, PROPERTY DAMAGE, LOSS OR OTHER HARM ARISING FROM THE INHERENT RISKS OF TRAINING OR THE ORDINARY NEGLIGENCE OF A RELEASED PARTY IN CONNECTION WITH STUDENT’S PARTICIPATION, PRACTICAL WORK, PRODUCT USE, VENUE ATTENDANCE OR VOLUNTARY PARTICIPATION AS A MODEL. 14.3 Excluded Conduct This release does not apply to gross negligence, reckless, willful or intentional misconduct, fraud or liability that law does not permit the Released Party to waive or limit. 14.4 External Model Rights This Agreement releases only claims belonging to Student. It does not release independent claims of an external Model who has not signed an applicable release. 14.5 Emergency Assistance If MYLL reasonably believes urgent assistance is required, Student authorizes MYLL to stop the activity, contact emergency services, provide reasonable first-response assistance within the responder’s abilities and share relevant information with responders. Student is responsible for medical, ambulance, transportation and related expenses. MYLL does not guarantee availability or outcome of emergency assistance. 14.6 Personal Insurance Student is responsible for appropriate health, professional, general-liability, business and other insurance. MYLL does not provide health, disability, workers’ compensation or professional-liability coverage merely because Student attends Training. 15. COURSE COMPLETION AND CERTIFICATES 15.1 Eligibility A certificate is provided only when stated in the course description and all requirements are met. Student must attend required Training in full; arrive on time and participate; complete required modules, assignments, prerequisites, practical exercises and assessments; demonstrate reasonably safe product and tool handling; follow sanitation, classroom and safety rules; provide the correct certificate name; and pay all amounts due. 15.2 Withholding or Invalidating a Certificate MYLL or the issuer may withhold a certificate for early departure, incomplete curriculum or practical work, failure to meet assessment standards, unsafe, disruptive or abusive conduct, violation of classroom, sanitation, safety or intellectual-property rules, falsified information or unpaid balances. MYLL may correct or invalidate completion records obtained through fraud, impersonation, falsified attendance or material cheating. Student may not alter or misrepresent a certificate. 15.3 Flower Bouquet Technique® Workshop When Student is enrolled in an authorized Flower Bouquet Technique® Workshop, completes all requirements and satisfies issuer rules, Student will receive the applicable official LashBox LA Certificate of Completion, provided MYLL and the Instructor remain authorized. LashBox LA requirements, policies and intellectual-property rights apply. 15.4 Nature of Certificate A Certificate of Completion confirms completion of specified private Training curriculum. It does not by itself constitute a license, state certification, governmental approval or accreditation; authorize prohibited services; guarantee competence, employment, insurance or licensing eligibility; or permit Student to teach or certify others. Student remains responsible for legal licensing and establishment requirements. Student must promptly report clerical errors. MYLL may charge a reasonable replacement fee for a correctly issued certificate later lost, damaged or requested in another format. 16. RESULTS, EARNINGS AND BUSINESS-SUCCESS DISCLAIMER 16.1 Results Vary Technical, artistic, educational and business results vary with experience, practice, ability, safety compliance, tools and products, licensing, local demand and competition, pricing, marketing, customer service, time, effort, investment and circumstances outside MYLL’s control. 16.2 No Outcome or Income Guarantee Completion does not guarantee employment, clients, bookings, business ownership, revenue, profit, any income level, recovery of Tuition or expenses, social-media growth, financing, licensing, insurance or vendor approval, board certification or acceptance by an employer, salon, school or governmental agency. Testimonials, Instructor results, demonstrations and financial examples are illustrative, not promises of typical or identical outcomes. Student confirms no reliance on unwritten promises of earnings, licensing, mastery, certification, clients or business success. 16.3 No Professional Advice Business, licensing, marketing, pricing, tax, insurance, legal and health information is general education. Student should consult appropriate licensed professionals about Student’s circumstances. 17. INTELLECTUAL PROPERTY, CONFIDENTIALITY AND RECORDING RESTRICTIONS 17.1 Ownership and Limited License All MYLL Course Materials and original instruction are owned by or licensed to MYLL and protected by intellectual-property laws. Third-Party Curriculum remains its owner’s property. Purchasing Training transfers no ownership or intellectual-property rights. After full payment and while Student complies, MYLL grants a personal, limited, revocable, nonexclusive, nontransferable and non-sublicensable license to use authorized Course Materials for Student’s own education and lawful professional development. Student may use general skills learned within a lawful scope of practice but may not copy materials, teach MYLL curriculum, issue MYLL certificates or claim affiliation. 17.2 Prohibited Uses Without written authorization, Student may not: • Copy, reproduce, scan, photograph, distribute or share Course Materials, manuals, guides, templates, videos, access credentials, links or downloads; • Record, livestream or transcribe Training; • Sell, rent, sublicense or commercially distribute Course Materials; • Upload them to file-sharing, social, public-database, artificial-intelligence or machine-learning systems or use them to train a model; • Translate, adapt or create substantially derivative manuals, materials or competing courses; • Remove copyrights, trademarks, watermarks or controls, bypass security or scrape content; • Teach or certify others in a proprietary method without authorization; • Issue certificates or use branding belonging to MYLL, Ella Steele, LashBox LA or another owner; or • Imply endorsement, sponsorship, employment or affiliation without permission. 17.3 Confidentiality and Privacy Student may not disclose or distribute nonpublic manuals, notes, demonstrations, pricing or marketing guides, systems, supplier arrangements, private discussions, Model information, unreleased content or recordings. This excludes information Student proves was lawfully public, independently developed without Confidential Information or lawfully received without a duty of confidentiality. Student may not publish another Student’s or Model’s face, name, health information, results, business information or private statements without permission. 17.4 Enforcement and Feedback Unauthorized use may cause irreparable harm. MYLL and applicable owners may suspend access and seek removal, injunctive relief, actual or statutory damages, lawful attorneys’ fees and other remedies. Student grants MYLL a nonexclusive, perpetual, royalty-free right to use voluntary general feedback to improve Training and business, without publicly identifying Student or using Student’s protected work without authorization. 18. PHOTOGRAPHY, VIDEO AND MARKETING AUTHORIZATION 18.1 Authorization Granted by Signing BY SIGNING, STUDENT AUTHORIZES MYLL, {me.company}, ELLA STEELE AND THEIR REPRESENTATIVES TO PHOTOGRAPH, RECORD AND USE STUDENT’S NAME, LIKENESS, IMAGE, VOICE, STATEMENTS, TESTIMONIALS, PRACTICAL WORK, BEFORE-AND-AFTER RESULTS AND COURSE PARTICIPATION FOR LAWFUL BUSINESS, DOCUMENTATION, EDUCATIONAL, PORTFOLIO, SOCIAL-MEDIA, WEBSITE, ADVERTISING, PROMOTIONAL, PRINTED AND COURSE-MATERIAL PURPOSES. Student grants a worldwide, royalty-free, nonexclusive license to reproduce, edit, crop, caption, publish, display, distribute and create lawful promotional or educational derivative uses in any media. 18.2 Conditions and Revocation No compensation is owed unless separately agreed. MYLL need not obtain prior approval and may make ordinary edits that do not materially misrepresent Student. MYLL will not knowingly use Student’s likeness in a defamatory or materially deceptive manner. Internal documentation may be used for assessment, safety, administration, certificate verification, review, incidents and disputes. Student may send Written Notice requesting no new public uses. Revocation is prospective only and does not require recall or removal of materials already lawfully published, distributed, licensed, incorporated or reasonably relied upon before receipt. 18.3 Student Work, Testimonials and Reviews Student represents that submitted client or Model media was lawfully obtained and may not submit it without appropriate consent. Testimonials must be honest. MYLL will not require a positive review as a condition of a certificate, refund, reschedule or contractual benefit, and incentives may be disclosed where required. 19. PERSONAL PROPERTY, TRAVEL, VENUE AND PROPERTY DAMAGE Student is responsible for personal belongings and should not leave valuables unattended. To the fullest extent permitted by law, MYLL is not responsible for lost, misplaced, stolen or damaged property except for conduct that cannot lawfully be excluded. Student is responsible for travel planning and costs and assumes risks of delays, missed transportation, traffic, parking and interruptions. Student must follow reasonable venue rules. At a third-party or Sponsor-provided location, Sponsor is responsible for reasonable access, lighting, electricity, water, restrooms, work surfaces, seating, ventilation and legal permission. MYLL may refuse unsafe or unlawful activities. Student is financially responsible for property damage caused by intentional conduct or negligent misuse. 20. PRIVACY, COMMUNICATIONS AND RECORDS MYLL may collect, maintain and use information reasonably necessary for enrollment, payment, delivery, identity or license verification, certificates, communication, shipping, attendance and assessments, safety incidents, intellectual-property protection, fraud prevention and legal, regulatory, insurance and accounting duties. Necessary information may be shared with payment and BNPL Providers, platforms, carriers, communications providers, insurers, advisers, certificate issuers and vendors. Payment information may be processed by Jotform or another provider, and MYLL may not receive complete card details. MYLL will use commercially reasonable security but cannot guarantee complete electronic or platform security. Student authorizes operational emails, calls, Jotform communications and text messages about enrollment, payment, scheduling, preparation, location or login, shipping, safety, access, certificates and service and must keep contact information current. This does not itself authorize unrelated automated marketing where separate consent is required. MYLL may keep electronic signature, payment, access, course and communication records and use accurate copies as originals. Information may be preserved or disclosed for valid legal process, payment disputes, health or safety, suspected fraud or unlawful conduct, enforcement, insurance or professional advice and protection of MYLL, Student, Models or others. 21. WARRANTIES, LIMITATION OF LIABILITY AND INDEMNIFICATION 21.1 Professional Instruction MYLL will use reasonable care in delivering Training and reasonable efforts to provide the material components described in the applicable course description. 21.2 No Additional Warranties Except for an express written promise in this Agreement or the course description, and to the fullest extent permitted by law, Training, Course Materials, Digital Access, Kits and third-party products are provided “as is” and “as available.” MYLL disclaims implied warranties of merchantability, fitness for a particular purpose, noninfringement, uninterrupted access and guaranteed results to the extent law permits. 21.3 Third-Party Services and Products MYLL is not responsible for independent acts, omissions, policies, outages or failures of payment processors, BNPL Providers, carriers, online platforms, manufacturers, hotels, transportation providers, venue owners or other independent third parties. This does not eliminate responsibility MYLL cannot lawfully exclude for its own conduct. 21.4 LIMITATION OF LIABILITY TO THE FULLEST EXTENT PERMITTED BY LAW, MYLL’S TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATING TO A COURSE, UNDER CONTRACT, TORT OR ANY OTHER THEORY, WILL NOT EXCEED THE AMOUNT OF TUITION ACTUALLY PAID TO MYLL FOR THE SPECIFIC COURSE GIVING RISE TO THE CLAIM. This limitation does not apply to gross negligence, intentional misconduct or another category of liability that law does not permit MYLL to limit. 21.5 Excluded Damages To the fullest extent permitted by law, MYLL is not liable for indirect, incidental, special, exemplary, punitive or consequential damages, including lost profits, revenue, clients, wages, business opportunities, reputation, travel expenses, substitute education costs or data. 21.6 Student Responsibility for Post-Training Services Student is solely responsible for services, business activities, advertising, product use and professional decisions after or outside Training. MYLL is not liable for claims by Student’s clients, Models, employers, regulators or third parties arising from Student’s independent conduct. 21.7 Student Indemnification To the fullest extent permitted by law, Student agrees to indemnify, defend and hold the Released Parties harmless from third-party claims, liabilities, damages, judgments and reasonable costs arising from Student’s unlawful or unlicensed practice; services performed outside Training; failure to obtain client or Model consent; unauthorized Model; false or misleading advertising; product or tool misuse; unauthorized copying or distribution of Course Materials; infringement of intellectual-property or privacy rights; material breach of this Agreement; or content or photographs submitted without permission. Student need not indemnify a Released Party for that party’s gross negligence, intentional misconduct or nonwaivable legal responsibility. 21.8 Sponsor Responsibility A Sponsor purchasing group or private Training is responsible for claims and costs arising from inaccurate attendee information, unauthorized enrollment, Sponsor-provided products or equipment, an unsafe or unlawful venue, failure to obtain required releases or unauthorized representations or promises. 22. DISPUTE RESOLUTION, BINDING ARBITRATION AND CLASS ACTION WAIVER 22.1 Good-Faith Notice and Resolution Before arbitration or suit, the complaining party must provide Written Notice containing the party’s contact information, a description of the dispute, supporting information and the relief requested. The parties will attempt good-faith informal resolution for at least thirty (30) calendar days after receipt. Either party may seek urgent temporary relief to prevent immediate personal harm, intellectual-property misuse, unauthorized disclosure or destruction of evidence. 22.2 BINDING ARBITRATION AGREEMENT STUDENT AND MYLL AGREE THAT, EXCEPT FOR AN ELIGIBLE SMALL-CLAIMS MATTER OR A CLAIM EXPRESSLY EXCLUDED BELOW, ANY DISPUTE, CLAIM OR CONTROVERSY ARISING OUT OF OR RELATING TO TRAINING, ENROLLMENT, PAYMENT, COURSE MATERIALS, CERTIFICATES, MARKETING, THIS AGREEMENT OR THE RELATIONSHIP BETWEEN STUDENT AND MYLL WILL BE RESOLVED BY INDIVIDUAL BINDING ARBITRATION AND NOT BY A JUDGE OR JURY. 22.3 Governing Arbitration Law and Rules The Federal Arbitration Act governs the arbitration agreement. Consumer arbitration will be administered by the American Arbitration Association under its then-current Consumer Arbitration Rules and Consumer Due Process Protocol. If the AAA is unavailable or declines administration, the parties will try to agree on another nationally recognized provider. If they cannot, a court with jurisdiction may appoint an arbitrator or provider. 22.4 Location and Format Arbitration may occur remotely, by written submissions or in St. Johns County, Florida, as determined under applicable rules after considering fairness, cost and circumstances. 22.5 Arbitrator Authority The arbitrator may award any individual remedy available in court under applicable law, subject to lawful limitations in this Agreement, and will issue a reasoned written decision when required by the rules or requested by either party. 22.6 Arbitration Fees Filing, administration and arbitrator fees will be allocated under applicable AAA Consumer Arbitration Rules and law. Each party will ordinarily bear its own attorneys’ fees unless a statute, applicable rule or enforceable provision authorizes an award. 22.7 Small Claims Either party may pursue an individual claim in a small-claims court with jurisdiction if it qualifies and remains solely in that court. 22.8 Intellectual-Property and Protective Relief MYLL or an applicable intellectual-property owner may seek temporary or permanent injunctive relief in court to prevent or stop unauthorized distribution of Course Materials, trademark misuse, credential sharing, confidentiality violations, unauthorized recording or other infringement or misappropriation. Seeking that limited relief does not waive arbitration of monetary or other arbitrable claims. 22.9 CLASS ACTION WAIVER STUDENT AND MYLL AGREE THAT EACH MAY BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY. NEITHER PARTY MAY PARTICIPATE AS A PLAINTIFF, CLAIMANT OR CLASS MEMBER IN A CLASS, COLLECTIVE, CONSOLIDATED, REPRESENTATIVE OR PRIVATE-ATTORNEY-GENERAL PROCEEDING TO THE EXTENT PERMITTED BY LAW. The arbitrator may not combine claims of different individuals without every party’s written consent. 22.10 WAIVER OF JURY TRIAL TO THE EXTENT A DISPUTE IS HEARD IN COURT RATHER THAN ARBITRATION, STUDENT AND MYLL KNOWINGLY WAIVE THE RIGHT TO A JURY TRIAL TO THE FULLEST EXTENT PERMITTED BY LAW. 22.11 Arbitration Severability If part of this arbitration section is unenforceable, the remainder remains effective to the fullest lawful extent. If the Class Action Waiver is finally held unenforceable as to a particular claim and the claim may proceed on a class or representative basis, it must proceed in court rather than class arbitration. 22.12 Survival This dispute-resolution section survives payment, course completion, cancellation, expiration, access termination and termination of this Agreement. 23. GENERAL LEGAL TERMS 23.1 Governing Law, Venue and Electronic Signatures Florida law governs, except the Federal Arbitration Act governs arbitration. Permitted court proceedings must be brought in a court with jurisdiction in or over St. Johns County, Florida, unless law requires otherwise. Student agrees to transact electronically. Electronic signatures, checkboxes, initials, typed names and electronic acceptance have the same intended legal effect as handwritten signatures. 23.2 Entire Agreement and Priority This Agreement and incorporated booking, invoice, checkout record, payment plan and addenda are the entire agreement and replace prior representations. Direct conflicts are controlled in this order: (1) mutually signed course-specific addendum; (2) mutually signed payment plan; (3) this Agreement; (4) invoice or booking record; and (5) general marketing. Specific written terms control over general terms. 23.3 Modification, Waiver and Severability Existing-enrollment changes must be written and accepted by MYLL and Student. Casual statements do not modify this Agreement unless expressly confirmed. MYLL may update future-purchase terms. Delayed enforcement or a courtesy is not a waiver. Invalid provisions will be enforced to the maximum lawful extent or severed without affecting the remainder. 23.4 Force Majeure, Assignment and Survival MYLL is not liable for delay or inability caused by Force Majeure and may reasonably reschedule, relocate, extend, modify or substitute delivery, subject to Section 5.7 refund rights. Student may not transfer this Agreement, enrollment, Digital Access or certificate without consent. MYLL may assign it to a successor or affiliate that assumes applicable obligations. Payment, intellectual-property, confidentiality, privacy, release, liability, indemnification and dispute terms survive as intended. 23.5 Additional Terms Except for Released Parties and protected intellectual-property owners, no nonparty receives enforcement rights. Headings do not limit meaning; singular includes plural where context requires. Counterparts and accurate electronic copies are originals. Required Written Notice must use a designated or previously used channel and is effective when received. Student must keep confirmation and contact information current. MYLL may correct obvious typographical, clerical, scheduling or pricing errors before delivery. If Student rejects a material correction, MYLL may cancel and refund the amount paid. Student confirms understanding or appropriate assistance before signing. 24. STUDENT ACKNOWLEDGMENTS By signing, Student specifically acknowledges and agrees that: • Student reviewed the Training description and understands what is included; • $500 of Scheduled Training Tuition is a non-refundable Reservation Fee; • Student reviewed the cancellation, refund, transfer, no-show and rescheduling rules; • BNPL payment does not alter MYLL’s policies; • Training and a Certificate of Completion do not automatically provide a license or legal authorization to practice; • Student is responsible for licensing and regulatory compliance; • Student will follow Instructor, safety and sanitation instructions; • Student disclosed relevant allergies and medical conditions to the best of Student’s knowledge; • Student understands and assumes the ordinary and inherent risks involving tools, products, fumes and close eye-area work; • Student reviewed the ordinary-negligence release in Section 14; • Results, employment, income, clients, licensing and business success are not guaranteed; • Student will not copy, record, distribute or share Course Materials or Digital Access; • Student grants the photography, video and marketing authorization in Section 18; • MYLL’s liability is limited as stated in Section 21; • Disputes are generally subject to individual binding arbitration; • Student understands the Class Action Waiver and Jury Trial Waiver; and • Student voluntarily agrees to be legally bound by this Agreement.
