1. Purpose
Manufacturers Hub provides access to confidential RFQ (Request for Quotation) opportunities submitted by businesses seeking UK manufacturing partners.
By signing this agreement, the Business agrees to protect all confidential information accessed through the Manufacturers Hub RFQ platform and to conduct itself in a professional, honest and ethical manner.
2. Confidential Information
Confidential Information includes, but is not limited to:
Engineering drawings
CAD models
Specifications
Technical documents
Product information
Material specifications
Pricing information
Project quantities
Delivery requirements
Customer identities
Supplier identities
RFQ documentation
Photographs and images
Any information marked confidential
Any information that would reasonably be considered commercially sensitive
Confidential Information may be supplied electronically, verbally, physically or visually.
3. Confidentiality
The Business agrees that it shall:
Keep all RFQ information strictly confidential.
Use information solely for preparing a quotation.
Not copy, publish, distribute or disclose any RFQ information without prior written consent from Manufacturers Hub.
Restrict access to employees directly involved in preparing the quotation.
Protect all confidential information using appropriate security measures.
4. No Sharing of Information
Without prior written permission from Manufacturers Hub, the Business must not:
Share drawings.
Forward specifications.
Share CAD files.
Send RFQ documentation to third parties.
Publish project information online or on social media.
Discuss confidential projects outside those directly involved with the quotation.
If subcontractor involvement is required, written approval must first be obtained from Manufacturers Hub.
5. No Circumvention
Manufacturers Hub introduces work opportunities to approved businesses.
The Business agrees that it will not directly or indirectly:
Contact the work supplier.
Attempt to identify the work supplier.
Contact the supplier's customer.
Circumvent Manufacturers Hub.
Seek to obtain work outside the Manufacturers Hub RFQ process.
Attempt to avoid Manufacturers Hub's Finder's Fee.
Any attempt to identify or contact a work supplier without prior written consent from Manufacturers Hub will result in:
Immediate removal from the Manufacturers Hub RFQ platform.
Permanent revocation of RFQ access.
Possible termination of Manufacturers Hub membership.
6. Accuracy and Honesty of Information
The Business confirms that all information provided during registration and throughout the RFQ process is accurate, truthful and complete.
The Business agrees to:
Provide honest information at all times.
Notify Manufacturers Hub if any submitted information changes.
Provide evidence where requested to support information supplied.
Manufacturers Hub reserves the right to verify any information provided.
False, misleading or deliberately inaccurate information may result in:
Immediate suspension from the RFQ platform.
Permanent removal from the RFQ section.
Cancellation of any live RFQ submissions.
Removal from Manufacturers Hub membership.
7. "If In Doubt, Shout"
Manufacturers Hub operates an "If In Doubt, Shout" policy.
If The Business is ever unsure whether information may be:
Shared
Copied
Forwarded
Discussed
Printed
Sent to another business
Used outside the RFQ process
The Business must contact Manufacturers Hub before taking any action.
If permission has not been given, assume permission has not been granted.
8. Intellectual Property
All drawings, designs, CAD files, specifications and technical information remain the intellectual property of their respective owners.
Nothing within this agreement transfers ownership of any intellectual property.
The Business receives permission only to review the information for the purpose of preparing a quotation.
9. Return or Deletion of Information
Upon request by Manufacturers Hub, or following closure of an RFQ, The Business agrees to permanently delete or securely destroy all confidential information received.
Manufacturers Hub may request written confirmation that this has been completed.
10. Breach of Agreement
Manufacturers Hub reserves the right to immediately suspend or permanently revoke RFQ access if The Business:
Breaches this NDA.
Shares confidential information.
Attempts to contact the work supplier.
Attempts to bypass Manufacturers Hub.
Provides dishonest information.
Misuses RFQ documentation.
Acts in a manner that damages the integrity of the Manufacturers Hub RFQ platform.
No prior warning is required where Manufacturers Hub believes the integrity of an RFQ or the platform has been compromised.
11. No Guarantee of Work
Access to the Manufacturers Hub RFQ platform does not guarantee:
Invitations to quote.
Award of work.
Future RFQ opportunities.
Work suppliers reserve the right to select suppliers based upon criteria including:
Capability
Quality
Capacity
Delivery
Sustainability
Commercial suitability
Price
Previous experience
Manufacturers Hub does not operate a lowest-price-wins sourcing platform.
12. Duration
This agreement becomes effective upon signature.
The confidentiality obligations within this agreement shall continue for five (5) years after the final disclosure of confidential information.
13. Manufacturers Hub Finder's Fee
The Participating Business acknowledges and agrees that Manufacturers Hub is responsible for sourcing, promoting and introducing RFQ opportunities through its platform.
In consideration of these services, a Finder's Fee of 3% (excluding VAT where applicable) shall be payable to Manufacturers Hub on all work successfully awarded through the Manufacturers Hub RFQ platform.
Payment Responsibility
The Finder's Fee shall ordinarily be paid by the Work Provider (the business placing the RFQ) upon successful completion of the works and in accordance with the agreed payment terms.
Where the Work Provider fails to deduct or remit the Finder's Fee due to an administrative error, oversight or any other reason, the successful Manufacturer agrees to remain jointly responsible for ensuring the Finder's Fee is paid in full and shall make payment to Manufacturers Hub within 14 days of receiving a written request.
The Participating Business further agrees that:
The Finder's Fee becomes due only where a contract has been awarded through Manufacturers Hub.
The fee is calculated as 3% of the final contract value, excluding VAT unless otherwise agreed in writing.
Neither party shall take any action intended to avoid, reduce or circumvent the Finder's Fee.
Failure to pay the Finder's Fee may result in suspension or permanent removal from the Manufacturers Hub RFQ platform and may lead to recovery of the outstanding amount through legal proceedings.

Final Contract Value: £100,000
Manufacturers Hub Finder's Fee (3%): £3,000
By signing this agreement, the Participating Business confirms that it has read, understood and accepts the Manufacturers Hub Finder's Fee arrangement and agrees to comply with the payment obligations set out above.
14. Governing Law
This agreement shall be governed by the laws of England and Wales.
Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
Declaration
By signing below, The Business confirms that it:
Has read and understood this agreement.
Will maintain complete confidentiality.
Will not contact or attempt to identify work suppliers without written permission.
Will provide honest and accurate information.
Will comply with Manufacturers Hub's "If In Doubt, Shout" policy.
Understands that any breach of this agreement may result in immediate and permanent removal from the Manufacturers Hub RFQ platform.
