Certification Mark License Agreement

This Certification Mark License Agreement (the “Agreement”) is made and entered into as of the Effective Date by and between Grassroots Outdoor Alliance, Inc. Recitals
Licensor is the owner of the certification mark “IndieOutdoor,” which certifies that retailers meet certain independence standards. Licensee desires to use the Mark and acknowledges the terms and Certification Standards set forth in this Agreement.
Certification Standards (Summary)
To qualify for use of the Mark, Licensee must:
1. Be 100% independently owned and operated, with no outside investment or control.
2. Maintain complete operational autonomy (not a subsidiary, franchise, or affiliate).
3. Have a primary business focus on outdoor/sporting goods retail.
4. Maintain direct customer relationships through a physical store or online presence.

Mark Usage Guidelines (Summary)
The Mark must be displayed in its entirety without alteration, with the appropriate trademark symbol, and in a manner that is clearly separate from Licensee’s own trademarks. Use is limited to pre-approved categories (storefront, website, email marketing, social media, business communications, and PR). For full details, see Exhibit B and C in the linked agreement.
