REPRESENTATION & FEE NOTICE
WHO WE REPRESENT
If a conventional or third-party lender is involved, Darley Law Firm represents the lender only and does not represent the buyer or seller. If the transaction is cash or owner-financed, Darley Law Firm represents the buyer only, on the limited basis described below. In an owner-financed transaction, we do not represent the seller/owner-financing lender. Any party we do not represent may retain independent counsel.
OUR CLOSING ROLE
When we represent the buyer, that representation is limited to customary title and closing services: examining title; preparing customary closing documents; serving as escrow and settlement agent; conducting the closing; receiving and disbursing funds; recording documents; and issuing applicable title insurance. We do not negotiate the purchase agreement, loan terms, or other business terms for the buyer, and we do not represent the buyer in a dispute or in any other matter. The buyer remains responsible for inspections, surveys, zoning, tax advice, property condition, contract terms, and other due diligence.

TITLE INSURANCE DISCLOSURE
A lender’s policy protects only the lender. An owner’s policy protecting the buyer is available for an additional premium. Darley Law Firm, Inc. is an agent for Chicago Title and CATIC Title and may receive an underwriting commission when a policy is issued. If a lender does not obtain a lender’s title-insurance policy and the firm provides a title opinion, a $200 title-opinion fee will be charged. If the buyer declines an owner’s title policy, an additional legal fee equal to 0.25% of the purchase price will be charged. Our standard pricing anticipates compensation associated with issuing the owner’s policy; this additional fee accounts for the firm’s title-related work and professional responsibility when that compensation is not received. This fee is not an insurance premium, does not provide title-insurance coverage, and does not protect the buyer against title loss.
FEE ACKNOWLEDGMENT
The fees above are based on customary services and will appear on the settlement statement. Unusual title issues, entity documents, extra curative work, third-party charges, recording costs, taxes, and additional requested services may result in added charges.
By signing below, the parties acknowledge the representation applicable to their transaction. In a cash or owner-financed transaction, the buyer consents to the limited representation described above. The seller acknowledges that the firm does not represent the seller, including when the seller provides owner financing. The parties also acknowledge the disclosed fees.
