  • 2027 DIRECTOR QUALIFICATIONS/CRITERIA

    In order to be eligible to appear on the ballot for election to the Board of Directors, members MUST have met the following qualifications: 

    • Actively served on two (2) different GBRAR committees in the five years prior to the year in which they are nominated and have met the attendance requirements for those committees.
    • Been a member in good standing for the past five (5) consecutive years.
    • Completed and returned a nomination form by the designated deadline.
    • Only three (3) members from the same firm may serve as Director at the same time. The immediate past president is not counted in this limit.

    • I agree that if elected, I commit o serve as a member of the Greater Baton Rouge Association of REALTORS® Board of Directors.  As a member, I will actively pursue professional development activities to benefit my service to this Association and know that various research options will be made available to me.

      As a member of the Board of Directors, I agree to:

       1.      Abide by the Bylaws and Rules and Polices of the organization and ensure that all activities of GBRAR are consistent with our mission, bylaw, rules and policies;

      2.      Attend and be fully prepared for all meetings of the Board, including special meetings; 

      3.      Participate in at least one (1) Committee or Task Force and attend Committee/Task Force meetings (in addition to the Board of Directors meetings).  You may be called on to report to the Board of Directors activities or discussions from those meetings;

      4.      Participate in Association events and in fundraising efforts, (including the PAC), as often as possible; and serve as an advocate for participation among others within your sphere of influence.

      5.      Attend the Board of Directors’ Orientation that reviews the roles and responsibilities of a Board Member, Governance vs Management, Fiduciary Responsibilities, Policies and Procedures;

      6.      Work in good faith with my fellow board members and staff toward the achievement of the organization’s goals;

      7.      Avoid any conflict of interest or appearance of a conflict of interest;

      8.      Maintain the confidentiality of special information regarding the organization;

      9.      Preserve the privacy of all organization’s members’ information that is learned and obtained;

      10.   Adhere to , model and uphold the NAR Code of Ethics in all business and service activities;

      11.   At no time knowingly falsify information or share false information pertaining to the organization with any parties;

      12.   Participate in short and long range planning activities;

      13.   Approve the annual budget and monitor financial progress and adherence to the budget;

      I will commit myself to the minimum of 2 years of service as a member of the GBRAR Board of Directors. I understand that as a member of the Board of Directors, I will not receive any special treatment.  I will not use my relationship with GBRAR to enhance personal opportunities, to elicit favor with a special interest group, and/or receive personal gifts or compensation except when approved by the Board of Directors. 

      Should I fail to fulfill these commitments to the organization, I understand that the Association President will call upon me to discuss my responsibilities.   Should there come a time where I am no longer able to fulfill my obligations to the organization, it will be my responsibility to resign my position as a member of the Board of Directors.

    • Greater Baton Rouge Association of REALTORS® ANTITRUST POLICY


      The goal of the Greater Baton Rouge Association of REALTORS® is to lead the industry by providing access to the technology, education, and governmental affairs REALTORS® need to have the best opportunity to make a living in the real estate industry. Consistent with this goal, it is the policy of the Greater Baton Rouge Association of REALTORS® to comply strictly with the antitrust laws. Greater Baton Rouge Association of REALTORS® will not knowingly permit discussions of individual company prices or the related types of sensitive information listed below. Greater Baton Rouge Association of REALTORS® membership is open to any individual meeting the membership qualifications set forth in the Bylaws. The development of any guidelines of standards in which Greater Baton Rouge Association of REALTORS® participates will be open to wide participation by affected parties, and adherence to the guidelines or standards will be strictly voluntary. In conducting any collective research, the Greater Baton Rouge Association of REALTORS® will take care to avoid anti-competitive effects.

      Greater Baton Rouge Association of REALTORS®’ Counsel is well versed in antitrust matters and the association relies on counsel’s judgment to see that topics that may give an appearance of an agreement that would violate the antitrust laws are not discussed at Greater Baton Rouge Association of REALTORS® meetings. In addition, it is the Greater Baton Rouge Association of REALTORS® policy that staff be well versed in antitrust matters. The fact that Greater Baton Rouge Association of REALTORS® staff or counsel is present at a meeting, however, should not invite probing to determine how far a discussion can proceed before it becomes apparent that it is improper and is cut off. It is the responsibility of each member in the first instance to avoid raising improper subjects for discussion. This policy statement has been prepared to assure that participants in Greater Baton Rouge Association of REALTORS® meetings are aware of this obligation. The Do’s and Don’ts presented below highlight basic antitrust principles. Members should consult counsel in all cases involving specific situations, interpretations, or advice.


      DO NOT
      1. Do not, in fact or appearance, discuss or exchange information regarding:
      a. Commission levels, fees, business expenses, or other business information or policies which would allow or encourage price-fixing or maintenance;
      b. Bids on contracts for particular properties or any information which would allow or encourage bid-rigging;
      c. Actions relating to actual or potential competitors that might have the effect of excluding them from your market or of influencing the business conduct of customers towards such competitors;
      d. Plans of individual companies concerning proposed or existing territories or customers;
      e. A firm’s competitive business decisions;
      f. The duration or types of listing agreements or the form of compensation accepted;
      g. The compensation offered or paid to a firm’s agents or employees;
      h. Any other actions that might be construed as concerted attempts to restrain competition, including joint attempts to control or affect prices, market conditions, market practices, customer choice, etc.
      2. Do not discuss or exchange information regarding the above matters during social gatherings incidental to Greater Baton Rouge Association of REALTORS® sponsored meetings, even in jest.
      3. In addition, any general historical statistical data collected by the Greater Baton Rouge Association of REALTORS® is for use and analysis by individual businesses and should not be discussed among competitors at organized functions or otherwise.


      DO:
      1. Adhere to prepared agendas for all Greater Baton Rouge Association of REALTORS® meetings and object any time meeting minutes do not accurately reflect the matters which transpired.
      2. Consult with the Greater Baton Rouge Association of REALTORS® General Counsel and your company on all antitrust questions relating to Greater Baton Rouge Association of REALTORS® meetings.
      3. Protect against any discussions or meeting activities that appear to violate the antitrust laws; disassociate yourself from any such discussions and leave any meeting in which they continue.

      Conflict of Interest Disclosure Statement

       

      This form was approved and adopted in 2006.  It will be distributed to each director, officer and staff member at the January Board of Directors meeting each year.

       In completing this form, please consider the following guidelines:

       1. Any potential conflict of interest that could result in a direct or indirect financial or personal benefit to a Director, officer of staff member must be disclosed in good faith or known to the Board of Directors or committee authorizing a contract or other transaction.

      2. All questions as to whether a conflict of interest exists shall be resolved by a vote of the Board of Directors in which the interested individual may not vote.

      3. The interested individual may participate in the information-gathering stage of the Board of Directors’ or committee’s discussion, but shall retire from the room in which the Board of Directors or a committee thereof is meeting and shall not participate in the final deliberation or decision regarding such contract or other transaction.  Such interested individual may not vote on such contract or other transaction.

      4. In connection with all actions taken by the Board of Directors with respect  to any contract or transaction between the Association and one or more of its directors or officers, or between the Association and any other corporation, firm, association or other entity in which one or more of the Directors or officers of the Association is a director or officer or has a substantial financial interest, affiliation, or other significant relationship, each such interested director or officer of the Association shall: disclose to the Board of Directors the material facts as to such director’s or officer’s interest in such contract or transaction and as to any such common directorships, offices, or significant financial interest, affiliation, or other significant relationship, which disclosure shall be duly recorded in the minutes or resolutions relating to such actions, and abstain from voting on any such contract or transaction.

      If I become aware of a potential conflict of interest in the future, I will disclose this potential conflict to the President.  I understand that, when in doubt, disclosure is recommended.
