This Agreement records the terms on which Rachael Day (the "Coach") will provide the Inevitable Success Mastermind to the person identified above (the "Client"). Its purpose is to create clear expectations so the relationship can be supportive, productive and respectful.

Inevitable Success Mastermind is a three-month personal development and subconscious coaching container for women in service-based businesses. It is designed to support the woman behind the business: who she is, how she leads and what becomes possible in her business.

The Mastermind runs from Monday 24 August 2026 to Friday 20 November 2026.

The Client understands that the Mastermind is a collaborative coaching container rather than a guaranteed pathway to any particular personal, business or financial outcome.

Subject to this Agreement, the Client will receive:

• Fortnightly 90-minute live mastermind calls, generally held on Wednesdays at 10:00 am AEST, beginning Wednesday 26 August 2026.
• Access to replays of recorded group calls for the access period described in clause 10.
• Two 90-minute 1:1 Conscious Success Sessions to be used during the Mastermind term, unless a short written extension is agreed by the Coach in exceptional circumstances.
• Access to the private online community, including coaching and support as described in clause 8.
• Participation in the proposed two-night Inevitable Success Retreat in October 2026, subject to the retreat terms in clause 9.
• Teaching, hot-seat coaching, strategic support, communication work, personal-development processes and subconscious work selected in response to the needs of the group and the Client.

The precise focus, sequence, format and mix of activities may change in response to the needs of the group, participant safety, timing, availability and circumstances outside the Coach's reasonable control.

The services are coaching, mentoring, education and personal development. They may address personal, professional or business goals, decisions, beliefs, communication, identity, habits and patterns.

The services are not counselling, psychology, psychotherapy, psychiatric care, medical treatment, legal advice, accounting advice, financial advice or a substitute for support from an appropriately qualified professional.

The Coach does not diagnose, treat or cure physical or mental-health conditions. The Client remains responsible for their own wellbeing, choices, actions, business decisions and implementation.

Depending on what is appropriate, the Mastermind and 1:1 sessions may include coaching, guided visualisation, Neuro-Linguistic Programming-informed techniques, Matrix Therapies, hypnosis, identity work and other personal-development processes.

Hypnosis may involve focused attention, relaxation, imagination and suggestion. Participation in every process is voluntary. The Client may ask questions, decline an activity, pause, communicate discomfort or withdraw consent at any stage.

The Client understands that experiences and responses vary, and that thoughts, emotions, memories or physical sensations may arise. The Coach may pause, modify or discontinue a process if continuing appears inappropriate, unsafe or outside the Coach's scope.

The Client agrees to provide honest and relevant information before and during the Mastermind, including information about health conditions, medication, current professional support or personal circumstances that may affect safe participation.
Disclosure does not automatically prevent participation. The Coach may recommend that the Client seek advice or clearance from an appropriately qualified professional, modify an activity, postpone a process or decline to provide a particular service where reasonably necessary.

The Client must not participate in hypnosis or another altered-attention process while driving, operating machinery, affected by alcohol or recreational drugs, or in an environment that is not reasonably safe and interruption-free.
The Client must seek appropriate professional or emergency support for any issue outside coaching scope. The community and coaching services are not emergency, crisis or immediate-response services.

The Client agrees to:

• participate honestly and respectfully, remain open to feedback and take responsibility for deciding what to implement;
• use reasonable efforts to attend scheduled activities and communicate promptly about relevant difficulties;
• respect the experiences, boundaries and confidentiality of every participant;
• avoid giving unqualified medical, legal, financial or mental-health advice to other participants;
• use the Mastermind services and materials only for their own personal and business development, and
• comply with reasonable group, venue, technology and safety directions communicated by the Coach.

 

Participants are encouraged to attend live group calls with cameras on where practical, as active presence supports connection and participation.

Group calls
The Coach may adjust a call date, time or format where reasonably required and will give as much notice as practical. If the Client cannot attend live, the replay may be used where a recording is available.

1:1 Conscious Success Sessions
The Client is responsible for booking and using both 1:1 sessions during the Mastermind term. Any unused session expires on 20 November 2026 unless the Coach agrees in writing, at her discretion, to a short extension due to exceptional circumstances.
At least 24 hours' notice is requested where possible for rescheduling. Where less notice is provided, rescheduling is at the Coach's discretion. A session missed without notice may be forfeited. If the Coach needs to reschedule, a reasonable alternative will be offered.

The Coach will provide a private online community for support, coaching, connection and celebration. The platform may be Facebook, WhatsApp or another reasonably suitable platform selected by the Coach.

The Coach will generally access the community at least once on Mondays, Wednesdays and Fridays to review posts and respond where coaching or input is requested.

The Client can generally expect a response to a genuine question within 72 hours, excluding public holidays, planned leave, illness, emergencies or circumstances outside the Coach's reasonable control. This does not guarantee an immediate response or a response to posts that do not request input.

Community access is for current participants only. The Client must not add another person, copy discussions outside the community or contact another participant for unsolicited promotion, recruitment or sales.

The Coach proposes to hold a two-night immersive retreat in New South Wales, within driving distance of Sydney, from Friday 9 October to Sunday 11 October 2026.

The final venue, schedule, accommodation arrangements and inclusions will be confirmed separately. The Mastermind investment includes the Coach's facilitation and the retreat program.

Travel, travel insurance, accommodation and any separately identified retreat contribution are additional to the Mastermind investment.

The Coach intends to organise accommodation and relevant shared arrangements. Once details are confirmed, the Client will be told the additional contribution, what it includes and the payment deadline. It may include accommodation, selected meals, venue costs, materials, facilitators or other shared retreat expenses.

Personal purchases, optional activities, insurance, transport to and from the retreat and anything not expressly included remain the Client's responsibility. A retreat place is not secured until any required additional payment is received.

Attendance is optional but encouraged. If the Client is unable or chooses not to attend, the Mastermind investment remains unchanged. The Coach may, where practical, provide relevant resources or integration support but does not guarantee that the retreat will be recorded, streamed, rescheduled or replicated online.

A separate retreat participation agreement, medical information form or venue waiver may be required once the activities and location are confirmed.

Group calls may be recorded for current participants. The Client understands that their name, voice, image, chat messages and contributions, including hot-seat coaching, may appear in a replay.

Replays and supporting resources will ordinarily remain available until 31 December 2026. The Coach may provide longer access at her discretion but does not promise permanent or lifetime hosting.

Recordings and their contents are confidential. The Client must not copy, download, screen-record, reproduce, share, publish, distribute or allow another person to access them. The Coach may pause or omit recording where appropriate and does not guarantee that every call or every part of a call will be successfully recorded.

1:1 Conscious Success Sessions will not be recorded or retained by the Coach. The Client may request to record their session on their own device for personal reference, provided this is discussed and agreed at the beginning of the session.

Any client-made recording must remain private and must not be shared, published, reproduced or distributed without the Coach's written permission.

The Client selects one of the following payment options:

Option A – Pay in full $3,500 AUD payable at enrolment.

Option B – Payment plan $3,800 AUD in total, comprising $500 payable at enrolment followed by five fortnightly payments of $660 on the dates displayed at checkout.

The selected payment option will be identified in the electronic form and payment record. Prices are in Australian dollars. Rachael Day is not registered for GST and no GST is charged. The Client's place is confirmed only after this Agreement is accepted and the required initial payment is successfully received.

By selecting the payment plan, the Client commits to paying the full investment of $3,800 AUD. The payment plan is not a pay-as-you-go arrangement or cancel-anytime membership.

The initial $500 payment secures the Client's place in the Mastermind and forms part of the total investment. It is non-refundable for change of mind, withdrawal or non-participation, except where a refund or other remedy is required under the Australian Consumer Law.

The Client remains responsible for all scheduled payments even if they later choose not to attend, participate, use a session, attend the retreat or continue in the container, except where a remedy is required by law or expressly provided under this Agreement.

The Client authorises payments through Pay Then or the payment provider selected at checkout and must maintain a valid payment method with sufficient funds. The payment provider's terms apply in addition to this Agreement.

If a payment fails, the Client must promptly update their payment method or make alternative arrangements. The Coach may pause access to calls, replays, sessions, the community or the retreat while an amount remains overdue.

Where an overdue amount is not resolved within 10 days after written notice, the Coach may end the Client's access and take reasonable steps to recover the unpaid amount. Any recovery costs sought must be reasonable and legally recoverable.

The Client must not initiate a chargeback for a validly authorised payment without first contacting the Coach at hello@rachaelday.com.au and making a genuine attempt to resolve the issue.

Except where required by the Australian Consumer Law, payments are non-refundable for change of mind, withdrawal, non-participation, failure to use an inclusion or inability to attend a particular component.

Withdrawal from participation does not automatically cancel a payment-plan commitment. Any discretion exercised by the Coach in an individual case does not create an entitlement or precedent for another case.

Nothing in this Agreement excludes, restricts or modifies any consumer guarantee, right or remedy that cannot lawfully be excluded.

The Coach may make reasonable changes to dates, platforms, delivery methods, venues, facilitators or content where needed to deliver the Mastermind, respond to participant needs or manage circumstances outside the Coach's reasonable control.

Where a material live component must be postponed, the Coach will provide a reasonable replacement date, alternative delivery or comparable support where practical.

If the Coach permanently cancels a material portion of the remaining Mastermind and cannot provide a reasonably comparable alternative, future payment-plan instalments relating to the undelivered portion will be cancelled and the Client will receive an appropriate pro-rata refund for material services paid for but not delivered.

Any calculation will reasonably consider the proportion and value of services already delivered and services remaining, subject to the Australian Consumer Law.

The Coach will provide the agreed services with due care and skill but cannot guarantee any particular personal, emotional, business, revenue, sales, speaking, client or financial result.

Examples, testimonials and client stories illustrate individual experiences only. Results vary according to circumstances, participation, decisions, implementation and factors outside the Coach's control.

The Client remains responsible for evaluating business and financial decisions and obtaining independent professional advice where appropriate.

The Coach will treat information shared by the Client as confidential and will not publicly identify or share it without permission, except where disclosure is required by law, necessary to administer the Mastermind through trusted service providers, or reasonably necessary because of a serious risk of harm to the Client or another person.

Because this is a group container, the Client also agrees to protect the confidentiality of every participant. The Client must not share another participant's identity, business information, personal story, coaching, screenshots, recordings or comments outside the Mastermind without that participant's express permission.

The Client understands that the Coach cannot guarantee another participant's conduct, but may address breaches under clause 20.

The Coach may collect contact details, business information, goals, coaching information, health or suitability information, communications, session notes and payment records to administer and deliver the Mastermind.

Personal and sensitive information will be handled in accordance with the Privacy Policy at https://www.rachaelday.com.au/privacy-policy.

The Client acknowledges that reputable third-party services, including Jotform, Squarespace, Zoom, PayThen, email providers and the selected community platform, may process or store information in Australia or overseas.

The Client consents to the collection and use of information reasonably necessary to assess suitability, prepare for sessions, provide coaching, administer payments, communicate and meet legal obligations.

All workbooks, frameworks, recordings, templates, processes, presentations, written materials, hypnosis audios and other resources supplied by the Coach remain the Coach's intellectual property or are used under licence.

The Client receives a limited, personal, non-transferable licence to use supplied materials for their own development and business. The Client must not copy, sell, teach, reproduce, distribute, license, publish, upload or create derivative products from them without written permission.

The Client retains ownership of their own pre-existing intellectual property and business materials. Feedback or coaching does not transfer ownership of the Client's business to the Coach.

The Coach may celebrate or refer to general, de-identified wins, feedback or outcomes shared during the Mastermind, provided the Client cannot reasonably be identified.

The Coach will seek the Client’s permission before publicly using their name, image, business name, voice, identifiable screenshot, full testimonial or personal story for marketing or promotional purposes.

The Client may advise the Coach in writing at any time that they do not want any feedback, wins or outcomes shared publicly, including in de-identified form. The Coach will respect that preference for future use.

Any testimonial or result shared publicly will reflect the Client’s genuine experience and will not be materially altered or presented in a misleading way.

The Coach may suspend or end the Client's participation if the Client seriously or repeatedly breaches confidentiality, infringes intellectual property, behaves abusively or disruptively, harasses another participant, fails to meet payment
obligations, misuses the community or creates a material safety or wellbeing concern.

Where reasonable, the Coach will explain the concern and provide an opportunity to address it. Immediate action may be taken where reasonably necessary to protect safety, confidentiality, other participants or the integrity of the Mastermind.

Removal because of the Client's serious breach does not automatically release the Client from valid payment obligations, subject to rights and remedies that cannot legally be excluded.

A concern or complaint should first be provided in writing to hello@rachaelday.com.au. Both parties agree to make a genuine, good-faith attempt to resolve it through direct discussion.

If it is not resolved within a reasonable period, either party may propose mediation through a mutually agreed Australian mediator before commencing court proceedings, unless urgent relief or a statutory process is required.

Each party will ordinarily bear their own costs of negotiation and mediation unless otherwise agreed or ordered.

This Agreement is governed by the laws of New South Wales, Australia. The parties submit to the non-exclusive jurisdiction of the courts and tribunals of New South Wales.

If a provision is invalid or unenforceable, it will be read down or severed to the minimum extent necessary without affecting the remaining provisions.

This Agreement, the selected checkout and payment schedule, any agreed retreat terms and documents expressly incorporated by reference form the entire agreement about the Mastermind.

A change or waiver must be recorded in writing and agreed by both parties, except for reasonable operational changes expressly permitted by this Agreement.

The parties agree that this Agreement may be accepted electronically.

Typing a name, checking required acknowledgements and submitting the Jotform are intended to identify the Client and indicate their agreement.

The Client should retain the completed agreement and payment confirmation for their records.

By accepting this Agreement, the Client confirms that:

• they are at least 18 years old;
• they have read and understood this Agreement and had the opportunity to ask questions before payment;
• the information they provide is accurate to the best of their knowledge;
• they understand the nature and limits of coaching, personal development, hypnosis and subconscious work;
• they understand that participation in individual activities is voluntary but payment obligations are governed by the selected payment option and this Agreement;
• they understand that no specific outcome or income is guaranteed;
• they agree to protect group confidentiality and respect other participants;
• they agree to the recording and replay provisions in clause 10;
• they have reviewed the Privacy Policy; and
• they voluntarily agree to participate in Inevitable Success Mastermind.
