Affiliate & Referral Partner Agreement Terms
FURIN FITNESS Affiliate & Referral Partner Agreement Effective upon execution by both parties Purpose This Agreement is entered into between Furin Fitness (the "Company") and the undersigned party (the "Partner"). The Company operates online fitness coaching, programs, courses, consultations, and related services. Under this Agreement, the Partner agrees to promote the Company's offerings in exchange for commissions on qualified referrals. Independent Contractor Relationship The Partner is an independent contractor and is not an employee, agent, representative, joint venturer, or legal partner of the Company. The Partner is solely responsible for all taxes, insurance, licenses, and any other obligations associated with their earnings under this Agreement. Commission Structure The Company will pay the Partner 33% of the initial purchase price on each qualified referral. Commissions apply to the customer's first successful purchase only. Recurring subscriptions, renewals, upgrades, additional packages, or future purchases are not commissionable unless separately agreed in writing. Commissions are calculated on the net amount actually received by the Company, excluding taxes, refunds, chargebacks, processing fees, and any discounts or promotional credits applied. Qualified Referrals A referral is considered qualified when all of the following conditions are met: The customer is new to Furin Fitness The purchase is completed using the Partner's assigned referral link or tracking code Payment has been successfully processed and is not fraudulent The purchase has not been refunded or disputed within the applicable refund period The Company retains sole discretion over referral validation. Payment Schedule Commissions are paid monthly, within 15 business days following the close of each calendar month. The Company may delay payment in cases involving pending refunds, payment disputes, fraud investigations, chargebacks, or incomplete tax information on file. Refunds & Chargebacks Commissions are not earned on transactions that result in a refund, payment reversal, chargeback, or fraudulent payment. If a commission has already been paid on such a transaction, the Company may deduct the corresponding amount from future commission payments. Monthly Partner Report The Company will provide each Partner with a monthly report that includes, where reasonably available: referred leads and their status, scheduled consultations, closed and lost opportunities, and a summary of commissions earned, paid, and outstanding. Reports are informational only and may omit confidential customer information as required by law or Company policy. Marketing Guidelines The Partner agrees to represent the Company honestly and in accordance with all applicable laws. Specifically, the Partner will: Avoid misleading, false, or exaggerated claims about the Company's services or results Never guarantee specific client outcomes Follow all FTC disclosure requirements when promoting affiliate links Use only approved branding and materials when requested The Company may request removal of any marketing materials it deems inaccurate or off-brand. Intellectual Property The Company grants the Partner a limited, revocable, non-exclusive license to use approved logos, images, and marketing materials solely for the purpose of promoting Furin Fitness. All intellectual property remains the exclusive property of the Company. Confidentiality The Partner agrees not to disclose any confidential business information obtained through this relationship, including pricing strategies, client information, internal documents, marketing strategies, sales data, or business processes. This obligation survives termination of this Agreement. Customer Ownership All customers referred by the Partner become customers of Furin Fitness. The Company retains full ownership of all customer relationships, data, communications, and associated sales processes and assets. Scope of Authority The Partner has no authority to act on behalf of the Company. The Partner may not sign contracts, offer discounts, modify pricing, make promises outside of published offers, or bind the Company to any obligation without prior written authorization. Legal Compliance The Partner agrees to comply with all applicable federal, state, and local laws, including those governing advertising, privacy, consumer protection, and anti-spam communications. Term & Termination Either party may terminate this Agreement at any time by providing written notice. The Company may terminate immediately and without notice in cases of fraud, misrepresentation, brand damage, material violation of this Agreement, or illegal or unethical conduct. Upon termination, commissions earned on valid, non-disputed transactions prior to the termination date remain payable. Commissions tied to invalid or disputed transactions are forfeited. Limitation of Liability To the maximum extent permitted by law, the Company's total liability to the Partner shall not exceed the total commissions paid during the six months preceding the event giving rise to the claim. The Company is not liable for any indirect, incidental, special, consequential, or punitive damages. Indemnification The Partner agrees to defend, indemnify, and hold harmless Furin Fitness and its owners, employees, contractors, and affiliates from any claims, damages, liabilities, costs, or expenses arising from the Partner's promotional activities, breach of this Agreement, negligence, or violation of applicable law. Governing Law This Agreement is governed by the laws of the State of Utah, without regard to conflict-of-law principles. Any disputes shall be resolved in the appropriate state or federal courts located in Utah. Entire Agreement This Agreement constitutes the complete understanding between the parties and supersedes all prior discussions, negotiations, or representations. Any amendments must be made in writing and signed by both parties. Electronic Signatures Electronic signatures, including those executed through approved digital signature platforms, carry the same legal effect as original handwritten signatures.
