  • Background of the Foundation of NACE

    The Foundation of NACE (FON) was established as a domestic nonprofit corporation on January 30, 1985, chartered in the state of California, and received recognition by the Internal Revenue Service as a 501(c)(3) charitable entity on December 18, 1986. The mid-1980’s NACE leadership, especially past president Peter Gunther, CPCE, CMP, was instrumental in the Foundation’s inception. The board of trustees is the Foundation’s governing body. The FoN is a self-managed, independent entity. It is aligned with, but not a part of NACE (National Association for Catering and Events). The trustees, a majority of whom must be members in good standing of the National Association of Catering & Events, are elected to one-year, renewable terms of office.
  • Mission Statement

    The mission of the Foundation of NACE is to support the catering and events industry through education and investments that support NACE chapters. We do this through innovative, transformative programs that elevate our collective community.  
  • What We Do.

    Chapter Speaker Series: The Foundation of NACE is known for its commitment towards education for chapters and members. The Speaker Series Grant program helps chapters bring in high quality education through top-notch speakers for webinars and in-person chapter meetings, by providing each chapter a one-time annual $500 grant.                                                                        
  • Scholarships: The Foundation provides support for current and future (student) professionals through merit-based education scholarships. Our vision is to build both knowledge and connections that will have a long-lasting impact on the careers of each scholar for years to come.   5 Scholarships are offered annually including our CPCE Scholarship. 
  • Education: The Foundation’s mission to support education extends beyond member and chapter support by supporting the annual education programs presented at both the Evolve Leadership Conference and the Experience National Conferences. 
  • The "Ideal" Trustee Candidate

    The ‘Ideal’ Trustee Candidate is an individual with extensive, successful experience in the catering, special events, meetings, education, or hospitality industries. A successful FON Trustee candidate will have held responsible positions, demonstrated leadership qualities, and proven to be a team player. Future Trustees listen objectively, analyze information, and think clearly and creatively. NACE Trustees have impeccable reputations for doing the right thing, and for doing things right. They have proven themselves honest, friendly, and caring. Community-building skills, personal integrity, a developed sense of values, and commitment to the Foundation’s current success and future growth are essential. Fundraising skills and the capacity to help identify and leverage a strategic, diverse donor network are imperative. Recognizing future Foundation leaders and recruiting committee members is part of the exemplary trustee’s skill set, as is a general understanding of budgets, financial statements, and investments.
  • Expectations

    Foundation of NACE trustees must be willing and able to satisfy the following expectations, and must commit to expending, on average, five (5) to ten (10) hours per month on ‘Foundation’ activities as set forth below. Prepare for (by reviewing the monthly Board packet) and actively participate (by offering insights, suggestions, and opinions) in monthly 1-hour virtual Board meetings. Note: No more than three (3) excused annual absences, approved by the President, are allowedServe as  a contributing member of at least one FON Committee (Programs, Events, Donor Relations, Finance, etc.)At the FON President’s request, accept appointment to, attend meetings of, and report monthly on the activities of a NACE National Committee (NACE Membership required).Twice annually, the board meets in person, typically during the EVOLVE Leadership Conference in January or early February, and at the NACE EXPERIENCE Educational Conference in late July or early August. Attendance at one of these events is required, and attendance at both events is encouraged. A mandatory Board Retreat may also be scheduled when deemed necessary. Trustees must bear their own travel and personal expenses for in-person meetings. The FoN does not provide any reimbursement or payment of any kind for travel and personal expenses in conjunction with any Foundation activities.   Foundation Trustees must make monetary donations to the Foundation of no less than $1,200 each fiscal year. Foundation Trustees may satisfy this requirement from personal or corporate funds, and/or may secure the requisite financial contribution from a third-party donor or donors. Indirect (third-party) contributions must include the Trustee’s name (to whom ‘credit’ for the donation will be given). In-kind contributions and donations are welcome, but do not ‘count’ toward satisfying the minimum financial donation requirement.   • The Foundation of NACE strongly recommends that all candidates consult with their supervisors, business partners, etc. and discuss the time commitment required for service to the Foundation and seek their support.

     

    Serving as a Foundation Trustee involves a time commitment, which can be up to 10 hours a month during our committee’s peak work schedule and as little as 3 hours a month during non-peak times.  The time commitment to serve as a Foundation Trustee will include, at a minimum, one board meeting per month of approximately one hour. These monthly meetings consist of ten meetings via Zoom and two meetings in-person, held during the annual NACE conferences.  This also includes monthly committee meetings that would be weekly during peak times and once a month during non-peak times.  In addition, every three years attendance at an in-person Board Retreat of approximately two days of meetings is required to set the 3-year strategic plan of work.  Hotel and travel reimbursements are not provided to board trustees for any in person meetings.

     

    Three absences of any of these meetings annually will constitute a resignation of service to the Foundation Board.

     

    Each trustee will be assigned an individual committee to serve and report on at each monthly meeting.  Trustees are also expected to personally "Give or Get" a minimum of $1,200 in donations annually to the Foundation.

    As a member of the Board of Trustees (the “Board”) of the Foundation of NACE who participates in the development, modification and refinement of written, electronic and other materials in furtherance of the Foundation’s purposes and mission (collectively, the “Intellectual Property”), for good and valuable consideration, I hereby completely, exclusively and irrevocably assign and agree to assign to the Foundation of  NACE in perpetuity ownership of all of the copyrights (and all rights subsumed hereunder) and other intellectual property rights in and to all of my contributions to the Intellectual Property (the “Contributions”), both those Contributions that have been made in the past and those that will be made in the future.

     

     

    Confidentiality Statement

    As a member of the Board, I recognize that I owe a fiduciary duty of care to the Foundation.  This includes a duty of confidentiality.  All information and documentation that I receive from NACE and others in connection with my service on the Board will be treated with strict confidentiality.  Neither the contents nor the existence of this information or documentation will be shared with anyone other than the officers, directors, employees, and attorneys of the Foundation.  I will direct any questions regarding my confidentiality obligations to the Executive Director. 

     

     

    Conflicts of Interest Policy

    As a member of the Board, I recognize that I owe a fiduciary duty of loyalty to the Foundation.  This duty requires me to avoid conflicts of interest and to act at all times in its best interests.  The purpose of the conflicts of interest policy (set forth below) is to help inform the Board about what constitutes a conflict of interest, assist the Board in identifying and disclosing actual and potential conflicts, and help ensure the avoidance of conflicts of interest where necessary.  This policy may be enforced against individual Board members as described below:

     

    1. Board members have a fiduciary duty to conduct themselves without conflict to the interests of the Foundation. In their capacity as Board members, they must subordinate personal, individual business, third-party, and other interests to the welfare and best interests of the Foundation.

     

    2. A conflict of interest is a transaction or relationship which presents or may present a conflict between a Board member’s obligations to the Foundation and the Board member’s personal, business or other interests.

     

    3. All conflicts of interest are not necessarily prohibited or harmful to the Foundation of NACE.  However, full disclosure of all actual and potential conflicts, and a determination by the neutral, uninvolved Board (or NACE Executive Committee) members – with the interested Board member(s) recuse from participating in debates and voting on the matter – are required.

     

    4. All actual and potential conflicts of interests shall be disclosed by Board members to the NACE Executive Committee through the annual disclosure form and/or whenever a conflict arises. The neutral uninvolved members of the NACE Executive Committee shall make a determination as to whether a conflict exists and what subsequent action is appropriate (if any). The NACE Executive Committee shall inform the Board of such determination and action. The Board shall retain the right to modify or reverse such determination and action, and shall retain the ultimate enforcement authority with respect to the interpretation and application of this policy.

     

    5. On an annual basis, all Board members shall be provided with a copy of this policy and required to complete and sign the acknowledgment and disclosure form below. All completed forms shall be provided to and reviewed by the Treasurer, as well as all other conflict information, if any, provided by Board members.

     

    ACKNOWLEDGMENT AND CONFLICT OF INTEREST DISCLOSURE FORM

    I have read the Copyright Assignment, Confidentiality Statement, and Conflicts of Interest Policy set forth above and agree to comply fully with their terms and conditions at all times during my service as a Foundation of NACE Board member and thereafter as may apply.  I understand that failure to do so shall be cause for my suspension or removal from the Board of Trustees and result in my exclusion from executive sessions of the Board.  If at any time following the submission of this form, I become aware of any actual or potential conflicts of interest, or if the information provided below becomes inaccurate or incomplete, I will promptly notify the Foundation of NACE Executive Director in writing.
