  • 1. Definitions & Agreement

    • Definitions:"Applicant"/Candidate" means any individual introduced by the Agency for permanent or temporary employment."Client" means the individual, firm, or corporate body engaging the Agency."Introduction" means the passing of a candidate’s details, CV, or conducting an interview following the Client’s request.
    • Acceptance: Submitting a Registration Form, requesting candidate details, or interviewing a candidate  constitutes full acceptance of these Terms. These terms supersede all prior agreements.
    • Third Parties: Anyone acting on the Client's behalf promises authority to bind the Client. Pass-through introductions to third parties remain the financial responsibility of the Client.
    • The Agency operates as an Employment Agency as defined under the Employment Agencies Act 1973 and Conduct Regulations 2003. The Agency acts solely as an intermediary to introduce Candidates. Candidates are directly employed by the Client, and the Agency does not employ or pay Candidates directly.

     

    2. Agency & Client Obligations


    Agency Obligations:

    • The Agency provides an introductory search service using reasonable skill and care in line with UK statutory standards. Time of commencement is not of the essence.
    • The Agency shall verify candidate identity, entitlement to work in the UK, and basic qualifications prior to Introduction. While the Agency advises all Candidates to maintain enhanced DBS checks and Update Service registrations, the final duty of care to verify DBS certificates, original qualification documents, and conduct face-to-face interviews remains with the Client prior to employment.

    Client Obligations:

    The Client is the employer and is solely responsible for:

    • Complying with UK employment law, negotiating employment contracts, paying wages/taxes, and securing work permits.
    • Verifying references, childcare/driving qualifications, and DBS status.
    • Maintaining appropriate Employer’s Liability and Household/Public Liability Insurance. 
    • Immediately informing the Agency of employment offers, acceptances, agreed salaries, or prior candidate contact.

     

    3. Fees & Payment Terms

    • Payment Due: Invoices are payable within 14 days of issue or prior to employment start, whichever is earlier. Late payments incur 10% interest under The Late Payment of Commercial Debts (Interest) Act 1998 after 28 days.
    • Introduction Fee Triggers: The full applicable fee is due if the Client engages an Applicant or passes their details to a third party who engages them in any capacity within 12 months of the initial Introduction.
    • Re-engagements & Extensions: Extending temporary roles or re-engaging a Candidate within 12 months requires notification to the Agency within 7 days and payment of the additional fee.
    • Cancellation Fees & Genuine Loss: If the Client withdraws an offer of employment after acceptance:
      • 14 days or less prior to the start date: The Client shall pay a cancellation fee equal to 100% of the Agency Fee, which represents a genuine pre-estimate of the Agency’s administrative, recruitment, and operational Losses.
      • 15 days or more prior to the start date: A cancellation fee equal to 50% of the Agency Fee applies.
      • Post-acceptance withdrawals at any stage incur a minimum £350 administration charge. 
    • Note: No fee is charged if the Candidate cancels the placement prior to the start date. 

     

    4. Fee Structure

    • Permanent Staff

    Full/Part time Nannies, Mother’s Helps, Housekeepers, Nanny/Housekeepers. 8% of the annual gross salary (minimum fee £500)

    After School Nannies (3pm & 8pm daily only) £500                                                     

    International Placements 15% of the annual gross salary (minimum fee £1000)

    Nanny Share Recruitment (2 families who know each other,each client pays 50% of the fee) 12% of the annual gross salary (minimum fee £700)

    Nanny Share Introduction & Recruitment (50% fee due by each client) 14% of the annual gross salary (minimum fee £800)

     

    • Temporary Staff (placements up to 12 weeks)

    Full/Part time Nannies, Mother’s Helps, Housekeepers, Nanny/Housekeepers £90 per week (7 calendar days) or £25.00 per day

    Overnight Nannies £50 per night

    Proxy Parent £100 per 24 hour booking

    Maternity Nurses and Doulas £100 per week (7 calendar days) or £30.00 per day

    Babysitters £15 per booking (from 7pm) , £20 per booking (from 5pm), £25 per booking (from 3pm)

    Temporary to Permanent 4% of the annual gross salary

    Please note these fees are not subject to VAT and any discounts agreed by the Agency are subject to invoices being settled within 14 days as per the guarantee period.

    Discounts

    We offer a discount of 10% on our final fee (excluding after school placements) if we are engaged as the sole placement agency. All other discounts must be provided in writing by the Agency. The Agency reserves the right to withdraw the offer of a discount in the event that the fees are not paid on time.

     

    5. Replacements & Refunds

    • Eligibility: To qualify for refunds or replacements, the initial invoice must be paid within 14 days of issue.
    • Non-starter: Full refund minus £300 admin fee if notified within 24 hours of failure to start.
    • Early Departure (Within 6 Weeks): If a Candidate leaves within 6 weeks (unrelated to altered job descriptions, statutory breaches, or unreasonable working conditions):
      • The Agency will attempt to find a replacement within 10 weeks.
      • If no replacement is found: 60% refund (Leaves within 4 weeks) or 30% refund (Leaves within 6 weeks), subject to a £300 minimum retained fee.
    • Conditions: The Client must maintain exclusivity during the first 4 weeks of the search and respond within 7 days to all communications.
    • If the Client does not intend to employ a Candidate on the same hours/salary as the initial instruction then no refund will be given and a replacement will incur a fee.

     

    6. Limitation of Liability

    • To the fullest extent permitted by law, the Agency excludes liability for any acts, omissions, negligence, or misconduct of Applicants.
    • The total aggregate liability of the Agency under contract or tort shall not exceed £1,000 or the extent of its Professional Indemnity Cover.
    • Nothing limits liability for death, personal injury caused by negligence, or fraud.

     

    7. Data Protection & Confidentiality

    • Both parties will comply with UK Data Protection Legislation (UK GDPR/DPA 2018). Personal data shared between the parties must be kept confidential and processed solely to facilitate introductions.
    • Candidate details must be securely destroyed after the 12-month introduction period unless explicit consent is provided.

     

    8. Governing Law

    This contract is governed by the laws of England and Wales under the exclusive jurisdiction of the English Courts
