Photo Submission, Release, and Copyright Assignment Agreement

NUCA of Washington
By submitting photographs to NUCA of Washington for entry into the We Dig Washington Photo Contest, I acknowledge and agree to be bound by all official contest rules, which are incorporated herein by reference as follows:
1. Ownership and Authority
I represent and warrant that I am the photographer who created the submitted photograph(s), or I have full legal authority to submit the photograph(s), and grant the rights described in this Agreement.
The submitted photograph(s) are original works and do not infringe upon the copyright, trademark, privacy, publicity, or other rights of any third party. I have obtained all necessary permissions, approvals, consents for collection, publication, and use of personal likenesses from any identifiable individuals appearing in the photograph(s), as required by law and shall provide copies of all such releases to NUCA of Washington within seven (7) calendar days of its written request.
2. Safety Compliance
I certify that the submitted photograph(s): accurately depict utility construction, excavation, or related industry work; show workers following applicable safety standards and using appropriate personal protective equipment (PPE) for the work being performed; do not intentionally portray unsafe work practices.
I understand that NUCA of Washington reserves the right to reject or disqualify any submission that, in its sole discretion, depicts unsafe conditions or conduct.
3. Copyright Assignment
In consideration for participation in this contest and other good and valuable consideration, the receipt and sufficiency of which are acknowledged, I hereby irrevocably assign, transfer, and convey to NUCA of Washington all right, title, and interest in and to the submitted photograph(s), including all copyrights and intellectual property rights associated with the photograph(s). Upon submission, NUCA of Washington shall become the sole owner of the submitted photograph(s) and all related rights.
4. Permission to Use Photographs
I acknowledge and agree that NUCA of Washington may use the submitted photograph(s) for any lawful purpose, including but not limited to: Marketing and advertising materials, Conference and event promotions, Websites and digital media, Social media platforms
Newsletters and email communications, Publications and reports, Educational materials,
Membership recruitment and retention efforts, Public relations and media outreach, Future contests, events, and promotional campaigns. The submitted photograph(s) may be edited, cropped, resized, reproduced, distributed, displayed, published, or otherwise modified at the sole discretion of NUCA of Washington.
5. No Additional Compensation
I understand that, except for any contest prizes that may be awarded, I will not receive any additional compensation, royalties, licensing fees, or other payments for the use of the submitted photograph(s), regardless of how often or where they are used.
6. Release and Hold Harmless
I release, indemnify, and shall defend and hold harmless NUCA of Washington and its officers, directors, employees, committee members, agents, representatives, sponsors, and affiliated organizations from and against any and all claims, losses, judgements, settlements, attorney’s fees, liabilities, damages, costs, expenses, or causes of action arising out of or related to: the submission of the photograph(s); representation or warranties made regarding the use or publication of the photograph(s); any claim of copyright infringement, privacy violation, or right of publicity; participation in the contest.
In no event shall NUCA of Washington be liable for indirect, incidental, consequential, special, or punitive damages arising from participation in the contest.
7. Contest Administration
I understand that NUCA of Washington reserves the right to determine eligibility, judging criteria, finalist selection, award recipients, and all other matters relating to the administration of the contest. Decisions of NUCA of Washington regarding the contest are final. NUCA of Washington may reject, remove, discontinue use of, or decline to publish any submission at its sole discretion.
8. Severability
Every paragraph, part, term, or provision of this Agreement is severable from the others. If any paragraph, part, term, or provision of this Agreement is construed or held to be unenforceable or void by order, decree, or judgement, the remaining paragraphs, parts, terms, and provisions of this Agreement shall not be affected thereby and shall remain in full force and effect.
9. Governing Law & Venue
This Agreement shall be governed by the laws of the State of Washington. Any dispute arising from or relating to this Agreement shall be brought exclusively in the Superior Court of King County, Washington.
10. Electronic Signature Authorization & Acceptance
I agree that my electronic signature on this Agreement is intended to authenticate this document and shall have the same force and effect as an original handwritten signature. I acknowledge that by electronically signing and submitting this form, I am entering into a legally binding agreement with NUCA of Washington.
I consent to the use of electronic records and electronic signatures in connection with this Agreement and the administration of the We Dig Washington Photo Contest. I agree that no certification authority or third-party verification is required to validate my electronic signature, and the absence of such certification shall not affect the enforceability of this Agreement.
I acknowledge that I have had the opportunity to review this Agreement in full prior to signing; that I am at least eighteen (18) years of age; that I am legally authorized to enter into this Agreement, and that my electronic submission constitutes my acceptance of all terms and conditions contained herein.
