1099 Independent Contractor Acknowledgements

I acknowledge and agree to each of the following:

I am engaged as an independent contractor and not an employee of Solar Exit Group.
I will receive IRS Form 1099-NEC for compensation of 600 dollars or more in a calendar year, and no federal, state, or local taxes will be withheld from my pay.
I am solely responsible for my own income taxes and self-employment taxes, including quarterly estimated tax payments.
My compensation is commission-based and is earned only according to the written commission schedule provided to me.
I understand commissions may be reversed, charged back, or clawed back on cancelled, rescinded, unfunded, or fraudulent deals.
I am not eligible for employee benefits, health insurance, paid time off, workers compensation, or unemployment insurance.
I control my own schedule, methods, and means of performing sales, and I am responsible for my own tools, transportation, phone, and business expenses.
I will comply with all applicable federal and state laws, licensing requirements, and do-not-call and TCPA rules, and I will make no false or misleading statements to customers.
I will keep all customer and company information confidential and will not divert or solicit company clients for my own benefit or for a competitor.
Independent Contractor Sales Representative Agreement
This Independent Contractor Sales Representative Agreement is entered into between Solar Exit Group (Company) and the undersigned sales representative (Representative). 1. RELATIONSHIP. Representative is an independent contractor. Nothing in this Agreement creates an employment, partnership, joint venture, or agency relationship. Representative has no authority to bind Company. 2. SERVICES. Representative will market and sell Company services to prospective customers, will accurately represent Company services, and will submit complete and truthful documentation for every sale. 3. COMPENSATION. Representative is paid commission only, per the written commission schedule in effect at the time of sale. Commissions are earned when a customer account funds and clears any applicable rescission period. Company may offset, reverse, or recover commissions on cancelled, rescinded, unfunded, charged-back, or fraudulently obtained accounts. 4. TAXES. Company will not withhold income, Social Security, Medicare, or unemployment taxes. Representative will receive IRS Form 1099-NEC and is solely responsible for all applicable taxes. Representative will provide a completed IRS Form W-9. 5. NO BENEFITS. Representative is not eligible for employee benefits, workers compensation, or unemployment insurance. 6. EXPENSES. Representative bears their own business expenses, including transportation, phone, equipment, and licensing, unless Company agrees otherwise in writing. 7. CONTROL. Representative sets their own hours and determines the methods and means of performing the services, subject to compliance obligations. 8. COMPLIANCE. Representative will comply with all applicable federal, state, and local laws, including consumer protection, TCPA, and do-not-call requirements, and will hold all licenses required for their activities. 9. CONFIDENTIALITY AND NON-SOLICITATION. Representative will keep Company and customer information confidential and will not solicit or divert Company customers during the term or for twelve months after termination. 10. TERM AND TERMINATION. Either party may terminate this Agreement at any time, with or without cause, upon written notice. Commissions properly earned before termination remain payable subject to Section 3. 11. INDEMNIFICATION. Representative will indemnify Company against claims arising from Representative's misrepresentations, unlawful conduct, or breach of this Agreement. 12. ENTIRE AGREEMENT. This Agreement is the entire agreement between the parties and may be amended only in writing.
