The Dispatcher identified in this package provides administrative dispatch support only as the disclosed agent of a specifically identified motor carrier under a preexisting written agreement. The Dispatcher does not hold itself out as a freight broker, does not take custody of cargo, does not collect freight charges, does not re-broker freight, and does not allocate freight among motor carriers. The carrier remains the motor carrier of record and retains final control over every load.

Our role is to help organize load research, broker communication, rate negotiation, broker packet administration, route coordination, document follow-up, and related back-office tasks. Services are subject to carrier instructions, equipment, market availability, broker approval, authority age, insurance, safety history, and other commercial factors.

• No load, rate, revenue, lane availability, or reduction in deadhead is guaranteed.
• No load is accepted or signed until the carrier gives documented approval for that specific load.
• All freight payments remain payable directly to the carrier or the carrier's disclosed factor.
• The carrier may accept or refuse any opportunity without forced dispatch.

Do not send an unredacted W-9, voided check, banking details, account password, or other sensitive credential through ordinary email or text. The Dispatcher will provide an approved secure upload or e-signature method. Email may be used for scheduling and non-sensitive communication only.

This Carrier Dispatch Services Agreement (Agreement) is entered into by the Dispatcher legal entity identified above and the Carrier identified in this package. The Agreement is effective only after both parties sign it.

• Dispatcher acts only as Carrier's limited administrative agent under this preexisting written Agreement and only for Carrier's identified equipment and operating authority.
• Dispatcher will not take possession or control of cargo, accept freight for later allocation, select among carriers for the same freight, re-broker freight, issue a primary bill of lading as a broker, or represent that Dispatcher is the motor carrier.
• Dispatcher will not receive compensation from a broker or shipper. Dispatcher fees are owed by Carrier under this Agreement and are separate from freight charges.
• Any communication with a direct shipper will identify Carrier as the named motor carrier principal, will be performed only for that Carrier and with Carrier's written direction, and will not involve holding freight for allocation to another carrier.

Subject to Carrier instructions, Dispatcher may search carrier-approved load sources; communicate with licensed brokers; negotiate and present load opportunities; review publicly available authority, insurance and credit indicators; prepare routine broker packets using Carrier-approved information; request broker-specific certificates of insurance; organize rate confirmations; monitor appointments and active-load communications; and assist with document follow-up.

Dispatcher does not provide legal, tax, accounting, safety-management, insurance, or investment advice. Dispatcher will not sign a safety declaration, financial certification, corporate attestation, or other statement requiring personal knowledge unless Carrier has reviewed the completed statement and specifically authorized the signature in writing.

Carrier retains exclusive control over its equipment, drivers, routes, hours of service, safety, and acceptance or refusal of freight. Dispatcher may sign or transmit a rate confirmation only after an authorized Carrier decision-maker approves that specific load in a written record identifying the broker, pickup, delivery, dates, commodity, weight, total compensation, mileage information, equipment, and material requirements. Silence is not approval. Carrier may revoke approval before Dispatcher signs, subject to any broker cancellation terms already accepted.

• Maintain active operating authority, registrations, insurance, permits, equipment, driver qualifications, ELD/HOS compliance, safety records, and all federal, state and local requirements applicable to Carrier's operation.
• Provide accurate and current credentials and immediately disclose any authority, insurance, safety, factoring, ownership, contact, equipment, driver, or banking change that may affect a load or broker relationship.
• Review load details, determine legal and safe feasibility, and give timely approval or rejection. Carrier is solely responsible for cargo, securement, temperature control, pickup, transit, delivery, BOL/POD handling, and compliance with broker instructions.
• Pay Dispatcher directly under the selected fee plan. Broker, shipper and factor payments must remain payable to Carrier or Carrier's disclosed factor.

For a percentage plan, Gross Linehaul Revenue means the linehaul amount actually earned by Carrier on loads booked and dispatched by Dispatcher. Fuel surcharge, detention, layover, lumper fees, TONU, and other accessorial charges or reimbursements are excluded from the dispatch fee calculation. For a flat plan, no full flat-load fee is due on a cancelled load unless Carrier completes the movement. Any TONU-related dispatch fee must be specifically stated and agreed to in writing below.

Dispatcher will issue an itemized weekly invoice for completed loads and other earned amounts. Carrier will pay the invoice within three (3) calendar days unless the parties write a different term below. Carrier will pay Dispatcher directly by an approved business payment method. Dispatcher will not redirect broker or shipper freight payments to itself.

Past-due undisputed amounts may result in a service hold after notice, provided active loads continue to receive reasonable administrative support through delivery. Late interest, if charged, will be simple interest at the lesser of 1.5% per month or the maximum amount allowed by applicable law. No compounding late interest applies.

Carrier will maintain the insurance legally required for its operation and any higher limits required by a broker, shipper, customer, lease, or contract. Many broker networks request $1,000,000 commercial auto liability and $100,000 cargo coverage, but actual legal and commercial requirements vary by equipment, commodity, weight, jurisdiction, and operation. Dispatcher does not determine insurance sufficiency.

Carrier authorizes Dispatcher to request and distribute broker-specific certificates of insurance for approved loads. Dispatcher may request a certificate solely to verify coverage. Listing the Dispatcher as a certificate holder does not create additional-insured status and is not required unless Carrier's insurer and the parties approve it.

Carrier is solely responsible for driver supervision, vehicle operation, cargo custody, securement, temperature settings, highway safety, HOS, equipment condition, pickup and delivery performance, and compliance with all transportation laws and broker instructions. Dispatcher does not exercise operational control over drivers or equipment and will not require Carrier to operate illegally or unsafely.

Each party will defend and indemnify the other from third-party claims to the extent caused by the indemnifying party's negligence, willful misconduct, or material breach of this Agreement. Carrier's obligations include claims arising from transportation, cargo loss or damage, driver conduct, equipment, safety violations, and Carrier regulatory noncompliance. Dispatcher remains responsible for its own negligence, willful misconduct, unauthorized representations, and material breach.

To the extent permitted by law, neither party is liable to the other for indirect, special, punitive, or consequential damages. This limitation does not apply to fraud, willful misconduct, confidentiality violations, payment obligations, or liabilities that cannot lawfully be limited.

Each party will use the other's nonpublic business, customer, pricing, credential, and operational information only to perform this Agreement and will apply reasonable safeguards. Sensitive documents must be transferred through the approved secure method, not ordinary email or text. No party will request or share account passwords when a platform offers carrier-controlled sub-user access.

Upon termination and subject to legal or recordkeeping obligations, each party will return or securely delete sensitive information no longer needed. Carrier remains responsible for keeping original corporate, tax, insurance, safety, and load records.

This Agreement continues month to month until terminated. Either party may terminate without cause by at least twenty-four (24) hours' written notice. Either party may suspend or terminate immediately for material breach, fraud, unlawful conduct, loss or suspension of authority, cancellation or material reduction of required insurance, credible safety risk, or overdue undisputed invoices after notice.

Termination does not cancel a load already accepted by Carrier. Carrier remains responsible for safe completion unless the broker releases Carrier in writing. Dispatcher will reasonably assist with active-load administration through delivery. Final earned fees are due within two (2) business days after the final itemized invoice unless applicable law or a written settlement requires otherwise. The limited power of attorney ends automatically at termination, except for ministerial completion of an already approved active load.

The parties are independent businesses. Nothing creates employment, partnership, joint venture, ownership, lease, or control of Carrier's drivers or equipment. Carrier is solely responsible for its taxes, payroll, labor obligations, drivers, and operating expenses.

Operational load approvals may use the written methods selected in the Carrier Profile. Formal notices under this Agreement must be sent to the addresses below. A notice is effective when delivered by confirmed email, secure platform message, or another written method acknowledged by the receiving party.

The parties will first attempt in good faith to resolve any dispute through direct written communication. Unless federal law controls, this Agreement is governed by the law of the state written below, without regard to conflict-of-law rules. Venue will lie in the county and state written below unless the parties later agree to mediation or arbitration in a separate signed writing.

This package, including the Carrier Profile, selected Fee Plan, Load Approval Protocol, Limited Power of Attorney, and signatures, is the entire agreement on these services and replaces prior discussions. Amendments must be in a signed writing. If a provision is unenforceable, the remainder continues. A waiver once is not a continuing waiver. Electronic signatures and counterparts are effective. Neither party may assign this Agreement without written consent, except in a lawful business succession that does not expand the Dispatcher role.

By signing, each party confirms that it has read and understood this package, has authority to sign for the identified business, and agrees to the Service Agreement, selected Fee Plan, Load Approval Protocol, and Limited Power of Attorney.
