to the stallion, Blackburn Defender (AQHA #5738129) for the 2027 breeding season (February 1 - July 16) subject to the following terms and conditions:

2027 Early Booking Breeding Fee of $1,000 includes:

• Stallion service
• Semen collection/handling
• First two pick-ups OR first standard FedEx Overnight Shipment OR $350 credit towards Counter-to-Counter
• Live Foal Guarantee
• Eligible rebreed: No additional stallion/rebreed fee – Mare Owner pays only applicable semen pick-up or delivery charges.

If additional shipments or pick-ups are needed, the charges are as follows:
Pick-up: $150
FedEx Overnight: $350
Counter-to-Counter: $500

The Mare Owner understands the following when requesting semen:

1. Semen orders must be received by 7pm CST the day prior to collection. Cancellations must be made by 7:30am CST on the day of collection.
2. Semen requests must be made by phone call or text to Jamey Johnson at (209) 603-4996 and are not considered received until confirmed by Jamey Johnson. Requests made by email, social media, or any other method will not be accepted.
3. Collection days will be Monday, Wednesday, and Friday beginning February 1 through July 16.
4. Pick-up and counter-to-counter shipments will have priority on any given day. In the event of insufficient semen on a particular breeding day, Jamey Johnson will contact you and ask if you would like to be moved to the next collection day.
5. 3J3 Performance Horses will ship on a first ordered, first served basis – so please call as early as possible to get your mare on the collection list. A cancellation can always be made by 7:30am CST of the collection day.
6. Mare Owner should expect to receive only one dose of semen. Two doses will be shipped if available.
7. Mare Owner is responsible for providing a correct and current shipping address. If a shipping address is changed, please fill out another "Shipped Semen Information" form and return it to Jamey Johnson prior to shipment request.
8. Stallion Owner makes no guarantee regarding carrier delivery times or the condition or viability of cooled semen after it leaves Stallion Owner's possession, as transportation delays, handling, temperature, and other circumstances outside Stallion Owner's control may affect semen during transit.

1. Booking Fee/Cancellations: Of the total Breeding Fee paid under this agreement, $250 constitutes a non-refundable booking fee and is earned upon acceptance of this contract. If Mare Owner elects to cancel this contract, the $250 booking fee will not be refunded. Any refund of the remaining Breeding Fee will be at the discretion of Stallion Owner unless otherwise specifically provided under this agreement.

2. The Mare Owner agrees that the mare presented for breeding will be in good health and will be in sound breeding condition. Any mare certified by a veterinarian to not be in sound breeding condition shall not be bred and a different mare may be substituted at no additional charge.

3. Semen pick-ups will be at 532 Marsden Rd. Overbrook, OK 73453, unless prior arrangements are made. Time of readiness of the semen will be provided when semen is ordered.

4. To obtain a Breeder's Certificate, Mare Owner must notify Jamey Johnson of the mare's pregnancy status following the 30–35 day pregnancy examination. A Breeder's Certificate will not be issued or released until all accounts with 3J3 Performance Horses/Justin and Jamey Johnson have been paid in full. Failure to report pregnancy status may result in the mare not being included on the stallion breeding report; any resulting late filing fees will be the responsibility of Mare Owner.

5. Embryo Transfers: Mare Owner agrees to notify Jamey Johnson if this is an embryo transfer mare. In the event of multiple embryos from a single flush, Mare Owner agrees to notify Jamey Johnson once the additional recipient mare(s) have been confirmed in foal with a heartbeat present. Any additional stallion fee(s) is/are due upon the additional foal(s) fulfilling the live foal guarantee of standing, nursing and survival of 30 days. Additional Breeder's Certificates will be released upon receipt of necessary stallion fee(s). If an additional embryo does not result in a live foal as defined by this agreement, no rebreed will be provided for that embryo unless the applicable additional stallion fee was paid in advance.

6. Live Foal Guarantee: Live foal means a foal that stands, nurses without assistance, and survives for 30 days after birth. If the mare fails to become pregnant during the breeding season, aborts, delivers a stillborn foal, or the foal does not survive for 30 days after birth, Mare Owner will be entitled to a return breeding for the immediately following breeding season of this contract. In the event of pregnancy loss, stillbirth, or foal death, written notification and veterinary documentation must be provided within seven days of the occurrence. Eligibility for the Live Foal Guarantee requires appropriate veterinary documentation of breeding and/or pregnancy status. Stallion Owner does not make any warranty or representation as to the quality or conformation of the foal, merchantability, fitness for a particular purpose or that the foal will be free of any infirmity, conformation defect, disease, or inherited trait.

7. Rebreeds: If the mare does not produce a live foal the first breeding season, the Mare Owner is entitled to a rebreed the following year. No additional stallion or rebreed fee will be charged for an eligible rebreed. Mare Owner is responsible only for applicable semen pick-up or delivery charges at the rates in effect for that breeding season. If the Mare Owner fails to return the mare for breeding the following year, then all fees paid shall be forfeited, the right to rebreed is cancelled and the Stallion Owner is released from all further obligation of the contract, unless otherwise agreed to in writing and signed by all parties. Any rebreed beyond the immediately following breeding season is at the sole discretion of Stallion Owner.

8. Donated Breedings: A donated breeding is valid only for the year the breeding has been won, unless specifically stated otherwise. Mare Owners receiving donated breedings will be responsible for applicable semen pick-up or delivery charges at the rates in effect for that breeding season.

9. Mare Substitution: Mare Owner may substitute another mare prior to confirmed pregnancy upon written notice to and approval by Stallion Owner. No substitution fee will be charged. Once a mare is confirmed in foal, this contract and the Live Foal Guarantee shall remain with the contracted mare and may not be transferred to another mare except with written approval of Stallion Owner.

10. This contract is valid for the 2027 breeding season only. Mare Owner may not purchase this contract with the intent to use it in a subsequent season. If this contract is paid in full but no semen is requested or provided during the 2027 breeding season, the breeding may be carried forward to the immediately following breeding season only. Mare Owner will be responsible for applicable semen pick-up or delivery charges at the rates in effect for that breeding season.

11. This contract is a binding agreement between Justin and Jamey Johnson (Stallion Owner) and Mare Owner and is non-transferable unless otherwise approved in writing by Stallion Owner. Any approved transfer will require completion of a new breeding agreement by the new contract holder and any applicable fees that may remain due from the original contract holder.

12. If Stallion becomes deceased or permanently unfit for breeding, frozen semen will be offered if available, up to two doses released one at a time. After two breeding attempts, Stallion Owner's obligation under this contract will be considered fulfilled. If Mare Owner elects not to utilize available frozen semen, this contract shall become null and void and both parties shall be relieved of further obligation. If no semen has previously been provided under this contract and Stallion Owner is unable to provide either cooled or frozen semen, all monies paid under this breeding contract will be refunded. Refunds under any other circumstances remain at the discretion of Stallion Owner.

13. This agreement becomes valid and binding upon acceptance by Stallion Owner. Mare Owner's signature and submission of this agreement constitutes Mare Owner's acceptance of all terms and conditions herein.

14. Balances Due: Monthly statements shall be emailed for any services provided under this agreement that remain unpaid. Such statements shall be due and payable upon presentation. Statements not paid within 30 days will be subject to a finance charge of 2% per month.

All parties acknowledge that this agreement is made and performed within Love County, State of Oklahoma. Both parties agree should any dispute or claims arise regarding this contract, the venue will be in the State Court located in Love County, Oklahoma and shall be construed and enforced under the laws of the State of Oklahoma. Both parties agree that at no time will any damages ever be awarded in any amount greater than the total breeding fee paid under this contract.

*Please note that after the first shipment, payment is required before another shipment can be sent. In the event of a second shipment we will ask for payment preference when semen is ordered and ask that it be paid promptly.

*Counter-to-Counter: Our couriers will make every effort to ship to the preferred airport. Due to flight times, connections, and availability, this is not always possible, and they will use their best judgment to ensure the shipment arrives on the best possible flight. Any courier service used by 3J3 Performance Horses/Justin and Jamey Johnson is not responsible for delays or problems with airlines once the shipment has left their possession. We will do everything we can to help ensure the semen arrives to its destination in a timely manner.

Semen requests MUST be made and confirmed by 7pm CST the day prior to collection.
