I / We, being a member of One Mahurangi Business Association are entitled to vote at the Special General Meeting 15^th September 2026, I / we appoint the Chair of the meeting to act as my / our proxy.

Resolution 1. That the current Constitution of One Mahurangi Business Association Incorporated be revoked in its entirety and replaced with the new Constitution titled "OMBA Constitution September 2026", to take effect on and from the date the Constitution is registered under the Incorporated Societies Act 2022 (the Effective Date).

Resolution 2. The Executive Committee is authorised to do all things necessary or desirable to give effect to this resolution, including making any minor, technical, or formatting amendments required by the Registrar that do not materially affect members' rights or the substance of the Constitution, and completing and lodging the application for re-registration and all associated certifications and filings.
