  • Cork & Comfort — PRIVATE EVENT SERVICE AGREEMENT

"You provide the room and we'll provide the fun!"

This Private Event Service Agreement ("Agreement") is entered into on [Agreement Date] by and between Cork & Comfort ("Provider") and the client identified below ("Client").

    1. SERVICES-ONLY ENGAGEMENT. Provider will furnish professional event services for the selected package, which may include sommelier-led education, tasting guidance, event hosting, games, tasting materials, glassware, setup, and cleanup. Client will independently select, purchase, own, transport, and control all wine or other alcoholic beverages used at the event. At Client's direction, Provider may handle, open, and pour wine as part of the tasting service. Provider does not sell, furnish, purchase, deliver, transfer, or include alcoholic beverages in the service fee. Provider's invoice will describe only event services and approved non-alcoholic service items. The service fee is not based on the type, quantity, cost, or consumption of alcohol.

    2. SERVICE PACKAGES AND CAPACITY. Cozy Pour: up to 6 guests, $450, 6-guest cap. House Party: up to 12 guests, $750; $60 per additional guest; 16-guest cap. Realtor Night: up to 20 guests, $1,200, 20-guest cap. Corporate Pour: up to 30 guests, $2,500, 30-guest cap. House Party guests above 12 are billed at $60 per additional guest, up to 16 total. All other package limits are firm unless the Parties sign a written addendum before the event. Event duration: each package includes up to 2.5 hours of event service; additional time is billed at $150 per hour, in 30-minute increments, when Provider agrees to extend. Travel: venues within the DFW metroplex are included; venues outside the DFW metroplex are subject to a flat $75 travel fee, disclosed before booking.

    3. BOOKING AND PAYMENT. A deposit equal to 50% of the total service fee is due when this Agreement is signed. The date is not reserved until Provider receives the signed Agreement and cleared deposit. The deposit is non-refundable except where this Agreement expressly states otherwise. The remaining balance is due on the event date before services begin; Provider may pause or decline performance until the balance is paid. Any requested change to package, guest count, time, location, or scope must be approved in writing and may change the total fee.

    4. CANCELLATION AND RESCHEDULING. If Client cancels for any reason, the deposit remains non-refundable; Client will not owe the unpaid balance unless the Parties previously approved a non-cancellable third-party cost in writing. A rescheduling request received at least 14 calendar days before the event may transfer the deposit one time to a mutually available date within 90 days of the original date. A second change, or a date outside that period, requires a new deposit. A request fewer than 14 calendar days before the event is treated as a cancellation. If Provider cancels and the Parties cannot agree on a replacement date, Provider will refund all amounts paid; that refund is Client's sole remedy except where Texas law does not permit that limitation. Provider may suspend or end services if conditions are unsafe, unlawful, materially different from the agreed scope, or if underage alcohol possession or service is observed; amounts paid are then not refundable. Force majeure: the Parties will first attempt to reschedule within 90 days; if no date is reasonably available, Provider will refund amounts paid less any pre-approved, documented, non-recoverable third-party cost.

    5. CLIENT RESPONSIBILITIES. Every attendee must be at least 21 years old; Client will verify age when reasonably necessary. Client alone is responsible for selecting, purchasing, owning, transporting, storing, and controlling all alcoholic beverages. At Client's direction, Provider may open, pour, and serve wine during the tasting. Client will not ask Provider to buy, transport, reimburse, resell, or transfer alcohol. Client will provide lawful access to a clean, safe, adequately lit, weather-protected space with sufficient tables, water, electricity if needed, and a safe setup area. Client will grant Provider access beginning up to 60 minutes before the start time for setup and 30 minutes after the event for teardown and cleanup. Client is responsible for venue permission, parking instructions, and property restrictions. Client is responsible for guests, pets, security, transportation planning, and preventing service to anyone underage or visibly intoxicated. Client will provide an accurate guest count, disclose accessibility needs and venue hazards, and communicate event rules to guests.

    6. ALCOHOL-LAW ACKNOWLEDGMENT. The Parties intend this Agreement to cover professional services only and not the sale or furnishing of alcoholic beverages by Provider. Client acknowledges independently purchasing and owning all alcoholic beverages and retaining control throughout the event. Provider's educational recommendations about styles, quantities, tasting order, or pairings do not make Provider the seller, owner, or supplier of any alcoholic beverage. The Parties will cooperate to conduct the event consistently with Texas law and TABC requirements.

    7. LIABILITY. Client and guests remain responsible for personal consumption decisions and safe transportation. To the fullest extent permitted by Texas law, Provider is not liable for indirect, incidental, special, exemplary, or consequential damages, or for injury, loss, or damage arising from alcohol controlled by Client or guests, guest conduct, transportation decisions, venue conditions outside Provider's control, or Client's breach. Provider's aggregate liability will not exceed the service fees actually paid. Nothing excludes liability that cannot lawfully be excluded, including gross negligence or willful misconduct. Client will indemnify Provider against third-party claims arising from Client's breach, venue condition, Client-controlled alcohol, or guest conduct, except to the extent caused by Provider's gross negligence or willful misconduct.

    8. PHOTO AND VIDEO. Client's YES/NO election in this form controls whether Provider may capture event photos or video for marketing. Client will tell guests recording may occur; any guest may opt out by notifying Provider, and Provider will make reasonable efforts not to feature that guest.

    9. DAMAGE AND PROPERTY. Client is responsible for damage caused by Client or guests to Provider's property, excluding ordinary wear. Provider is not responsible for lost, stolen, or damaged personal property unless directly caused by Provider's gross negligence or willful misconduct.

    10. GENERAL TERMS. Texas law governs. This Agreement plus any signed addendum is the entire agreement. Amendments must be in writing and accepted by both Parties. Provider is an independent contractor. Unenforceable provisions will be narrowed only as much as necessary. Electronic signatures are valid. Notices to Provider: book@corkandcomfort.com.
