DRIVER–DISPATCHER AGREEMENT

1. APPOINTMENT AND SERVICES. Carrier appoints Profit Lane Logistics as a non-exclusive independent dispatch service to search for load opportunities, communicate with brokers, negotiate rates, and assist with rate confirmations and paperwork on Carrier’s behalf.

2. CARRIER APPROVAL. Carrier has final authority to accept or reject every load. There is no forced dispatch. Dispatcher may book or sign a rate confirmation only after Carrier approves that specific load.

3. DISPATCH FEE AND PAYMENT. Carrier will pay Dispatcher 5% of the gross rate for every load booked through Dispatcher. Payment is due within 24–48 hours after delivery and receipt of POD, by Zelle, ACH, or another agreed method. Carrier must send POD and related paperwork within 24 hours after delivery.

4. CARRIER RESPONSIBILITIES. Carrier operates under its own MC/DOT authority and insurance and remains solely responsible for safety, legal compliance, hours of service, equipment, cargo, pickup, delivery, claims, and broker requirements.

5. INDEPENDENT DISPATCH SERVICE. Dispatcher is not a freight broker, motor carrier, shipper, employer, or insurer; does not take possession of freight; and does not collect the Carrier’s freight payment.

6. NON-CIRCUMVENTION. Carrier agrees not to bypass Dispatcher on a load or broker relationship introduced and handled by Dispatcher for 30 days after introduction. Dispatch fees remain due on any such booked load.

7. TERM AND TERMINATION. This agreement continues until either party terminates it in writing. Either party may terminate at any time. Fees and responsibilities for loads already booked remain effective until completed and paid.

8. AUTHORIZATION. Carrier confirms that all information and documents provided are accurate and authorizes Profit Lane Logistics to contact brokers and perform the dispatch services described above.
