  • Effective Date / Time*
     - -
2 digit month, 2 digit day, 4 digit year
  • Expiration Date / Time*
     - -
2 digit month, 2 digit day, 4 digit year
  • The intended term is ONE (1) YEAR. The exact date and time the lease begins and ends shall be completed above and shall coincide with the transfer and return of possession documented by the Equipment Possession / Return Receipts attached to this Agreement. Any renewal or modification must be in writing and signed by both parties.
  • ARTICLE 2 — EQUIPMENT COVERED BY LEASE

  • ARTICLE 2 - EQUIPMENT COVERED BY LEASE
    Rows
  • Lessor represents that Lessor owns the equipment or has lawful possession and the right to lease it. Any replacement or additional equipment must be identified in a signed written addendum or equipment schedule.
  • ARTICLE 3 — EXCLUSIVE POSSESSION, CONTROL, USE & RESPONSIBILITY

  • For the duration of this Agreement, Crown Logistics Inc. shall have exclusive possession, control, and use of the leased equipment and shall assume complete responsibility for the operation of the equipment as required by 49 CFR § 376.12(c). Nothing in this provision is intended to determine whether the Lessor or any driver is an independent contractor or employee for any purpose other than compliance with applicable leasing regulations.

While operating under Crown authority, the Lessor and every approved driver shall comply with Crown Safety instructions, FMCSA/DOT requirements, lawful dispatch instructions, broker/customer requirements, and the terms of this Agreement. The equipment may not be used under Crown's MC/USDOT authority for unauthorized loads, side loads, re-brokered freight, or transportation not approved by Crown.
  • ARTICLE 4 — IDENTIFICATION, LEASE COPY & TRIP RECORDS

  • During the lease, Crown shall identify the equipment as being operated in its service in accordance with applicable FMCSA identification requirements. Lessor shall not alter, conceal, loan, or misuse Crown identification devices.
  • Image field 28
  • A signed copy of this Agreement shall be carried on the leased equipment during the lease period unless Crown instead provides and keeps with the equipment the statement permitted by 49 CFR § 376.11(c)(2). Crown shall retain the original/copy required by law, and Lessor shall retain a copy.

Crown shall prepare and maintain the trip documentation required by 49 CFR § 376.11(d). Lessor/driver shall carry required freight/trip documents identifying the owner, origin, departure date/time, final destination, lading, and that transportation is under Crown's responsibility, as applicable.

  • ARTICLE 5 — COMPENSATION: 90% OWNER-OPERATOR / 10% CROWN

  • For each load accepted and transported under this Agreement, Owner-Operator shall receive NINETY PERCENT (90%) of the negotiated gross freight revenue for that load. Crown shall retain TEN PERCENT (10%) of the negotiated gross freight revenue as Crown's carrier/service fee. "Negotiated gross freight revenue" means the freight charge negotiated for the transportation movement, before authorized deductions, excluding amounts that are not freight revenue unless the applicable rate confirmation or settlement states otherwise.

Because compensation is percentage-based, Crown shall provide the Lessor, before or at settlement, the rated freight bill or equivalent documentation showing the freight revenue on which the percentage compensation is calculated, consistent with 49 CFR § 376.12(g). Lessor may examine the documents necessary to verify the settlement as provided by applicable law.

  • ARTICLE 6 — SETTLEMENT & PAYMENT

  • Crown shall pay amounts due to Lessor within the period required by 49 CFR § 376.12(f), presently 15 days after submission of the documents necessary for Crown to secure payment from the shipper or otherwise determine the amount due. Required trip documents may include signed BOL/POD and other documents specifically necessary to determine or secure payment for the load.

Crown will not characterize an ordinary final settlement hold as an escrow. Crown does NOT require an escrow fund or performance bond under this Agreement. Any final-settlement condition must comply with § 376.12(f) and may not be used to avoid the federal payment requirement. Crown may condition final payment on the return/removal of Crown identification devices when permitted by § 376.12(f).

  • ARTICLE 7 — OPERATING EXPENSES & RESPONSIBILITY ALLOCATION

  • ARTICLE 7 — OPERATING EXPENSES & RESPONSIBILITY ALLOCATION Unless a written load-specific addendum states otherwise, the parties agree as follows:

    Empty mileage / deadhead Owner-Operator
    Tolls and ferries Owner-Operator
Base plates / vehicle registration Owner-Operator

Lumper or accessorial expense As stated on load confirmation/settlement; reimbursed only when authorized and supported
Detention / layover / TONU Passed through or allocated as shown on the applicable rate confirmation/settlement and supporting documentation
  • ARTICLE 8 — DEDUCTIONS, CHARGE-BACKS & DOCUMENTATION

  • No deduction or charge-back shall be taken unless authorized by this Agreement or another signed written agreement and identified on the settlement. The settlement shall state the amount and description of each deduction. Upon reasonable request, Crown shall provide or make available documents necessary to verify a charge-back as required by 49 CFR § 376.12(h).

    • Crown carrier/service fee: 10% of negotiated gross freight revenue, calculated load by load.
    • Fuel/fuel-card advances: actual amount advanced or charged to the Owner-Operator's assigned card/account, supported by transaction records.
    • Tolls, permits, scales, washouts, authorized lumper/accessorial expenses: actual documented amount attributable to the Owner-Operator/equipment/load.
    • Repairs, towing, storage, returned equipment, ELD/fuel-card/company-property loss or damage: actual documented amount when responsibility is assigned to Lessor under this Agreement and applicable law.
    • Cargo/property claims and insurance deductibles: only as provided in Article 9 and supported by appropriate documentation. No automatic deduction merely because a claim is alleged.

Crown does not require Lessor to purchase or rent any product, equipment, or service from Crown as a condition of entering this Agreement, except that the parties may voluntarily agree in writing to specific services or advances consistent with 49 CFR § 376.12(i).

  • ARTICLE 9 — INSURANCE & $5,000 DEDUCTIBLE

  • While the leased equipment is operating under Crown's authority, Crown shall maintain the public liability/financial responsibility coverage required of Crown as an authorized motor carrier and cargo coverage applicable to Crown's operations, subject to the terms, limits, exclusions, and conditions of the applicable policies. Crown's federal responsibility to the public is not transferred to Lessor by this Agreement.

Lessor is responsible for maintaining physical damage coverage on Lessor's equipment, non-trucking/bobtail liability when required or appropriate, occupational accident/workers' compensation coverage as applicable, and any other coverage specifically required in writing.

INSURANCE DEDUCTIBLE: The applicable deductible that may be charged to Lessor for a covered loss for which Lessor is contractually responsible is $5,000.00. Before deducting any deductible or insurance-related charge from settlement, Crown shall provide a written explanation/itemization and documentation sufficient to identify the loss and basis of the charge, consistent with 49 CFR § 376.12(j). Liability for a deductible is not automatic solely because an accident or claim occurred; responsibility must arise under this Agreement, the facts of the loss, and applicable law/policy terms.

  • Upon request, Crown shall provide Lessor the insurance information required by § 376.12(j), including applicable insurer/policy information and the amount of any deductible for which Lessor may be liable.
  • ARTICLE 10 — NO ESCROW

  • NO ESCROW FUND OR PERFORMANCE BOND IS REQUIRED OR MAINTAINED BY CROWN UNDER THIS AGREEMENT. The parties intend that ordinary settlement deductions and any lawful final-settlement conditions are not an escrow fund. If Crown and Lessor later agree to establish an escrow, it must be by a separate signed addendum satisfying all requirements of 49 CFR § 376.12(k).
  • ARTICLE 11 — DRIVER QUALIFICATION, SAFETY & COMPLIANCE

  • No person may operate under Crown authority until approved by CROWN Safety. Lessor shall ensure each driver maintains a valid CDL, medical qualification when required, lawful operating status, required drug/alcohol compliance, and all qualification documents required by Parts 382, 383, 390, 391, 392, 395 and other applicable regulations. Crown retains all duties imposed on it as a motor carrier.

Lessor/driver must immediately report to CROWN Safety any accident, roadside inspection, citation, out-of-service order, cargo issue, breakdown affecting safe operation, claim, theft, ELD malfunction, or other safety/compliance event.
  • ARTICLE 12 — PTI, DVIR, ROADSIDE INSPECTIONS & PERIODIC INSPECTIONS

  • PRE-TRIP / PTI. Before driving, each driver must be satisfied that the commercial motor vehicle is in safe operating condition and must review the prior driver vehicle inspection report when required, consistent with 49 CFR § 396.13. No driver may operate equipment the driver knows or reasonably believes is unsafe.

PERIODIC / ANNUAL INSPECTION. Lessor shall ensure that the tractor and each trailer or other vehicle in the combination has passed the periodic inspection required by 49 CFR § 396.17 within the preceding 12 months and that the required inspection documentation is on the vehicle. Lessor shall provide current inspection documentation to CROWN Safety before dispatch and upon renewal. Crown retains its obligation as motor carrier to inspect or cause to be inspected vehicles subject to its control and to ensure compliance with Part 396.

ROADSIDE INSPECTIONS. Driver shall immediately notify CROWN Safety of every roadside/DOT inspection and transmit the inspection report as soon as practicable. Driver/Lessor shall cooperate with Crown in documenting and correcting defects and in timely handling any report or certification required by law. Equipment placed out of service shall not be operated until the out-of-service condition has been corrected and operation is legally permitted.

MAINTENANCE. Lessor is contractually responsible for preventive maintenance and repair costs for Lessor's equipment, including tires, brakes, lights, coupling devices, suspension, steering, reefer equipment if applicable, and other components. This allocation of cost does not relieve Crown of regulatory duties that federal law places on the motor carrier.

No dispatcher, broker, shipper, receiver, customer, or other person is authorized by Crown to require a driver to operate equipment in violation of an out-of-service order or when operation would violate applicable safety regulations. Safety concerns shall be reported to CROWN Safety immediately.
  • ARTICLE 13 — CARGO, LOAD SECURITY & UNAUTHORIZED OPERATIONS

  • Lessor/driver shall properly handle, secure, protect, monitor, and transport cargo and comply with seal, temperature, route, securement, and reporting instructions. Lessor/driver shall immediately report shortages, overages, damage, temperature deviations, delays, detention, rejection, theft, seal issues, accidents, and cargo claims.

  • No load may be brokered, re-brokered, assigned, transferred, subcontracted, or transported by another carrier/truck/driver under Crown's identity or authority without Crown's prior written approval. Unauthorized use of Crown's MC/USDOT number, insurance, broker/customer information, or authority is prohibited.
  • ARTICLE 14 — INDEPENDENT CONTRACTOR RELATIONSHIP

  • Except for the regulatory control and responsibility required of Crown as an authorized carrier, the parties intend an independent-contractor relationship. Lessor is responsible for Lessor's business expenses, taxes, payroll obligations, personnel, and benefits. Nothing in this paragraph overrides § 376.12(c) or any non-waivable federal/state requirement.
  • ARTICLE 15 — TERMINATION; 45-DAY WRITTEN NOTICE

  • Either party may terminate this Agreement without cause by providing at least FORTY-FIVE (45) DAYS' PRIOR WRITTEN NOTICE to the other party. Notice may be delivered personally, by trackable mail/courier, or by email to the addresses stated in this Agreement, with proof of transmission/delivery retained.

Crown may suspend dispatch or terminate immediately for material safety or compliance violations, loss/suspension of required license or insurance, unauthorized use of Crown authority, fraud, cargo abandonment, double brokering, operation while out of service, material falsification, or other material breach creating immediate legal, safety, insurance, cargo, or regulatory exposure. Lessor may terminate immediately if Crown loses the operating authority or insurance legally necessary for the transportation covered by this Agreement.
  • ARTICLE 16 — RETURN OF POSSESSION & IDENTIFICATION DEVICES

  • At termination, Lessor shall immediately cease operating under Crown authority; remove or cover Crown decals/identification as directed; return Crown fuel cards, ELD devices, permits, plates or other company property as applicable; and provide reasonable evidence of removal/return. The parties shall complete the attached Equipment Return Receipt showing the equipment and date/time possession ends. Final payment may be conditioned on removal/return of identification devices only to the extent permitted by 49 CFR § 376.12(f).
  • ARTICLE 17 — INDEMNIFICATION & CLAIM RESPONSIBILITY

  • To the extent permitted by law, Lessor shall indemnify and hold Crown harmless from losses, claims, penalties, property damage, cargo damage, or expenses caused by Lessor's or Lessor's driver's negligence, willful misconduct, equipment condition, unauthorized operations, or material breach of this Agreement. This provision does not shift Crown's regulatory responsibility to the public or require Lessor to indemnify Crown for Crown's own negligence where prohibited by law.
  • ARTICLE 18 — GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

  • This Agreement shall be governed by applicable federal transportation law and, where not preempted, the laws of the State of Florida. This Agreement, its equipment schedule, receipts, and signed addenda constitute the parties' agreement concerning the leased equipment. Modifications must be in writing and signed. If a provision is unenforceable, the remaining provisions remain effective to the extent permitted by law.
  • ARTICLE 19 — ACKNOWLEDGMENTS & SIGNATURES

  • By signing, each party acknowledges receipt of a copy of this Agreement, agrees that all blanks material to the lease have been completed, and understands that the lease copy or permitted § 376.11(c)(2) statement must accompany the equipment during the lease period.
