In consideration of the Licence Fee specified below, the Licensor grants the Licensee a non-exclusive, worldwide, perpetual licence to use the Music as part of one production per track, and to publish the video or videos on the Licensee's social media accounts.

This licence is limited to non-profit use; e.g. video on social media, amateur theatre production or similar.

The licence fee is:

£25 (twenty-five pounds) per track.

The licence becomes effective upon receipt of the full Licence Fee.

The licence is granted in perpetuity and does not expire, provided that the Licensee continues to comply with the terms of this Agreement.

The Licensee may use the Music solely:

• as part of the permitted promotional video or production
• on the Licensee's social media accounts, excluding monetised YouTube accounts
• for non-profit purposes and
• for organic, unpaid social-media distribution.

The licence is worldwide.

This licence does not permit the Licensee to:

• use the Music in paid advertising or sponsored/boosted social-media campaigns
• use the Music in a commercial advertisement
• use the Music as standalone audio
• distribute, sell, sublicense or transfer the Music separately from the permitted video
• use the Music in any other video or production or
• claim ownership of the Music or its copyright.

Any use outside the scope of this licence requires the Licensor's prior written permission and may be subject to an additional licence fee.

The Licensee may shorten, fade, or make minor edits to the Music where reasonably necessary to synchronise it with the permitted video.

The Licensee may not remix, substantially alter, re-record, or otherwise materially modify the Music without the Licensor's prior written consent.

Copyright and all other intellectual-property rights in the Music remain with the Licensor.

This Agreement grants the Licensee a licence to use the Music only. It does not constitute an assignment or transfer of copyright.

Where reasonably practicable, the Licensee shall credit the Music as:

Failure to provide a credit shall not invalidate the licence.

The Licensee acknowledges that social-media platforms, including YouTube, may automatically identify the Music and issue a copyright claim.

Provided the Licensee is using the Music in accordance with this Agreement, the Licensor will cooperate with the Licensee in addressing any automated copyright claim arising from that authorised use.

No rights are granted other than those expressly stated in this Agreement.

In particular, this Agreement does not grant permission for commercial use, paid advertising, standalone distribution of the Music, or use of the Music in additional productions.

This Agreement shall be governed by the laws of England and Wales.
