In the event of late payment , the purchaser agrees to pay interest of 18%, and understands that credit privileges may be revoked. Should this account be placed with an outside collection service and/or attorney for collection (whether or not a su it if filed) the purchaser agrees to pay an additional 25% of the balance owed as collections fees to the extent allowable by law. I further authorize Charmant USA to perform all check s of my credentials as allowed by law. Purchases billed through a buying group remain the responsibility of both "Bill To" and "Ship To" and payment of one party to the other shall not be a defense. The undersigned signatory, to induce the granting of credit, hereby personally guarantees the collections of the amount due. This shall be a continuing guarantee and shall not be affected by any extension of time, payment, modifications, or additions.

PRODUCT WARRANTY

ALL CHARMANT FRAMES CARRY A FIVE YEAR WARRANTY AGAINST MANUFACTURING DEFECTS.

TERMS
A 2% prompt payment discount may be taken on the full current balance due if your remittance is received by the 10th of the billing month. Discounts taken after the 10th will not be honored and charged back to the account.

Direct Accounts: Customers will be granted the privilege of Direct pricing with a minimum
opening net order of $500, and minimum net Yearly purchases of $1000. Accounts must also
maintain a current account balance. Charmant reserves the right to reevaluate each account
not meeting these requirements on a Yearly basis and to revoke such Customer’s
privilege of purchasing at direct prices.

CHARMANT USA has established a quality distribution network that actively represents and promotes
our products to the end consumer. CHARMANT USA prohibits any advertising or marketing that may
adversely diminish, detract and/or damage the value of our products. Retailers are not to advertise
deep discounts on any CHARMANT USA products as it would negatively impact the brands reputation.
If a retailer advertises our products in a manner inconsistent with our policy, CHARMANT USA may unilaterally cease its business relationship with such retailer.

Past due balances negate the entitlement of any discounts and may cause an interruption in service with orders being held. Charmant reserves the right to charge a 1.5% service charge (18% per year) on past due balances.

There will be a $40.00 charge for all returned checks. All prices are F.O.B. Morris Plains, NJ. All billing disputes must be made within seven (7) days of invoice date.

As an added convenience to our non-buying group customers, Charmant will
accept Visa, Discover, Mastercard, and American Express.

EXCHANGE POLICY
All merchandise must be in original condition accompanied by the original invoice and an authorization form signed by the Territory Sales Representative. Returns should be mailed within 2 weeks of authorization.

We reserve the right to charge a refurbishing fee for merchandise that is
returned in less than original condition or without cases.

All merchandise should be insured by you for your protection in the event of loss or damage of the shipment to Charmant . Charmant will not be responsible for returned merchandise that is lost during transit.

Only parts which are defective may be exchanged.

NO CASH/CHECK REFUNDS
Exchanges will be accepted as long as the returned style is current in the
Charmant product line.
