    DEW GALLERY — ARTIST EXHIBITION AGREEMENT, EXHIBITION 001
    DEW Beauty Company LLC, operating DEW Gallery, 2303 8th Avenue SW, Huntsville, Alabama 35805 ("DEW") and the Artist named in this form ("Artist").

    Commission: 0%. Artist receives 100% of the sale price. Buyers pay the Artist directly; DEW never handles payment. One (1) piece per Artist. Signed agreement and materials due Friday, October 16, 2026. Artwork arrival window Monday, October 12 – Friday, October 30, 2026. Installation November 2–13, 2026 (by DEW). Opening Night Saturday, November 14, 2026. Exhibition closes Sunday, February 14, 2027. Pickup / return shipping February 15–28, 2027. Artist pays for framing, shipping to and from DEW, insurance in transit, and delivery to the buyer. Artwork is displayed at the Artist's own risk, except where DEW is negligent. Art hangs in common areas only (waiting area and hallway), never in service areas. What DEW asks in return: share the show with your audience and tag DEW Gallery.

    1. WHAT THIS AGREEMENT IS
    DEW Gallery is a commission-free micro gallery inside DEW Beauty Co., a working salon and head spa in Huntsville, Alabama. Artist has been selected to exhibit one artwork in DEW Gallery — Exhibition 001. DEW takes no commission and no portion of any sale. 100% of the sale price belongs to Artist. This Agreement covers one temporary exhibition only. It does not create representation, employment, partnership, joint venture, or agency, and DEW has no ongoing obligation to Artist after the exhibition. Artist remains free to exhibit and sell other work anywhere.

    2. KEY DATES AND DELIVERY
    Signed Agreement, Exhibit A, and promotional materials due: Friday, October 16, 2026. Artwork arrival window: Monday, October 12 through Friday, October 30, 2026. Installation by DEW: November 2 through November 13, 2026. Opening Night: Saturday, November 14, 2026. Exhibition Term: November 14, 2026 through February 14, 2027. Return shipping labels due (if shipping): Monday, February 8, 2027. Pickup or return: February 15 through February 28, 2027. Artwork must be delivered to DEW Gallery, 2303 8th Avenue SW, Huntsville, Alabama 35805, within the arrival window. Artwork must not arrive before October 12, and DEW will accept Artwork only after this Agreement and Exhibit A are signed. Local Artists may hand-deliver by appointment. DEW may reasonably adjust these dates for operational needs or circumstances outside its control and will tell Artist promptly.

    3. THE ARTWORK AND OWNERSHIP
    This Agreement covers only the one Artwork described in Exhibit A (Part 2 of this form) ("Artwork"). Artist may not substitute a different piece without DEW's written approval. Artist owns the Artwork at all times until Artist sells it. Delivering it to DEW does not transfer ownership; DEW only holds and displays it as this Agreement allows. On request, DEW will confirm Artist's ownership in writing. Artist confirms that: (1) Artist owns the Artwork, or has full authority to exhibit and sell it, and no one else has a claim or lien that conflicts with this Agreement; (2) the information in Exhibit A is accurate; (3) to Artist's knowledge, the Artwork does not infringe anyone else's rights; and (4) Artist has disclosed anything about the Artwork that affects safe handling or display, such as fragility, unusual weight, or special installation needs.

    4. PRICING AND SALES
    Price. Artist sets the retail price or marks the Artwork Not For Sale ("NFS") in Exhibit A. Artist will not offer the Artwork elsewhere at a different price during the exhibition and will notify DEW before any price change. DEW cannot discount the Artwork.
    Direct sales. DEW does not sell the Artwork or handle any money. Buyers purchase directly from Artist and pay Artist directly. DEW will display Artist's purchase link or contact on the wall label, including by QR code, and may share it with interested visitors. DEW is not a party to any sale, does not vouch for any buyer, and is not responsible for payment or delivery. Artist must confirm payment before releasing the Artwork.
    When the Artwork sells. Artist will notify DEW by email or text within 48 hours of any sale, including a sale made outside DEW Gallery. DEW will mark the Artwork SOLD once Artist confirms payment in full. Sold Artwork stays on display until February 14, 2027, unless DEW agrees otherwise, and Artist must tell the buyer this before the sale. DEW may publicly share how many works sold, without naming buyers or prices.
    Artist's responsibilities as seller. Artist is responsible for any sales tax, income tax, invoicing, and sale records, and for delivering the Artwork to the buyer after the exhibition. Artist is encouraged to give buyers a bill of sale and, for original or limited-edition work, a certificate of authenticity. DEW does not give tax or legal advice.

    5. ARTIST'S COSTS
    Artist pays for everything needed to get the Artwork ready, to DEW, and back, including: Framing and hardware — the Artwork must arrive ready to hang, with D-rings and taut picture wire (no sawtooth hangers); works on paper, photographs, and textiles must be framed behind glass or acrylic; any pedestal or special display must be provided by Artist and approved by DEW in advance. Transport both ways — packaging, shipping or courier costs, and insurance in transit; reusable packaging is preferred. International shipments — customs paperwork, duties, taxes, and brokerage fees; DEW will not act as importer of record unless it agrees in writing first. Events — Artist's own travel, lodging, and meals for Opening Night or other events, unless DEW agrees in writing to cover them.

  • 6. INSTALLATION AND DISPLAY ENVIRONMENT
    DEW installs the exhibition and decides placement, lighting, labels, and overall presentation. Artist may make recommendations. DEW may decline to hang Artwork it reasonably believes cannot be displayed safely, including because of size or weight. Artist may not alter DEW's walls or property, and may not leave tools, packaging, or supplies on site without approval. DEW is a working salon and head spa, not a museum. Artwork will hang only in common areas, such as the waiting area and hallway, and never at wash, head spa, styling, or dryer stations. Common areas see ordinary indoor changes in temperature and humidity, normal foot traffic, clients, staff, and guests. Artist should not submit work that cannot handle these ordinary conditions. DEW may photograph the Artwork's condition when it arrives and when it leaves. Artist will note any existing damage or repairs in Exhibit A.

    7. CARE, RISK OF LOSS, AND INSURANCE
    DEW will use reasonable care while the Artwork is in its possession. The Artwork is displayed at Artist's own risk. DEW is not responsible for loss, theft, or damage, except to the extent caused by the negligence or willful misconduct of DEW or its employees. DEW is also not responsible for damage caused by the Artwork's own materials or framing, natural deterioration, undisclosed fragility, or the ordinary conditions described in Section 6. DEW does not insure the Artwork, and Artist should not rely on DEW's insurance. Artist is responsible for insurance in transit and is encouraged to carry fine-art coverage during the exhibition. If DEW is responsible for loss or damage, DEW's liability will not exceed the Declared Value in Exhibit A. Artist must report any claimed damage in writing within seven (7) days after getting the Artwork back.

    8. COPYRIGHT AND PROMOTION
    Artist keeps the copyright in the Artwork. Exhibiting or selling the physical piece does not transfer it. Artist gives DEW Beauty Company LLC a non-exclusive, royalty-free license to photograph and film the Artwork, and to use those images and Artist's submitted name, bio, statement, headshot, and social handles, to promote Exhibition 001, DEW Gallery, and DEW Beauty Co. This includes social media, websites, email, advertising, press, invitations, and DEW's exhibition archive. DEW may keep using images made during the exhibition after it ends. Artist confirms Artist has the right to provide these materials. DEW will credit Artist when the Artwork is featured, where practicable, and will share professional installation and Opening Night photos with Artist for Artist's own use. This license does not allow DEW to make or sell prints, merchandise, or other products using the Artwork without a separate written agreement. DEW is a public space, and visitors may photograph the Artwork. DEW cannot prevent this, and it does not give anyone the right to reproduce the Artwork commercially.

    9. SHARING THE EXHIBITION AND OPENING NIGHT
    DEW Gallery is free to artists because the exhibition is shared with as many people as possible. Artist agrees to make a good-faith effort to share Exhibition 001 with Artist's own audience, such as posting about the show and Opening Night and tagging DEW Gallery. DEW will provide images and details to make this easy. DEW may host Opening Night and other events connected to the exhibition. Artist's attendance is encouraged but not required.

    10. RETURN OF UNSOLD ARTWORK
    Artist must pick up unsold Artwork, or have it shipped back at Artist's cost, between February 15 and February 28, 2027 (or within 14 days after any earlier end date). For return shipping, Artist must send DEW a prepaid label and any needed paperwork by February 8, 2027. DEW will repack the Artwork in its original packaging where available. If Artist does not collect the Artwork on time, DEW may, after written notice, charge Artist reasonable actual storage and handling costs. DEW never becomes the owner of unclaimed Artwork.

  • 11. WITHDRAWAL, REMOVAL, AND ENDING EARLY
    By Artist. The Artwork is committed for the full exhibition. Artist may not withdraw it early without DEW's written approval. If Artist withdraws without approval, Artist may be responsible for DEW's documented, non-refundable costs spent specifically on Artist's piece.
    Removal by DEW. DEW may take the Artwork down if it becomes unsafe or damaged, its ownership or authenticity is disputed, displaying it could violate the law, or Artist materially breaches this Agreement. DEW will notify Artist where possible.
    Ending early. DEW may end the exhibition early, or end Artist's participation, with 14 days' written notice for any reason, or immediately for safety, legal, or serious misconduct concerns. Either Party may end this Agreement if the other materially breaches it and does not fix the breach after written notice. In any of these cases, Artist will collect the Artwork under Section 10, and completed sales are unaffected.
    Circumstances beyond control. Neither Party is in breach for delays caused by events outside its reasonable control, such as severe weather, fire, building damage, utility failure, public emergency, or government order. The Parties will work together on revised dates.

    12. NO GUARANTEES
    Selection for Exhibition 001 is an invitation to exhibit, nothing more. DEW does not guarantee sales, buyers, attendance, publicity, media coverage, or future exhibitions or representation.

    13. INDEMNIFICATION
    To the extent the law allows, Artist will protect DEW Beauty Company LLC and its owners and employees from third-party claims that arise directly from Artist's breach of Section 3, inaccurate information Artist provided about the Artwork, Artist's knowing infringement of someone else's rights, or Artist's sale to a buyer. This does not apply to claims caused by DEW's own negligence or misconduct.

    14. GENERAL TERMS
    Neither Party can make commitments on the other's behalf. A sale is binding only between Artist and the buyer. Notices under this Agreement may be sent by email to the addresses each Party provides. Artist will keep contact details current until the Artwork is returned. This Agreement is governed by Alabama law. Any legal proceeding will be brought in Madison County, Alabama. This Agreement and Exhibit A are the entire agreement for Exhibition 001 and replace any earlier discussions. Changes must be in writing and accepted by both Parties; email works for routine matters. If any part of this Agreement is found unenforceable, the rest still applies. This Agreement may be signed electronically, and electronic signatures count as originals.

    EXHIBIT A. Exhibit A is the artwork information Artist provides in Part 2 of this form. Declared Value is the amount Artist would accept as full compensation if the Artwork were lost or destroyed, and it is the limit of DEW's liability under Section 7.
