Rice Consulting Co. Client & Member Confidentiality Agreement (NDA)
This agreement covers all non-public business, financial, personal, operational, strategy, customer, client, pricing, marketing, and other proprietary information shared by Rice Consulting Co. or by you (the signer) during consultations, membership, or service delivery, whether spoken, written, electronic, or observed. You agree to keep this information confidential, use it only for the purpose of receiving Rice Consulting Co. services, not disclose it to others without written permission, and use reasonable care to protect it.
Exclusions: This does not apply to information that becomes public without a breach, was lawfully known before disclosure, is independently developed without using confidential information, or is lawfully received from another source without a duty of confidentiality. Disclosure required by law is allowed when legally required, and where lawful you should give prompt notice so protective measures may be considered. No transfer of ownership or license to confidential information is granted.
Term: These duties last for 3 years after the relationship ends, except trade secrets are protected for as long as they qualify as trade secrets under applicable law. South Carolina law governs. Venue and jurisdiction will be determined as permitted by applicable law. The parties intend this agreement to be binding, subject to applicable law.
