CSP Distributor Partner Application

Welcome, partner. Consolidated Supply Partners supplies truckload consumables to distributors who resell to their own customers. Our partner program is built on transparency: we protect your customers, you protect ours, and both of us grow. Please complete this application so we can review your account, set up truckload pricing, and register the accounts each of us protects. We typically review distributor applications within three to five business days.

Distributor accounts are for resale only. A valid resale certificate is required before your first order.

Standard payment for truckload orders is due before release, by ACH or wire. Terms may be extended after credit approval. A 3% processing fee applies to credit card payments.

CSP sells direct to end users in several industries and also supplies distributor partners. To protect both of us, each partner registers its protected accounts. CSP will not sell direct to accounts you register for the products you buy from us, and you agree not to sell CSP supplied brands and products to accounts on CSP's Protected Account List. When an account appears on both lists, we resolve it together using documented order history. Your registered accounts are kept confidential.

1. Resale only: Distributor is purchasing for resale to its own customers and holds valid resale permits for each ship to state. 2. Protected accounts: CSP will share its Protected Account List with Distributor. Distributor will not sell, quote, or solicit CSP supplied brands or products to accounts on that list during this agreement and for 12 months after it ends. 3. CSP's commitment: CSP will not sell direct to accounts on Distributor's registered list for the products Distributor buys from CSP, during this agreement and for 12 months after it ends. 4. Account registration: Each party registers accounts in writing. An account belongs to the party with documented orders in the prior 12 months. Conflicts are reviewed together in good faith using order history. 5. Transparency program: The parties will review registered accounts at least quarterly and promptly disclose any overlap, inquiry, or conflict involving a protected account. 6. Non-circumvention: Distributor will not use CSP's pricing, supplier names, freight terms, or other confidential information to buy the same products directly from CSP's manufacturers or suppliers, or to sell around CSP. 7. Confidentiality: Pricing, supplier and manufacturer identities, freight terms, protected account lists, and program details are confidential and may be used only to carry out this agreement. 8. Independent pricing: Each party sets its own resale prices and terms. Nothing in this agreement limits Distributor's pricing to its customers.

9. Name and brand use: Distributor will not use CSP's name or logo, or represent itself as CSP, without written permission. Private label and co-branded product require a separate written agreement. 10. No solicitation of team: Neither party will solicit the other's employees or contractors during this agreement and for 12 months after it ends. 11. Orders, freight, and claims: Orders are full truckload unless agreed in writing. Shortages and damage must be noted on the bill of lading at delivery and reported within 48 hours. Truckload orders are not returnable except for damage or error. 12. Payment: Distributor will pay on the terms approved for the account. Past due balances may place the account on hold and may be subject to finance charges. 13. Remedies: If Distributor breaches the protected account, non-circumvention, or confidentiality terms, CSP may suspend or end the partnership and its pricing, in addition to any other remedy available by law. 14. Term: This agreement runs for one year and renews automatically each year. Either party may end it with 30 days written notice. Items 2, 3, 6, 7, and 10 continue for 12 months after it ends. 15. Approval: This application does not guarantee approval. CSP may approve, deny, or end distributor status at its discretion. 16. Governing law: Nevada law governs this agreement. 17. Our commitment: CSP commits to 100/0 on every order: full accountability and zero excuses.
