1. REFERRALS
1.1 The Referring Agent works as an independent agent making referrals of potential medical tourism travellers ("Referral Patient") to the Company. The Referring Agent can’t nominate themselves as a Referral Patient, but can refer family members, friends and other people interested in going on a medical tourism trip to Thailand using the Company as their medical tourism facilitator/broker.
1.2 The Referring Agent shall use the Forms developed by the Company and made available on the
Company web site for registration of Referral Patient
2. REFERRAL COMMISSION
2.1 The Referring Agent is paid a percentage of the total referral commission generated by the Referring Agent and received by Company from the hospital in any given calendar month (see the commission split schedule below). The referral commission share paid to the Referring Agent will depend on:
• the total cost of the treatment(s) requested by the Patient
• the referral commission paid by the hospital selected by the Patient (hospital referral fee paid varies from 6.5% to 20%)
• the total referral commission generated by the Referring Agent and received by the Company in any given month
2.2 Commission Split Schedule
During the first 6 months of this agreement the Company will pay the Referring Agent 75% of all the commission generated, after this date the commission will be based on a 50/50 split of the hospital/clinic commission paid to the Company.
3. PAYMENTS
3.1 Payments of the earned referral commission share for a given month will be made to the Referring Agent by the Company within the first 5 business days during the following month.
3.2 The referral commission share will be paid into the Referring Agent’s nominated bank account or Paypal account.
3.3 Any costs associated with the transfer of money to the Referral Agent’s account is to be covered by the Referral Agent.
3.4 The Referral Agent will receive a supporting referral commission statement outlining what gross commission has been paid to TMT and the share paid to the Referral Agent. The Referral Agent agrees to be responsible for paying tax of the gross commission to local tax authorities.
4. TAXES
4.1 The Referring Agent shall comply with all obligations under tax and social security laws to the extent applicable to this Agreement.
4.2 The Referring Agent shall indemnify the Company from all tax liabilities, duties, levies, claims and penalties that may be imposed on the Referring Agent or on the Company as a result of you not complying with local tax obligations.
4.3 In particular, but without limitation to the foregoing, such taxes or duties shall include taxes, wages or other duties or withholdings (including without limitation any wage tax, social insurance premiums or employee insurance premiums) arising in the event that the relationship described in this Agreement, contrary to the intention and meaning of the parties, should be held to be an employment agreement between the Company and the Referring Agent by the Australian fiscal or social security authority or the fiscal or social security authority of any other country.
5. COMMUNICATION AND NOTICE
5.1 The Referral Agent will be notified when:
• The Referral Patient submits their contact details*) to Thailand Medical Travel
• The Referral Patient accepts a quote from Thailand Medical Travel (the information provided will only include hospital name and the total amount for the quote – for privacy reasons no
medical information will be provided)
• Thailand Medical Travel receives the total referral commission from the hospital (a copy of
the notice from the hospital with the hospitals payment date will be forwarded to the Referral Agent
as supporting documentation)
*) if the suggested referral patient in the past has already been referred to Thailand Medical Travel or contacted by Thailand Medical Travel directly then the Referral Agent will be notified of this fact and the suggested referral patient will NOT be accepted as a new Referral Patient (a suggested Referral Patient’s data will always be compared to the Referral Patient data base and the Referral Patient will be rejected if a Referral Patient with the same name, birthday and/or passport number already exist in the database), the original Referral Agent will always get paid the commission generated by this Referral Patient.
5.2 All email communications between the Referring Agent and the Company shall be via the above nominated email addresses.
6. TERMINATION OF AGREEMENT
This agreement can be terminated by both parties with a written 3 months notice.
7. AMENDMENT
This Referral Agreement can only be amended or modified by exchange of a new referral Agreement executed and signed by authorized representatives of Thailand Medical Travel and the Referral Agent. This Referral Agent Agreement supersedes all prior representations made by Thailand Medical Travel.
8. GOVERNING LAW
The validity, interpretation, and performance of this Referral Agreement shall be governed by the laws of New South Wales, Australia.
IN WITNESS WHEREOF, the parties hereto have executed this Agreement as of the day and year first above written.
