 Blue Lotus Ventures Business Capital Network Terms and Conditions

(Access to the Blue Lotus Ventures Business Capital Network is restricted to members only.  In order to obtain access to or continue using our private funding network and consulting advisory services, you must agree to and accept the terms and conditions of this Agreement. The Agreement sets out the terms and conditions under which you may utilize the Network. Please read this Agreement carefully.)

In order for Blue Lotus Ventures to consider your request for financing or funding applicants must first:

1) Complete and return our standard finders-fee service agreement and

2) Complete a preliminary online deal profile (per deal seeking financing)

In addition to the above,

• Members seeking access to members providing unsecured, high risk or equity facilities are subject to a one time "Capital Fundraising Campaign Fee." This one-time processing fee will be refunded/deducted from any commissions paid to BLV if financing is successfully provided by one of our network affiliates.
• Membership Benefits Include: 12 Months Active Membership in the Blue Lotus Ventures Business Capital Network, A Confidential Discovery Session with our CEO and CFO of the organization seeking funding, BLV Venture Profile Development, plus up to 1 hour consulting advisory services to complete your Venture Profile for making business, investor, buyer, seller, and lender introductions.
• Profiles may be reviewed and edited once created and may be updated at any time in the future for accuracy and changes of submitted deals at no additional cost. Membership for applicants seeking recourse-based, secured or serviceable debt facilities is free of charge.  If you are able to personally secure, guarantee or provide recourse for the funding amount sought, please complete the debt-based financing application.

By checking the "I AGREE" field, or by acknowledging your acceptance of the Agreement terms and conditions by any other method allowed by BlueLotusVentures.Net, or by using our Services, Member acknowledges and agrees that it has reviewed and understands the Agreement and agrees to be legally bound by all its terms and conditions. If Member does not agree or is not willing to be bound by the terms and conditions of this Agreement, please do not click on the "I AGREE" check-box, do not acknowledge Your acceptance of the Agreement terms and conditions by any other method and do not seek to obtain access to or continue using the Blue Lotus Ventures Business Capital Network.

1.    DISCLAIMER AND EPRESENTATIONS OF THE FINDER

The Finder represents and warrants to the Company that (i) it is not a member of the Financial Industry Regulatory Authority, Inc. ("FINRA"), and it is not otherwise engaged in the securities brokerage business; (ii) the Finder provides consulting advisory services and services in connection with making business, investor, buyer, seller, and lender introductions; and (iii) it is free to enter into this Agreement and the services to be provided pursuant to this Agreement are not in conflict with any other contractual or other obligation to which the Finder is bound.  The Company acknowledges that the Finder may provide financial services, introductory services, and consulting advice (of the type contemplated by this Agreement) to others and that nothing herein contained shall be construed to limit or restrict the Finder in providing financial services, introductory services, or consulting advice to others.

The FRC certifies that no certification or licensure is required by the Fundraising Consulting Industry.

For all financing requests, please submit this completed form along with:

(1) a copy of the Articles of Incorporation & By-Laws or

(2) a copy of the Partnership Agreement

(3) a copy of the Fictitious Name Filing (if applicable) and

(4) a Current Balance Sheet and Accounts Receivable and Accounts Payable Agings

For Cash-Flow Financing requests, in addition to 1,2,3 above,  please provide:

(5) a copy of the Purchase Agreement / contract (Proof of Sale)

(6) a pro-forma invoice for the next billing cycle

(7) a purchase order from the buyer to which invoices will be charged

For Matching Funds requests, in addition to 1,2,3 above, please provide:

(8) a copy of the Funding Agreement / contract

(9) Proof of Funds in-Hand (bank statement showing funds to be matched)
