Makerspace Membership Agreement
Thank you for your consideration of membership with Fredericton Makerspace Group Inc. (“MAKERSPACE”). Makerspace is established for individuals like you wishing to design and create, using tools provided by Makerspace in their facility.
When you and Makerspace sign below, you become a member of Makerspace and agree with Makerspace to the following terms and conditions:
1. Membership Overview
As a member, Makerspace licenses use of its workspace, tools, and equipment (collectively, the “TOOLS”) to you, provided you are qualified pursuant to section 4 below. Makerspace will, to the best of its ability, provide the Tools in good working order and access to the facility during its hours of operation, but makes no promise that any Tool will be available at any particular time. Makerspace may change the Tools available to you at its discretion, without consideration of how it could affect you.
Your membership fee is payable in accordance with the most current Makerspace policies and procedures which are attached to this Agreement as "FMS Membership policies" and form part of this Agreement. Makerspace reserves the right to change, add to, subtract from, or create new Makerspace Policies one or more times at its sole discretion, such changes, additions, subtractions, and new policies will be incorporated by reference into this Agreement. The most up-to-date versions (which you have a duty to read) are available at www.frederictonmakerspace.ca. Your membership continues until this Agreement is terminated under section 5 below.
This Agreement is subordinate to a lease between Makerspace and the Unity Venture Inc.., the owner of the building a portion of which Makerspace occupies. This Agreement will terminate simultaneously with the termination of Makerspace’s lease.
You will only use Makerspace Tools in accordance with Makerspace policies and procedures (e.g. shop rules, code of conduct); the Tools are shared and you must keep them neat and clean. You will not cause any damage to any Tool in any way, including unreasonable (as determined by Makerspace) wear. You will not disturb the use of i) any Tool by any other member, or ii) the building by any other of its occupants. You will only use Tools for which you are qualified, pursuant to section 4 below.
3. Qualified use of tools
Makerspace will maintain a written record of Tools that you are qualified to use (i.e. for which you have completed proper safety training as outlined in Makerspace Policies); you may access the record at any time. You will not use Tools that are not on your approved record, even if you believe you have received or in fact have received verbal approval.
4. Use at Your own risk
Access to the facility and use of any Tool is at your own free will and decision. Makerspace has no liability with respect to your access to the facility or use of any Tool, or any damage or loss resulting from such access or use. The Liability Waiver and Release attached hereto as Schedule “[A]” forms a part of this Agreement.
You are strongly encouraged to carry insurance that covers your personal equipment and safety while using the Tools at Makerspace.
Makerspace may terminate this Agreement if you:
violate any Makerspace Policy;
breach any obligations or covenants in this Agreement;
interfere with or disrespect other members’ use of the facility;
do anything to put yourself, other members, Makerspace staff, or anyone else in danger (as determined by Makerspace);
allow your membership to expire by failing to renew your membership in accordance with Makerspace Policies;
allow your membership to expire by failing to pay a membership fee that is past due within seven days of receiving written notice from Makerspace of the outstanding fee.
If this Agreement is terminated, Makerspace will not be required to refund any fees you have already paid or owe at the time of termination; all Makerspace rights or claims will survive termination of this Agreement.
You may terminate this Agreement by delivering a completed termination form (found with other Makerspace Policies) to a Makerspace representative during operating hours, up to 2 business days prior to the next membership fee due date.
6. Publicity rights
You grant Makerspace the right to photograph and videotape your materials, creations, and designs, and to use, copy, modify, publish, and distribute those photographs and videotapes in any format or for any purpose, at the sole discretion of Makerspace. That being said, if you are a business member (defined in Makerspace Policies), you may choose to have a Non-Disclosure Agreement (“NDA”) executed between yourself and Makerspace.
