This agreement is made between Thornback Gallery ("Gallery") and Charles Marburg ("Artist") on 3/11/26.
Exhibition
The Gallery agrees to exhibit artwork by the Artist in an exhibition titled [TBD] from 4/24/26 – 5/24/26 at Thornback Gallery. Artist agrees to provide original artwork for the exhibition as agreed upon by both parties. A finalized list of artworks, including title, medium, dimensions, and retail price, will be provided prior to installation.
Commission and Sales
The Gallery will retain a 40% commission on all sales generated during the exhibition period.
The Artist will receive 60% of the retail sale price.
Payment to the Artist will be made within 30 days of the Gallery receiving full payment from the collector.
All prices will be set in agreement between the Artist and Gallery and should remain consistent with the Artist’s market.
Artwork Delivery and Installation
The Artist agrees to deliver artwork to the Gallery by 4/21/26.
Unless otherwise agreed:
- The Artist is responsible for delivery and return shipping.
- All work must be professionally presented and ready to hang/install.
- The Gallery will coordinate installation and exhibition design.
Insurance and Liability
The Gallery will exercise reasonable care in handling and displaying the artwork.
Unless otherwise stated, the Artist is responsible for insuring the artwork while in transit to and from the Gallery. The Gallery will insure the artwork while it is on the premises for the duration of the exhibition.
Promotion and Marketing
The Gallery will promote the exhibition through its usual marketing channels, which may include:
Email newsletters
Social media
Press outreach
Exhibition opening or related events
The Artist agrees to provide images, biography, and artist statement for promotional purposes.
Copyright and Reproduction
The Artist retains all copyrights to the artwork.
The Artist grants the Gallery permission to reproduce images of the artwork for promotional, educational, and archival purposes related to the exhibition.
Removal of Artwork
Artwork may not be removed from the exhibition before the closing date without written consent from the Gallery.
Sold work will remain on display until the end of the exhibition unless otherwise agreed.
Unsold Work
The Artist agrees to collect unsold work within [30 days] after the exhibition closes unless other arrangements are made.
Cancellation
Either party may cancel the exhibition with written notice if circumstances prevent fulfillment of the agreement. Both parties will make reasonable efforts to minimize disruption and expenses.
Independent Contractor
The Artist is an independent contractor and not an employee of the Gallery.
Idemnification
Both the Artist and the Gallery agree to indemnify, defend, and hold harmless the other party, including their respective owners, employees, agents, and representatives, from and against any and all claims, damages, liabilities, losses, costs, and expenses, including reasonable attorney’s fees, arising out of or related to:
- Any breach of this Agreement by the indemnifying party.
- The negligent acts, omissions, or willful misconduct of the indemnifying party or its representatives.
- Any claim that the Artist’s artwork infringes upon the copyright, trademark, moral rights, or other intellectual property rights of any third party.
- The Artist represents and warrants that all artwork submitted for exhibition is the Artist’s original work and that the Artist has full authority to exhibit and sell the work.
The Gallery agrees to exercise reasonable care in the handling, installation, display, and storage of the Artist’s work while it is in the Gallery’s custody.
This document constitutes the full agreement between the Artist and the Gallery and may only be modified in writing signed by both parties.
