Cannabis Auctions Non-Compete/Non-Circumvention NONCOMPETITION PROVISION {name} hereafter referred to as the Registrant acknowledges that by attending any and all Cannabis Auctions’ events they are gaining access to proprietary knowledge which is the property of Cannabis Auctions. By attending our event the registrant specifically agrees that they are gaining information which would not be available through any other means. By making the choice to attend this event the registrant acknowledges that they can no longer host marijuana auctions of their own without unlawfully using proprietary Cannabis Auctions knowledge. By attending and participating as a wholesaler at a Cannabis Auctions event, the registrant and the business they represent has committed to only using Cannabis Auctions for any future events related to marijuana auctions under the terms and conditions listed on CannabisAuctions.com or included in our wholesaler auction agreement. The Registrant specifically agrees that for a period of 3 years after the Registrant is no longer attending events sponsored by the Cannabis Auctions, the Registrant will not engage, directly or indirectly, either as proprietor, stockholder, partner, officer, Registrant or otherwise, in the same or similar activities as were performed by the Cannabis Auctions in any State which Cannabis Auctions distributes or sells products or provides services similar to those distributed, sold, or provided by the Cannabis Auctions at any time during the 6 months preceding the Registrant's attendance of events hosted by the Cannabis Auctions. For a period of 3 years after the Registrant is no longer attending Cannabis Auctions held events, the Registrant will not, directly or indirectly, either as proprietor, stockholder, partner, officer, Registrant or otherwise, distribute, sell, offer to sell, or solicit any orders for the purchase or distribution of any products or services which are similar to those distributed, sold or provided by the Cannabis Auctions during the 6 months preceding the Registrant's attendance of a Cannabis Auctions event, to or from any person, firm or entity which was a customer of the Cannabis Auctions during the 1 year preceding such attendance.. The sole exception to this clause being the solicitation of Cannabis Auctions for the hosting of event similar to the one attended by the registrant. Registrant agrees that the violation of clauses 1 or 2 would cause immediate and irreparable harm to the Cannabis Auctions. By violating these clauses the registrant agrees to pay out a sum of $10,000 per event hosted or 10% of the gross earnings from such an event whichever is greater. Furthermore the registrant acknowledges that such a sum may not cover the extent of Cannabis Auctions damages and Cannabis Auctions has the right to pursue further damages both compensatory and punitive. NONSOLICITATION OF CUSTOMERS/CLIENTS PROVISION Registrant agrees that for 3 years after Registrant has participated and or attended events hosted Cannabis Auctions, Registrant will not directly or indirectly solicit, agree to perform or perform services of any type that the Cannabis Auctions can render ("Services") for any person or entity who paid or engaged the Cannabis Auctions for Services, or who received the benefit of the Cannabis Auctions Services, or with whom Registrant had any substantial dealing while employed by the Cannabis Auctions. However, this restriction with respect to Services applies only to those Services rendered by Registrant or an office or unit of the Cannabis Auctions in which Registrant worked or over which Registrant had supervisory authority. This restriction also applies to assisting any employer or other third party. NONSOLICITATION OF REGISTRANTS PROVISION For a period of 3 years from the date that Registrant no longer attends events held by Cannabis Auctions, Registrant shall not take any actions to assist Registrant's successor or any other entity in recruiting any other Registrant who works for or is affiliated with the Cannabis Auctions. This includes, but is not limited to: (a) identifying to such successor employer or its agents or such other entity the person or persons who have special knowledge concerning the Cannabis Auctions' processes, methods or confidential affairs; and (b) commenting to the successor employer or its agents or such other entity about the quantity of work, quality of work, special knowledge, or personal characteristics of any person who is still employed at the Cannabis Auctions. Registrant also agrees that Registrant will not provide such information set forth in (a) and (b) above to a prospective employer during interviews preceding possible employment. SUCCESSORS AND ASSIGNS PROVISION This Agreement may be assigned by the Cannabis Auctions in the event of a merger or consolidation of the Cannabis Auctions or in connection with the sale of all or substantially all of the Cannabis Auctions' business. SEVERABILITY PROVISION The covenants of this Agreement shall be severable, and if any of them is held invalid because of its duration, scope of area or activity, or any other reason, the parties agree that such covenant shall be adjusted or modified by the court to the extent necessary to cure that invalidity, and the modified covenant shall thereafter be enforceable as if originally made in this Agreement. Registrant agrees that the violation of any covenant contained in this Agreement may cause immediate and irreparable harm to Cannabis Auctions LLC, the amount of which may be difficult or impossible to estimate or determine. If Registrant violates any covenant contained in this Agreement, the Cannabis Auctions shall have the right to equitable relief by injunction or otherwise, in addition to all other rights and remedies afforded by law.
