CLIENT AGREEMENT*

This agreement serves to explain the details of a photography session with iKoniK iMages and make sure that we can meet your expectations. Please read the entire document and keep a copy for your records.

ENTIRE AGREEMENT*

This contract contains the entire understanding between iKoniK iMages and the CLIENT. It supersedes all prior and simultaneous agreements.

PRE EVENT CONSULTATION*

For Events, The Client agrees to a Pre-Event consultation in order to finalize the actual shooting times, locations. The Client will be responsible to identify people of whom specific photographs are desired. Client will provide iKoniK iMages with a list of suggested images that they desire in advance. While every attempt is made to accommodate the Client’s desired list of photos/video and create the best images possible.

MODEL RELEASE*

Upon your signature, the Client hereby grants iKoniK iMages and its legal representatives and assigns, the irrevocable and unrestricted right to use and publish photographs of the Event, its guests, attendees, and officials for editorial, trade, advertising, stock, commercial and any other purpose and in any manner and medium; to alter the same without restriction; and to copyright the same. The Client hereby releases iKoniK iMages Photography and his legal representatives and assigns from all claims and liability relating to said photos/videos.

NON-GUARANTEE*

Although every possible care will be taken to produce photos/videos of all important and special moments during the Event, the Photographer cannot place an unconditional guarantee on the above. The Photographer will not be held responsible for any ruined photos/videos due to guests’ (or any other) flashes; or any other ruined photos/videos due to any other cause in or outside of the Photographer’s control. The Photographers are equipped to handle most low-light situations. In situations where flash photography/video lights are prohibited or is deemed to be unsafe, the Client agrees to accept the Digital Images as-is, given the technical limitations of low-light photography.

ADDITIONAL SHOOTING TIME*

The Client and the Photographer agree that cooperation and punctuality by all members of the Event staff are essential. Shooting begins at the scheduled start time agreed by both parties. Should additional photography and/or travel time, that is not included in the agreed package, be requested by the Client, it will be charged out at $100 per hour, rounded to the nearest half hour.

LIMIT OF LIABILITY*

In the unlikely event of severe medical, natural, or other emergency it could be necessary to retain a different photographer. The iKoniK iMages will make every effort to secure a skilled replacement photographer. If the situation should occur and a suitable replacement is not found, responsibility and liability is limited to the return of all payments received for the Event Package. iKoniK iMages takes the utmost care with respect to exposure, transportation, and processing the photographs including using professional grade equipment and professional grade backup equipment. In the unlikely event those photos/videos have been lost, stolen, or destroyed for reasons within or beyond the Photographer’s control, the Photographer’s liability is limited to the return of all payments received for the event package. The limit of liability for a partial loss of originals shall be a prorated amount of the exposures lost.

SEVERABILITY*

If any provision of this agreement is held to be invalid or unenforceable under the law, the validity of this agreement as a whole shall not be affected, and the other provisions of the agreement shall remain in full force and effect.

COPYRIGHTS*

No RAW or unedited images will be provided. Images will be edited in a way that enhances the Client(s) through exposure, light, contrast, skin corrections and other basic editing that are essential for a great images. The photographs, digital negatives, videos or prints produced by iKoniK iMages are protected by Federal Copyright Laws (all rights reserved) and the Photographer retains the copyright to all photos and images produced. They MAY NOT be reproduced in any manner without explicit written permission by iKoniK iMages. The Client agrees to obtain written permission from iKoniK iMages prior to the Client (or its assigned agents) publishing or selling the photos/video for profit.Only purchased images will have the Logo/Watermark removed from them. Any media received free of charge will have a logo/watermark that is not authorized to be cropped, removed, or altered in any way.We do request that when sharing any of your photos/video and posting on social media (Facebook, Instagram, SNAP, etc..) you do give credit to iKoniK iMages and tag our Social Media pages.

RIGHT OF WITHDRAWAL*

The Photographer has a right to withdrawal due to non cooperation; changes of locations, facilities or times available; missed appointments; bad or returned checks, or late payments. Should the Photographer initiate the withdrawal, all fees and deposits will be returned, excepting fair market value for all services/products already provided. In case of withdrawal, $150 an hour is billed for all photography services already provided, and $150 an hour is billed for all other services, consultations, and all travel time, rounded up to the nearest half-hour. If the Photographer withdraws -- the Client will not be billed for any services in excess of their deposits (except if deposit was in form of returned checks).

PENALTY FEES AND CHARGES*

There is a $50 charge for payments returned by the bank for any reason. There will be a $50 late payment fee for any payments that are not postmarked or delivered to the Photographer by the required date.

ARBITRATION*

Any controversy or claim arising out of or relating to this contract, or the breach thereof, shall be settled by arbitration, administered in accordance with the Commercial Arbitration Rules of the American Arbitration Association, administered by a licensed Arbitrator in the jurisdiction closest to the Photographer’s office and the arbitration award may be entered for judgment in any court having jurisdiction thereof. Notwithstanding the foregoing, either party may refuse to arbitrate when the dispute is for a sum less than $200. In no event shall an award in an arbitration initiated under this clause exceed the contracted price of the controversy in dispute

TURN AROUND TIME*

For DIGITAL IMAGES you can expect to have them available for download from our 'iKoniK Virtual Gallery' WITHIN 2-3 WEEKS from your session date.If ORDERING PRINTS you can expect to have them available for proofing in our 'iKoniK Virtual Gallery' WITHIN 3-4 WEEKS from your session date.For VIDEOGRAPHY you can expect to have the first edits available WITHIN 2-3 WEEKS from the event date.Client will INSPECT AND CONFIRM THEY ARE SATISFIED with all aspects of the final product PRIOR TO ORDERING PRINT PRODUCTS from the 'iKoniK Virtual Gallery'.Videography - Client will INSPECT AND CONFIRM THEY ARE SATISFIED with all aspects of the final product PRIOR TO SIGN OFF on the final video.If for any reason client requests any changes to be made after the final product has been delivered, client will be charged 50% of the original price of the item for reproduction. iKonik iMages is not responsible for the damage of portraits after delivery to client.

RETAINER / PAYMENTS / SESSION FEES*

Upon your signature and payment, iKoniK iMages will reserve the time and date agreed upon, and will not make other reservations for that time and date. A retainer fee of 50% (of quoted price) is required to reserve your session date and time slot. This is a NON-REFUNDABLE RETAINER FEE (in event of cancellation or no show). In the event of an emergency on your part, or an act of God (fire, earthquake, severe weather, etc.) the non refundable retainer fee may be transferrable to a 1(one) time reschedule session. The OUTSTANDING BALANCE DUE ON THE DAY OF THE EVENT. The Retainer Deposit will be applied towards the remaining balance.
