TERMS and CONDITIONS1. Neither the Antiques and Garden Show of Nashville, Inc., as Lessor (hereinafter referred to as the "Show"), nor its officers, directors, agents, trustees, employees or volunteers (collectively, the "Show Persons"), nor the Music City Center shall be responsible for any injury or loss suffered by the Lessee (hereinafter referred to as "Exhibitor"), its employees, agents or property, from any cause whatsoever while said premises are being occupied under this contract or during the setting up and dismantling of displays.2. If said premises are damaged or destroyed, or if for any reason the Antiques and Garden Show of Nashville should not occur as contemplated, this contract shall be terminated and the Exhibitor shall be entitled only to the return of its deposit. Exhibitor hereby waives any and all claims for damages of any kind whatsoever based on such cancellation.3. Exhibitor is responsible for the security of its booth and contents. Although night security will be provided from January 29 to February 4, 2019 the Show assumes no responsibility or liability for the care, safety, and security of Exhibitor’s space, contents, merchandise or personnel. The Show does not provide insurance to Exhibitor. Insurance must by obtained and paid for by the Exhibitor.Exhibitor must provide proof of insurance to the Show no later than August 1, 2018. Failure to provide such proof may result in cancellation of this contract. The Exhibitor hereby relieves the Show, the Show Persons and the Music City Center from all responsibility or liability in connection with the safe keeping of Exhibitor’s property while on exhibit at the Show.4. The Show will honor requests for specific locations but we do not guarantee that all requests can be met. Booth spaces are assigned on a first-come, first-served basis to those who fully comply with the Terms and Condition of this Contract. The Show reserves the right to adjust booth placement and/or assign booth space to Exhibitor as unforeseen circumstances and/or necessity may require or dictate. 5. The Exhibitor agrees that it will hold harmless and indemnify the Show, the Show Persons and the Music City Center from any damage by reason of any injury to persons or property, in the Exhibitor’s booth or done by the Exhibitor, its representatives, or employees. The Exhibitor will defend and protect the Show, the Show Persons and the Music City Center at its own expense and cost, including attorney’s fees, against any and all such claims and demands. Neither the Show, the Show Persons, the Music City Center, nor any sub-contractors of or service providers to any of them, shall be responsible or liable for theft, fire or other damage whether negligently caused, willful or otherwise, and the Exhibitor expressly releases all such persons from any and all liabilities for all loss, injury or damage to persons or property.6. The Exhibitor agrees to abide by all of the applicable rules and regulations of the Music City Center pertaining to utilization of space in the Music City Center and to all of the Rules and Regulations that have been established by the Show and have been provided to Exhibitor as part of this Agreement. 7. All amounts due hereunder that are not paid by January 10, 2019 shall bear interest at the rate of 8% per annum until paid. The Exhibitor agrees to pay all costs of collection of any unpaid amounts, including reasonable attorneys' fees. Exhibitor agrees that any proceeding arising out of this contract may be brought in the courts of Davidson County, Tennessee, and Exhibitor consents to the exclusive jurisdiction of such courts and waives any objection it may have to venue or convenience of forum.8. The parties hereby agree to conduct all actions and transactions necessary to execute and effectuate this Agreement by electronic means.
RULES AND REGULATIONS1. The exhibition of reproductions of antiques is not permitted in the antiques retail booths of Exhibitors. The Exhibitor agrees to remove any articles that the Show deems unsuitable. Exhibitor shall correctly label and date all merchandise in its booth. Repairs or later copies of earlier styles should be noted.2. Exhibitor agrees to place protective polyethylene under all garden type displays to protect the floor and electrical outlets. Exhibitor will not nail, staple, pin or otherwise affix anything to any surface in the facility except to hard walls.3. All fire regulations must be observed by Exhibitor, particularly as to the table coverings, storage and packing materials. Failure to observe the fire regulations may result in removal of Exhibitor from the Show.4. The price of all merchandise for sale in any booth must be plainly marked. There will be no "code marking."5. No one will be permitted in the Show area of the Music City Center after the stated daily closing times for the Show or more than one hour before the stated opening times of the Show during the stated public viewing dates.6. The Exhibitor, its agents and employees shall exercise every precaution to prevent damages to the premises of the Music City Center. 7. No merchandise that is displayed in an Exhibitor’s retail space may be packed or the exhibit removed prior to the stated closing time on the last day of the Show unless the merchandise has been sold or so requested by Exhibitor and previously agreed to by an authorized representative of Show.8. Exhibitor agrees to have at least one representative in its booth during the operation hours of the Show, including the Preview Party and any other "special" events. The Show has no, and assumes no, responsibility for attending any retail space reserved by the Exhibitor.9. The Music City Center requires the use of Kendall 105 or TC1900 Carpet Tape (and NOPI floor marking tape) in the Exhibit Hall. All tape and residue marks must be removed from the Exhibit Hall floor and disposed of immediately after show. Any costs incurred by the Music City Center for tape or tape residue not removed will be charged at the prevailing rate. Any such charges will be passed on to the Exhibitor. 10. Plywood must be placed on our floor and under all items for those events that bring in mulch, dirt, rocks, bricks, sod, etc. for use as exhibit materials. These type items cannot be dumped directly on the floor without this plywood protection.11. Exhibitor is responsible for removal of all debris. Rocks, mulch, plywood and other such materials may not be put in the trash bins at the Music City Center.12. All coverings used in and around the booths, i.e. tents and burlap, must be either treated or made with fire proof material. No open flame allowed in the Music City Center.13. Lighting is dealer-supplied and may be attached to overhead support braces or front fascia on your hard walls.14. Only one business name, on the show signage and in catalog listing, is allowed per booth.15. All merchandise must stay within the perimeters of the booth including height (8' Horticulture booths/9' Antique booths) Show provides storage for empty boxes and bins ONLY. Exhibitor must keep their display within the contracted space in order to keep aisles free.16. The show is not responsible for cleaning individual booths. Please bring a broom, trash bags, etc.
If accepted we, as "Exhibitor," agree to abide by Show rules and regulations that appear above. We agree to pay in full by January 10, 2019. If the full amount is not paid by January 10, 2019, we understand that our agreement will be cancelled and any refund will be issued only if our show space has been reassigned.

Acceptance as an Exhibitor by the Show is on an annual basis. Acceptance as an exhibitor to the current or previous Shows does not guarantee acceptance to future Shows. All applications by Exhibitors will be reviewed annually by Show management.
