Following are the Terms and conditions for WristWidget® that shall apply to "Resellers" who purchase the WristWidget® wrist splint at wholesale solely for the purposes of resale to the public. 

All Resellers must provide proof of its business status by certificate, link or number. Reseller agrees that it is forbidden to sell the WristWidget® wrist splint on a wholesale basis to other retailers. WristWidget® reserves the right to terminate the account of any Reseller.

Intellectual Property

Reseller acknowledges that the patented products of WristWidget®, the name "WristWidget®," all text and graphics on the WristWidget® wrist strap website, and all photographs of WristWidget® models are the exclusive intellectual property of WristWidget®. Use of WristWidget® Intellectual Property is permitted only in relation to the sale of WristWidget® products.

WristWidget® intellectual property shall not be used to promote other products unless approved in writing by Wendy Medieros or a member of her team. If requested by WristWidget®, Reseller agrees to provide all uses of the WristWidget® intellectual property for the use of selling of the WristWidget®.  US Patent 8,398,573 B2

WRISTWIDGET® Branding

The product should always be labeled, shown, displayed as, WristWidget®
(a combined word with each word beginning with a capital W". No space)

The registration mark should appear at the end of the word: WristWidget® 
"TM" is not to be used.

Whenever the WristWidget® is plural, it is written as WristWidget® Wrist Splints. A registered singular word cannot be pluralized.

There are three approved logos that may be us

Orders/Payments

All orders made by Resellers are subject to Wendy Medieros' approval. Reseller is solely responsible for sales, all taxes, and any international fees associated with the reselling of the WristWidget® products. Orders must be paid in full before shipment.  There are no Net Terms. 

Aug 12, 2019 All purchases are non-refundable. Orders may be canceled prior to payment; paid orders cannot be canceled or refunded. 

A 3% "Non-ACH processing fee" will be added to all wholesale orders. If the order is paid by ACH, submit documentation of payment minus fee. The fee will be removed, the invoice will be adjusted and the order will be released. The fee is applied for all credit card transactions. 

Pricing Policy

Prices for the WristWidget® wrist splint are subject to change at any time without prior notice.

All products being resold cannot be listed below the current Minimum Advertised Price (MAP) of $29.00 USD unless otherwise approved in writing by Wendy Medieros.  

Reseller may NOT sell WristWidget® products on any multi-vendor e-commerce sites such as Amazon, Etsy, eBay, Mercari, Lazuda, Rakuten, Taobao, TMall, etc without explicit written authorization.   

10/25/2019 We have a zero-tolerance MSRP policy. Selling at less than the MSRP makes this agreement null and void.  Your wholesale pricing discount will be revoked. You agree to immediately remove your listing/s. 

To maintain the integrity, quality, and authenticity, of the product, only those specifically approved by Wendy Medieros, or her agents, are authorized to resell the WristWidget® wrist splint.

Shipment

Orders are usually shipped within 24-48 business hours of receipt of payment. Shipments will arrive in 5-7 business days from shipping date for domestic orders and 7-21 business days for international orders.

Sept 5 2019 - Non-US resellers are requested to arrange shipping and supply package labels. Package details will be supplied. 

Items are shipped at Reseller's expense. Expediting shipping is available. Although every shipment is insured, Reseller agrees that WristWidget® will not be responsible for any delivery loss or damage. Customer will be responsible for all Merchandise shipping and handling expenses, including (if applicable), customs clearance, import/export fees, freight risks and insurance.

Customer may be required to act as the importer of record for international shipments. Customer must notify Seller of any claimed shipping error or damage within five (5) days of receipt of Merchandise. Customer’s failure to give such notice within that five-day period shall be deemed a waiver of Customer's claim for incorrect or damaged shipments.

Products are not guaranteed to be in stock. Should an order be placed for an out of stock item, it whole order will be shipped as soon as the item is restocked. 

Termination of Terms

These terms and conditions are applicable to you after agreement and completion of this form. Any part of these terms and conditions may be terminated by WristWidget® without prior notice and for any reason.

The provisions relating to Copyrights, Trademark, Disclaimer, Limitation of Liability, Indemnification and Miscellaneous, shall survive any termination.

Reseller Relations

Reseller agrees that it shall not represent itself as having a relationship with WristWidget® other than the wholesaler supplier relationship that is defined in these terms & conditions. Furthermore, the Reseller agrees not to intentionally or unintentionally misrepresent WristWidget®, its brand, or its products.

Governing Law; Dispute Resolution

This agreement shall be governed by Hawaii law. Any dispute arising from this agreement shall first be addressed by the parties through informal dispute resolution procedures conducted in good faith.

If the parties do not resolve the dispute within thirty days of the date of the first dispute resolution meeting, the parties agree to mediate the dispute in a mutually agreed-upon place with a mutually agreed-upon mediator, the costs of which shall be borne equally by the parties.

In the event the dispute is not resolved through mediation, the dispute shall be settled by binding arbitration before a single arbitrator in or near Honolulu, HI in accordance with the rules of the American Arbitration Association, and the parties agree that judgment upon the award rendered by the arbitrator shall be entered in a court of competent jurisdiction sitting in or near Honolulu, HI.
