  • 4. Ordering

    • To place an order, you must first log into your Distributor account on EarthCalm's website. We will not accept orders via phone, email or post. 
    • You may place an order for any amount, up to $50,000. EarthCalm will not ship orders exceeding that amount. If you need to order more, place multiple orders.  
    • EarthCalm will automatically apply your 45% discount, based on the retail value of your order. Discounts will be applied only after you add the products to your cart.
    • EarthCalm offers promotional coupons to its own retail customers, which are not applicable to Distributor orders. 
    • Once you submit an order, it cannot be modified in any way. 
    • EarthCalm will email you a detailed order confirmation immediately after you place an order. Keep this as a receipt for your records. 
  • 4. Ordering

    • To place an order, you must first log into your Distributor account on EarthCalm's website. We will not accept orders via phone, email or post. 
    • You may place an order for any amount, up to $50,000. EarthCalm will not ship orders exceeding that amount. If you need to order more, place multiple orders.   
    • EarthCalm will automatically apply your discounts based on the retail value of your order. Discounts will be applied only after you add the products to your cart.
    • Orders under $10,000 will be discounted 35% off the retail value. 
    • Orders over $10,000 will be discounted 45% off the retail value.

    • Since Distributor orders are only accepted via EarthCalm’s website, which uses a safe and secure encrypted payment processing system, we are unable to view your payment information. We will never ask for that information by phone or email, and request that you never send it to us.
    • EarthCalm will accept the following forms of payment: 
      • Visa, MasterCard, American Express and Discover
      • PayPal
      • Wire Transfers (To qualify, you must be an EarthCalm Distributor for at least 1 year, with an average annual purchase history of $50,000 or more.) 
  • 5. Billing

    • You are responsible for maintaining your billing address on your Distributor account.
    • You are required to use your own personal/business form of payment on every order, including drop-shipments. We will not accept payments directly from your customers, and you are never allowed to use your customer's payment information to place an order.
    • Since Distributor orders are only accepted via EarthCalm’s website, which uses a safe and secure encrypted payment processing system, we are unable to view your payment information. We will never ask for that information by phone or email, and request that you never send it to us.

    • EarthCalm has a 6-Month Money Back Guarantee for Distributors (see below). You are responsible for shipping all returns from your customers back to us within that time. EarthCalm will not accept any returns directly from your customers. 

    6-Month Money-Back Guarantee for Distributors 

    • You may return products under our 6-Month Money-Back Guarantee for Distributors for a full refund of the purchase price, minus shipping. Products are non-refundable after 6 months.  
    • EarthCalm will ONLY accept Guarantee returns with a Return Merchandise Authorization (RMA), which you must request by logging into your account.
    • You are responsible for all shipping charges associated with sending us your Guarantee returns.
    • You are responsible for shipping Guarantee returns back to us within 6 months of the order date. If postmarked after 6 months, we will notify you via email, and you will have 30 days to claim the package, and you would then be responsible for charges to ship it back to you. Unclaimed returns will become property of EarthCalm after 30 days of notification. 

     12-Month Limited Warranty for Customers 

    • You are responsible for understanding our 12-Month Limited Warranty for Customers and you must extend it to your customers. 
    • EarthCalm has an 18-Month Limited Warranty for Distributors, and you are responsible for shipping all returns from your customers back to us within that time. EarthCalm will not accept any returns directly from your customers. 

     18-Month Limited Warranty for Distributors 

    • You may return products under our 18-Month Limited Warranty for Distributors (view terms on our website) for repair or replacement. Products are not covered under Warranty after 18 months.  
    • EarthCalm will ONLY accept Warranty returns with a Return Merchandise Authorization (RMA), which you must request by logging into your account.
    • You are responsible for all shipping charges associated with sending us your Warranty returns. 
    • You are responsible for shipping return packages within 18 months of the order date. If postmarked after 18 months, we will notify you via email, and you will have 30 days to claim the package and be responsible for charges to ship it back to you. Unclaimed returns will become property of EarthCalm after 30 days of notification. 
    • EarthCalm will ONLY pay the cost of shipping Warranty Repair/Replacement products back to you.
    • You are responsible for maintaining your inventory and sales in an organized manner, and returning all unsold products back to EarthCalm within your 6-Month Money-Back Guarantee for Distributors. If you sell products after your Guarantee expires, you will be responsible for all charges to repair or replace products, to honor the 12-Month Limited Warranty for Customers.

    • EarthCalm has an 18-Month Repair/Replacement Warranty for Distributors see below, and you are responsible for shipping all returns from your customers back to us within that time. EarthCalm will not accept any returns directly from your customers. 

     18-Month Repair/Replacement Warranty for Distributors 

    • You may return products under our 18-Month Repair/Replacement Warranty for Distributors for repair or replacement. Products are not covered under Warranty after 18 months.  
    • EarthCalm will ONLY accept Warranty returns with a Return Merchandise Authorization (RMA), which you must request by logging into your account.
    • You are responsible for all shipping charges associated with sending us your warranty returns. 
    • You are responsible for shipping warranty returns to EarthCalm within 18 months of the order date. If postmarked after 18 months, we will notify you via email, and you will have 30 days to claim the package and be responsible for charges to ship it back to you. Unclaimed returns will become property of EarthCalm after 30 days of notification. 
    • EarthCalm will ONLY pay the cost of shipping Warranty Repair/Replacement products back to you. You will be responsible for any customs fees.
    • You are responsible for maintaining your inventory and sales in an organized manner, and returning all unsold products back to EarthCalm within your 6-Month Money-Back Guarantee for Distributors. If you sell products after your Guarantee expires, you will be responsible for all charges to repair or replace products, to honor the 12-Month Warranty for Customers.
  • 8. Order Issues

    • You are responsible for examining your shipment for issues, such as missing products, missing parts, defects, etc., in a timely manner. 
    • You must contact customerservice@earthcalm.com to report any order issues within 7 days of delivery.  
    • EarthCalm will not be liable for any order issues reported after 7 days from delivery. 
  • 9. Non-Warranty Repair/Replacement

    • You may order various repair/replacement parts for non-warranty issues from our website. If you don’t see it on our website, it’s not available.
  • 10. Refunds

    • You are required to refund your customers according to the terms of EarthCalm’s 90-Day Money-Back Guarantee for Customers.
    • EarthCalm will refund distributors according to the terms of our 6-Month Money-Back Guarantee for Distributors.
    • After your RMA is approved, you can ship the product back to us. It can take up to a week to process your refund, after we receive your return. Keep in mind that your bank, credit card company or PayPal can take up to 10 more days to put that money back on your account.
    • If order was paid with a credit/debit card, the refund is issued to that credit/debit card account. 
    • If order was paid with PayPal, the refund is issued to that PayPal account. 
  • 10. Refunds

    • You are required to refund your customers according to the terms of EarthCalm’s 90-Day Money-Back Guarantee for Customers.
    • EarthCalm will refund distributors according to the terms of our 6-Month Money-Back Guarantee for Distributors.
    • After your RMA is approved, you can ship the product back to us. It can take up to a week to process your refund, after we receive your return. Keep in mind that your bank, credit card company or PayPal can take up to 10 more days to put that money back on your account.
    • If order was paid with a credit/debit card, the refund is issued to that credit/debit card account. 
    • If order was paid with PayPal, the refund is issued to that PayPal account.
    • If order was paid with wire transfer:
      • The refund may be paid with wire transfer and all fees will be deducted from your refund amount, or
      • You may request that the refund be made in the form of an EarthCalm gift certificate to avoid deductions. Simply add a note to RMA request, so we know not to send the wire transfer.

    • You are responsible for attracting your own customers. 
    • You are responsible for managing your customers’ information in a secure and ethical manner.

    • EarthCalm will post contact information for International Distributors on our website. It is important to remember that this is a privilege, and if we receive reports that you are not responding to inquiries, we will remove your contact information from there.

    12. Sales

    • You are responsible for presenting our products with a standard of excellence. 
    • You are responsible for setting all of your own resale prices.
    • You are responsible for all of your own marketing. Here are some examples of ways you might choose to advertise and sell EarthCalm products: Ecommerce website(s), Amazon, eBay, social media platforms (Facebook, Twitter, Pinterest, Google+, Adwords, etc.), news groups, discussion boards, retail outlets, PPC ads, special interest groups, flyers, business cards, signs, banners, posters, Yellow Page ads, door hangers, mailers, newsletters, blogs, magazine ads, and newspaper ads. 
    • You are responsible for advertising and selling EarthCalm products in a legal and ethical manner, whether in person, online, by phone or any other method. 
    • ‘Used’ or ‘pre-owned’ products must be labeled and advertised as such. 
    • As an authorized EarthCalm distributor, you are prohibited from selling EarthCalm products to your own distributors.
  • 13. Website(s)

    • You are required to add every single platform and website and username, where you will be selling EarthCalm products from, to your distributor agreement.
    • You are responsible for the development, operation and maintenance of your own website(s), etc. 
    • You are required to make all necessary updates to your website(s), etc., within 30 days of EarthCalm notifying you of new product, appearance, availability or any other updates. 
    • You are required to maintain content on your website(s), etc. that is never libelous or otherwise illegal. 
    • You are required to maintain content on your website(s), etc. that does not violate or infringe upon the rights of any third party, including, but not limited to, copyrights, trademarks, privacy or other personal/proprietary rights.
  • 14. Content

    • You are required to represent EarthCalm honestly and accurately. 
    • You are required to maintain content that is never unlawful, harmful, threatening, defamatory, obscene or harassing.  
    • You are required to never associate with entities that facilitate or promote illegal activities, or incorporate any materials which infringe upon, or assist others to infringe upon, any copyright, trademark or other intellectual property rights. 
    • You are required to include a disclaimer in accordance with your state/country regulations that EarthCalm products are not FDA approved and are not intended to diagnose, treat, cure or prevent any disease. 
    • You are required to indemnify and hold harmless EarthCalm, our Affiliates, and our Partners from any and all claims or causes of action arising from your improper use of any EarthCalm products and information. 
    • EarthCalm reserves the right to prosecute you to the fullest extent of the law, if any of these violations occur and affect EarthCalm, our Affiliates or Partners.

    You must contact us by email only and be sure to send all emails to the appropriate address. Keep in mind that we respond to emails in the order of which they are received.

  • 16. EarthCalm Marks

    • You are granted a non-exclusive, non-transferable, revocable right to use EarthCalm logos, trade names, trademarks and similar identifying material (collectively “EarthCalm Marks”). We reserve all EarthCalm rights granted to you, at all times. You shall retain no rights in or to EarthCalm Marks.
    • You may ONLY use EarthCalm Marks for the purpose of selling EarthCalm products.
    • You may ONLY use EarthCalm Marks to the extent that you have an active EarthCalm Distributor account.
    • You are required to keep all EarthCalm Marks in original form and never alter, modify or change EarthCalm Marks in any way, at any time, for any reason.
  • 17. Modification of Products, Pricing, Policies and Procedures

    • EarthCalm reserves the right to modify products, pricing, policies and procedures of operation at any time, for any reason, at our own discretion.
    • You are responsible for checking our website and your email for any modifications made to products, pricing, policies and procedures of operation.
  • 18. Spyware & Parasitic Software

    • If you are suspected of a relationship with any provider of spyware or parasitic software (as judged by any interference with the operation of EarthCalm’s or our Affiliates’/Partners’ websites), you may be subject to punitive actions by EarthCalm, including, but not limited to, termination of your Distributor account.
  • 19. Relationship & Distinction Between EarthCalm and Distributor

    • EarthCalm and Distributor are independent entities and shall remain as such.
    • You must never use the name “EarthCalm” or any variation of the name "EarthCalm”, our product names, or any variation of our product names, in part or in whole, as your website name, domain name, social media name or email address(es), etc.
    • You must never represent yourself, your business, your online presence, your service(s), etc., as EarthCalm, Inc.
    • You must never create or use a duplicate or mirror of EarthCalm’s website.
  • 20. EarthCalm Disclaimers

    Health

    • EarthCalm products and technologies are not FDA-approved and are not intended to diagnose, treat, cure, mitigate, or prevent any disease. Please consult your physician or health care practitioner for any questions about EMF and your health.

    Website

    • EarthCalm does not claim or guarantee that the operation of our website will be uninterrupted or error-free and we will not be liable for the consequences of any website interruptions or errors.
  • 21. Limitation of Liability

    • EarthCalm will never be liable to you for any lost profits, lost savings, or incidental, indirect, special or consequential damages, arising out of your use of, or inability to use, the product(s), or the breach of this agreement, even if advised of the possibility of such damages.
  • 22. Terms & Modification of Agreement

    • Once approved, refer to the terms of this agreement by logging into your EarthCalm account, and clicking on the Distributor Agreement link, in the footer of the website.
    • This Agreement begins when EarthCalm approves and activates your Distributor account.
    • This Agreement may be terminated by EarthCalm or Distributor via email at any time, with or without cause.
    • EarthCalm will mail you a check for your remaining account credit balance within 30 days of termination.
    • You are required to relinquish all rights in and to EarthCalm upon termination, and immediately remove all EarthCalm Marks, content, references, etc. from your website(s) and materials.
    • EarthCalm reserves the right to suspend or terminate your Distributor account without prior notice.
    • EarthCalm reserves the right to modify any of the terms and conditions contained in this agreement at any time, for any reason, at our own discretion.
  • 23. Representations and Warranties

    • You hereby represent and warrant to EarthCalm that this Distributor Agreement has been duly and validly executed and delivered by you and constitutes your legal, valid and binding obligation.
    • You hereby represent and warrant to EarthCalm that the execution, delivery and performance of this Agreement, by you, are within your legal capacity and power, and have been duly authorized by all requisite action on your part.
    • You hereby represent and warrant to EarthCalm that you require the consent or approval of no other persons, and neither violate nor constitute a default of any law, rule, regulation, order, judgment or decree to which you are subject, or which is binding on you.
  • 24. Indemnification

    • You hereby agree to indemnify, defend and hold harmless to EarthCalm, its Affiliates, Partners, Members, Officers, Owners, Employees, Agents, Successors and Assignees, from and against any and all claims, demands, losses, liabilities, damages or expenses.
  • 25. State Territory

    • This agreement will be governed by the laws of the United States and the State of California, without reference to rules governing choice of laws. Any legal action relating to this agreement must be brought in the federal or state courts located in California.
  • 26. Signature

    This is a legal agreement between EarthCalm and Distributor. By signing, you state that you have read and understand the terms set forth herein, accept the terms herein, and agree to be bound by the terms herein. Violations of any items contained in this agreement may result in immediate suspension or termination of your account.
