  • We want your onboarding experience to be smooth and informative.  To get started, we have created this step-by-step guide to ensure all required documents are on file.  Once completed and signed, you will be entered into the SKR system, where you will have access to the SKR Agent Portal.   Once there you will be able to follow the new agent “Jump Start” guide.  No worries, we are here to help you along the way.  As a reminder, contact your broker and request for the Jump Start training for new agents.

     Steps:

    1. Complete Agent Information Sheet

    2. Complete Independent Contractor Agreement including Exhibit A and Exhibit B. If you do not have any rentals, please initial stating that you do not have any rental properties.

    3. Authorization to Pay Corporation (if applicable)

    4. Authorization Agreement for ACH (Debits & Credits) or Automatic Credit Card Billing, and Affiliation Fee.

    5. Download from internet, complete and Sign IRS W-9 form for 1099 reporting.

    6. Contact your broker and schedule the Jump Start training for new agents.

  • INDEPENDENT CONTRACT AGREEMENT

    The parties to this Agreement are Seven Keys Realty LLC (SKR) hereinafter referred to as "Broker" and the undersigned hereinafter referred to as "Agent", due hereby enter into this agreement on {theDate}.

     

  • AGENT INFORMATION

  • WHEREAS, Broker and Agent are duly licensed under the laws of the State of Georgia as a real estate broker and associate broker/real estate salesperson respectively; and WHEREAS, Broker and Agent desire to work together in the real estate brokerage business in a Broker-Agent relationship as set forth in this Agreement. The terms of this agreement shall be for one year, unless terminated earlier. This agreement shall automatically extend for consecutive one-year periods in accordance with all of the terms and conditions provided herein. This Agreement may be terminated immediately by Broker or Agent. In the event this Agreement is terminated; Broker and Agent agree that any ongoing obligations hereunder shall survive the termination of this Agreement.

    1.        Agent is and shall remain licensed and in good standing pursuant to the laws of the State of Georgia. It is Agent's responsibility to confirm with the Georgia Real Estate Commission that continuing education hours and renewal fees are paid on time.

    2.        Agent agrees to work for Broker as an Independent Contractor, and not as an employee. All costs and obligations incurred by Agent in conducting his/her independent business shall be paid solely by Independent Contractor who will hold Broker harmless from any and all costs and obligations. Agent will act independently as to the management of his/her time and efforts, and will be responsible for timely payment of all of his/her own expenses, including but not limited to: industry association dues, Licensing renewals, errors and omissions insurance premium, fees and/or fines associated with FMLS and MLS for Agent's transactions.

    3.        Agent agrees to abide by all Georgia Real Estate Commission (GREC) rules or regulations, state, and federal or fair housing laws. Agent will abide by all Brokerage Policies and Procedures and Independent Contractor agreements now and/or hereafter established, updated or changed by Broker. Agent acknowledges and agrees that should conflict occur between this agreement and the Policies and Procedures Manual, then the Policies and Procedures Manual document, shall prevail. Current Policies and Procedures will always be available on the SKR Agent Portal.  It is the Agent's responsibility to review and understand the Policies and Procedures as they are constantly available. If Agent needs clarification on any item in the Policies and Procedures, it is Agent's responsibility to contact a managing Broker on staff.

    4.        Agent has chosen Seven Keys Realty LLC as Broker. Within 15 days of this contract, Agent will become and shall remain a dues-paying member of an approved local Board of REALTORS® within Georgia in which Seven Keys Realty LLC is a member.  Seven Keys Realty LLC requires membership to a local, state or National Board of REALTORS®.  Agent agrees to and understands that the word REALTOR® can be used in ANY advertising or marketing materials and can represent himself/herself as a REALTOR® on business cards or nametags. Board members may refer to any designations or awards created by NAR. You can use CRS, ABR, CCIM, Million Dollar Club logo, etc. in your marketing as you are a member of the National Associations of REAL TORS®.

    5.        Commissions shall be paid to Agent by Broker promptly after receipt and processing, less all amounts owed to Broker, and subject to Broker having a complete sales file including required paperwork signed by all parties in the transaction. Broker shall decide the amount of commission Agent will receive, if any, in the event Georgia Real Estate Commission (GREC) rules or regulations, state, federal or fair housing laws, BROKER or SKR Policies & Procedures are violated during a transaction or if the contract is falsified by the Agent.

    6.        Change of Personal Information: It is Agent's responsibility to update Broker via instructions defined in the Policy and Procedure manual, with current contact information within 24 hours of change.

    7.        Agent agrees that any rental security deposits or trust account funds shall be immediately delivered to Seven Keys Realty LLC as appropriate along with all documentation as required by the Seven Keys Realty LLC Policies and Procedures and Broker may hold deposits in an interest bearing trust account.

    8.        Agent agrees to comply with BROKER Policies and Procedures and the GREC rules to provide Broker with all complete documentation on all real estate transactions which involve Broker or in which the agent has acted in the capacity of a real estate agent/principal. This documentation includes but is not limited to copies of ALL lease agreements, listing agreements and sales contract paperwork written by Agent.

    9.        If Agent or relative of Agent holds another position in the real estate industry, Agent must disclose the position held in the Special Stipulations section of EVERY Purchase and Sale Agreement, Listing Agreement and other forms engaging Broker with a buyer or seller.

    10.      Under no circumstances shall Agent solicit or recruit Seven Keys Realty LLC agents or employees during affiliation or within 24 months after termination of affiliation. Agent agrees to pay Broker $10,000 for each violation of soliciting or recruiting Seven Keys Realty LLC agents or employees away from Broker for any reason.

    11.      All Broker legal documents, marketing materials and technology is proprietary and confidential information. Agent agrees not to allow any other person to use this material without written permission from Broker. Any document management system password is not to be distributed under any circumstances. Agent takes complete responsibility for any material that is distributed, copied or used for profit by another real estate firm due to Agent sharing personal password or through distributing proprietary information during or after affiliation with Broker. Proprietary and confidential information includes but is not limited to this Agreement, Policies and Procedures Manual, any documents, flyers and files distributed or shared by Seven Keys Realty LLC.  ANY advertising or promoting of goods and or services to Agents must have written approval from a Managing Broker on Staff. Agents agree not to distribute, share, reveal, provide or sell affiliated Agents' email addresses under any circumstances. Agent agrees to pay $10,000 to Broker for each violation stated in this paragraph.

    12.      Any and all commissions that are subject to garnishment or similar deduction through court order (i.e. child support) will be deducted according to the court order and or garnishment, etc. If payment must be deducted and monitored from commission per a governing authority, $100 per commission check is paid to Broker for the administrative time necessary. If there are any errors made by Broker and the proper amount is not deducted from the Agent's commission and paid to the governing authority, Agent agrees to pay the proper amount out of the overpayment of commission paid to Agent. Agent will be completely financially responsible for all legal, attorney and other fees charged to Broker resulting from any such advance, garnishment and/or child support payment monitoring.

    13.      Agent has not relied on any warranty or representation written, printed, orally expressed, or implied by any employee of Seven Keys Realty LLC as to their potential success in real estate.

    14.      Agent agrees to present themselves in a manner that is conducive to meeting the public and presenting a professional image.

    15.      No change or modification of this Agreement shall be valid unless in writing with changes initialed, signed and dated by all the parties hereto.

    16.      Agent permits Broker to use Agent's photograph, when taken at group functions or trainings in advertising, virtual or otherwise, training videos, or any other media without any obligation or financial compensation to Agent during or after affiliation.

    17.      Agent understands and agrees that Seven Keys Realty LLC is a home-based business and does not have a commercial office location.

    18.      For purposes of this Agreement, the term "transaction" shall be defined as the sale or lease of real property or any other agreement where a commission or fee is paid to Broker as a result of the efforts of Agent performing real estate services. Agent agrees that Broker has the right to hold and or apply any commissions owing to Agent, as may be necessary to pay for or secure any obligations of Agent hereunder. Payment is only due to Agent if the transaction closes and Broker is paid a commission or fee. Agent may designate another licensed Seven Keys Realty LLC agent to complete their real estate transactions in the event of their death. Should there be no one designated, Broker will redistribute transaction and exercise sole discretion and judgment for an equitable disbursement of any and all commissions. Sales Associate and Sales Associate's heirs and estate will indemnify and hold harmless Broker for any and all disbursement decisions whether by Broker or by designated Agent.

    19.      Mail, parcel post, overnight packages and deliveries: Agent agrees to have all mail, parcel post, overnight packages and other deliveries delivered to Agent's home or personal address. Agent authorizes Broker to destroy all mail that is delivered to Broker.

    20.    Agent acknowledges that pending transactions from a previous broker MUST BE closed at the previous broker's office. Agent agrees to be completely financially liable for commissions and all law suit expenses due to bringing pending transactions to Broker without a letter of permission from previous broker. Pending transaction is defined as a listing in negotiation or under contract and or a buyer in negotiation or under contract. A contract that has already been submitted at another brokerage (same buyer, same seller) may NOT be terminated and resubmitted with Broker.

    21.  Agent is responsible for establishing a Supra Ekey account and having the billing in the agent's name and sent directly to the agent.

    22.  Agents with less than three (3) closed sales “client” transactions (must have represented buyer and/or seller clients– any combination) or who does not exemplify a strong competency with GAMLS and FMLS systems, must begin on the NEW AGENT PLAN. New Agent commercial transactions must be approved PRIOR to working with potential prospects and require the written authorization of the Managing Broker.

    INDEPENDENT CONTRACT AGREEMENT

    EXHIBIT A

    Agent fees, error and omissions insurance and commissions on transactions are collected and disbursed per this exhibit and the BROKER/Seven Keys Realty LLC Policies and Procedures. All commission disbursements will be minus Broker fees (including all charges that are billed on your account; i.e. office fees, MLS fines, fees and/or legal garnishments. All transactions are subject to the FMLS fee currently equals (Purchase Price x .0012). This fee will be withheld from every transaction in accordance with FMLS rules. Seven Keys Realty, LLC will All carry errors & omissions insurance for all agents and the fee cost will be included in the monthly dues.

    Account Profile:  Agents are required to maintain updated account information at all times, including but not limited to accurate bank and credit card information. 

    Unpaid Balance:   There is a $50 fee for a bounced check, declined credit card and/or NSF charge for every occurrence. If Agent's payment remains unpaid, Seven Keys Realty reserves the right to restrict access from FMLS and GAMLS.

    Cohabitating Couples:  Plans start at $20.00 monthly and does not include a seperate GAMLS and CRM account, but does include E&O Insurance. There is a $75.00 one-time cost of affiliation fee.  Each Agent is required to affiliate with a Realtor Board within 30 days of affiliation with SKR. All agent transactions are subject to FMLS fees. 

    Plan Changes:  Agent understands any plan changes should be submitted by the 25th of the month prior to the next billable invoice, which occurs on the 1st of the month. Once billed the invoice cannot be changed unless due to an error. 

    Deductions:
    Broker will deduct all open invoice amounts from commission payments or from the next billable invoice.

    All charges from FMLS, GAMLS, Board of REALTORS®, etc. that Seven Keys Realty LLC incurs due to Agent's listings, actions, negligence, forgetfulness or lack of payment shall be charged to the agent in the regular billing cycle. It is the Agent's responsibility to be informed of FMLS and GAMLS responsibilities, rules, regulations and fines. Personal checks, non-attorney checks or lender checks are held for a period of 21 days to allow time to clear. Disbursement of these funds will not be disbursed until the hold period has been lifted. Checks from real estate brokerage firms will be released or held per broker discretion. Agent will be notified via email of changes in dues or fees.

    • Dues paid monthly to Broker from Agent via ACH debit from a bank account or by credit card: Invoices will be emailed by the 1st of each month and dated for the 1st; Invoices are due by the 15th of each month - ACH debits will occur on the last business day prior to the 15th of each month; the Billing Period covers the following month.  Example: Invoice Date: 3/1/2018, Billing Period: 4/1 - 4/30, Due Date: 3/15, ACH debit last business day before the 15th.  Seven Keys Realty reserves the right to restrict access to FMLS and GAMLS until Agent account becomes current, for dues not paid by the 15th of the month. 
    • Agent must pay a calendar year in advance through December 31st of the year joined and subsequently due by January 1st of each calendar year affiliated with Broker. Agent will pay for all other charges at time of receipt or purchase. 
  • INDEPENDENT CONTRACT AGREEMENT

    EXHIBIT A

    Cap of transaction fees: Transaction fees, including residential, commercial, and leases will be capped at $18,000 per calendar year per Agent or cohabitating couple. Each additional member of a team will raise the team cap by $6,000/year. Agent will still be responsible for monthly dues, E & 0 insurance, referral fees and FMLS fees. If Agent chooses to join another MLS that Seven Keys Realty LLC is not affiliated with (in ADDITION to GAMLS and FMLS), dues will be required to cover these fees. Agent does NOT have to pay the difference between actual fees paid and cap!

    Commercial: Commercial transactions include sales, leasing, land zoned commercial, commercial assemblage, consulting and development. Land that is being re-zoned to any zoning classification before closing is also considered a commercial transaction.

    Rental and Broker-to-Broker referral transactions: The transaction fee of a residential lease commission or referral commission will be $100.00 per transaction for Platinum and Gold commission plans. Transaction fees are due even when no commission is earned.

    Seven Keys Realty LLC Referrals: All clients that are referred to Agent by Seven Keys Realty LLC that results in a closed transaction will be paid on a commission split of 70% to Agent and 30% to Broker. A separate agreement with complete terms and conditions will be required prior to receiving any leads or on-site new home services.

    Flat fee listings: Agent will be paid with the total BROKER transaction fee deducted out, (Gold plan $300 and Platinum Plan $40). If property closes, Agent will pay Broker FMLS fee at closing but no later than 3 days after closing.

    Reimbursements, BPO's and Home Warranties: No fee is charged to Agent when an agent is reimbursed or issued a check in the agent’s name in accordance with a BPO and/or Home Warranty agreements as long as a check is sent directly and made payable to the Agent. No fee is charged to Agent when BPO's or Home Warranties are issued to Broker and applied to Agent's office fees. All checks received payable to Broker that do not incur a transaction fee will incur a $25.00 turn around fee when making payable to Agent. If Agent is getting paid for BPO's or other services, multiple checks turned in at the same time in one envelope shall only receive one $25 check turn around fee. Agent shall not accept money in any form made payable to Agent from a past, present or potential client for any type of service related to real estate activity or services. This is strictly prohibited by the Georgia Real Estate Commission.

    Transacting as a Principal: Agent agrees to fully disclose Agent’s GA Real Estate licensure status, disclose Agent is an Independent Contractor at Seven Keys Realty LLC.  Per the GREC, Agent must notify Broker in writing of participating in ANY real estate transaction as a principal. The only personal transactions of an Agent that do NOT have to be processed through Broker, with no transaction fees required, are properties that are not listed in ANY multiple listing services and contain the mandatory clauses below. Agent further agrees that BROKER will not be liable for any legal actions including but not limited to law suits or arbitration regarding the sale or purchase of property as a principal. If legal action occurs from any transaction that was not processed by Seven Keys Realty LLC. The Agent agrees to reimburse Seven Keys Realty LLC for ALL legal, attorney, damage fees and awards incurred. If the Broker name or logo is used on ANY documents in the transaction or written in as the broker on either side of the transaction, a transaction fee will be owed to Broker and the transaction must be processed through Broker. If Agent elects NOT to process a personal transaction through Broker, it is mandatory to include the following indemnity clauses:

    1.      All parties acknowledge that buyer/seller/landlord/tenant holds an active Real Estate License #_______________ in the state of Georgia at Seven Keys Realty LLC.

    2.      All parties acknowledge that this transaction is not being processed through Seven Keys Realty LLC and is not covered by errors and omissions insurance.

    3.      All parties agree not to sue and will hold Seven Keys Realty LLC completely harmless for any reason regarding this transaction.

     

    Deductions: Garnishment, child support, IRS or other deductions: Seven Keys Realty LLC will comply with any garnishments, child support orders, IRS levies or similar deductions. A monthly maintenance or reporting fee may be charged each and every month in accordance with garnishment laws.

    Business Brokerage: Seven Keys Realty LLC does not practice, administer or manage Business Brokerage activities, except those Agreements involving real property.

    Incorporation: If Agent is incorporated, Broker will make checks payable to your corporation provided the proper documentation is included.

    Property Management: Seven Keys Realty LLC does not practice, administer, manage or offer property management services. Referral fees may be collected from licensed Property Management firms.

    Consulting Services: Defined as residential or commercial and as described in the commission plan.

    Termination of Affiliation with Seven Keys Realty LLC: Agent agrees to complete a BROKER agent exit form upon termination with BROKER. Agent specifically agrees to fully cooperate with Broker as necessary to resolve any claims or disputes on transactions which are pending at the time, or which arise after Agent's contractual relationship with Broker terminates and Agent shall indemnify and hold BROKER harmless from all such matters. Any and all buyers and sellers that are NOT under contract shall be transferred to Agent's new affiliated broker, on Agent's behalf. Agent cannot take transactions (leases, broker to broker referrals, residential or commercial contracts, etc. under contract or awaiting response from an offer at the time of departure regardless of the commission plan while active with Seven Keys Realty LLC (i.e. Gold/Platinum Plan). Upon termination, Agent agrees to pay Broker a transaction fee of $500 on residential sales, a 5% fee on all commercial contracts with a minimum charge of $800, and a $100 transaction fee on all broker-to-broker referrals and residential leases. Agent agrees to pay outstanding balances due Broker within 30 days of termination, regardless of reason for termination. All outstanding balances not paid within 30 days will be turned over to a collection agency. If client/transaction was referred to Agent or Agent is on the New Agent Plan, Broker is due 30% of the closed transaction. Referral Commission is effective for one year after agent transfers license.

  • BEFORE an Agent enters INTO a transaction as a principal, the Agent MUST notify the Broker in WRITING. (GREC rule and regulation 520-1-11)

    Agent agrees that Seven Keys Realty LLC must receive all offers, leases and sales contracts immediately. All security deposits and paperwork must be processed per the terms of the agreement. Seven Keys Realty LLC policy is to hold all rental security deposits for licensees acting as principals as the owner/landlord. Sales Associate may transfer security deposits from previous broker by amendment stating:

    1.  All parties acknowledge that seller holds an active real estate license # ______________ in the state of Georgia at Seven Keys Realty LLC.

    2.  All parties acknowledge that Broker, Seven Keys Realty LLC is holding security deposit of $_________________ in an interest-bearing trust account and that Move in/Move out statement is correct, signed and attached to this amendment.

    In the future, Sales Associate agrees to send written notice to the Broker as instructed in the Seven Keys Realty LLC Policy and Procedures manual stating their intention of leasing their property and will provide complete address location and will follow the Policy and Procedures for Agents Owning Rental Properties. A $50.00 rental transaction fee will be charged for leases that are placed on any MLS service, advertised under the Seven Keys Realty LLC name, or written on a GAR form. Additionally, the following stipulations must be included in every lease agreement in which the agent is acting as a principal:

    1.  All parties acknowledge that seller holds an active real estate license #_____________ in the state of Georgia at Seven Keys Realty LLC.

    2.  All parties acknowledge that this transaction is not being processed through Seven Keys Realty LLC and is not covered by errors and omissions insurance.

    3.  All parties agree to hold Seven Keys Realty LLC completely harmless and not to sue Seven Keys Realty LLC for any 

     
    Upon Termination of Affiliation with Seven Keys Realty LLC: Sales Associate understands and agrees that the security deposit can only be disbursed per the terms of the contract. The contract may be amended to change the disposition of the earnest and the holder

    (Required only when commission payment is made to a Corporation, LLC, etc...)

    On July 1. 2006, the GREC changed the policy on paying Agents in the name of a corporation, LLC. etc. If you are incorporated, this form, I.R.S W-9 and Articles of Organization/Incorporation approved by the state must be turned in to receive your commissions from Seven Keys Realty LLC made payable to your corporation.
