The parties to this Agreement, Full Name listed above, (“Auditor”) and Evidence Based Birth®, LLC, a Kentucky limited liability company (“EBB”), enter this Agreement as of the date set forth on the signature page below (the “Effective Date”).
Evidence Based Birth® (EBB) has developed a Full Childbirth Class Curriculum, from now on called the “EBB Childbirth Class” offering which the EBB Instructor, “EBB Instructor,” is teaching, and which the Auditor, “Auditor,” wishes to audit:

· Depending on the audit experience that the Auditor signs up for, the EBB Childbirth Class materials may include
- In-person class sessions
- Video chat class sessions
- Online videos and resources accessible to students
Term

The Auditor will have access to the in-person class sessions and video chat sessions during a 5-week period. If the Auditor registers for the online resources, they will have access to the online resources for 7 weeks after registration.
AGREEMENT
Directive on Online Access

Access to the online content is granted solely to the Auditor who has signed this Agreement. Signing this Agreement does not grant the Auditor any additional rights to the content, including but not limited to sharing, translating, using the materials in another childbirth class, changing, or modifying the content in any way.

Directive on Materials

All materials associated with the EBB Childbirth Class shall be kept confidential by the Auditor, and the Auditor agrees not to disclose any EBB Childbirth Class materials for any purpose. The Auditor agrees not to reproduce the EBB Childbirth Class materials, or disclose specific details of the EBB Childbirth Class materials to any third party.

Directive on Auditor Privileges

Auditing the EBB Childbirth Class does not grant the Auditor the privileges, rights, or ability to teach this material or to use this material as part of any instruction provided by the Auditor whether as part of in-person instruction, printed materials, or online materials. Any such attempts by the Auditor to disseminate this information in unauthorized capacities will result in legal action.

Directive on Privacy

Student information must be kept confidential. At no point in time may the Auditor discuss any information pertaining to the students within the class with any outside party.
FULL AGREEMENT; CHOICE OF LAW

This written agreement expresses my complete understanding with respect to my rights, granted, licensed, assigned, waived and released herein, and supersedes any and all prior written and oral agreements and understandings (if any) between me and EBB. This Agreement shall be governed by the laws of the Commonwealth of Kentucky, and any disputes arising out of this Agreement for any reason shall be heard in the state or federal courts in Lexington, Fayette County, Kentucky. I acknowledge that I have read this Agreement and have had a full, fair, and reasonable opportunity to ask questions concerning its terms and to evaluate the answers given personally, or in consultation with legal counsel. I further acknowledge that I have read, understood, and agree to comply with all the requirements as stated above, and I sign this document as evidence to my full consent and agreement to such terms as my free and voluntary act. The covenants in this Agreement are perpetual and shall survive the Term of the Agreement.
