User Agreement
FOR VALUE RECEIVED, The Borrower promises to pay to Ramos at 1400 E. Wyatt Earp Blvd., Dodge City, KS 67801, or at such address as may be provided in writing to the Borrower, the Principal Sum in USD as disclosed, herein, without interest payable on the unpaid principal, beginning on the Date of First Payment.
This Note will be repaid on the agreed upon Frequency of Payments as disclosed, herein, for the Amount of Payments as disclosed, herein, until the Note is paid in full with the understanding that the final payment may be higher or lower than the set Amount of Payments. Any outstanding balances due to Ramos upon completion of the Number of Payments have been paid is due immediately, thereafter, unless otherwise disclosed, herein.
Notwithstanding anything to the contrary in this Note, if the Borrower defaults in the performance of any obligation under this Note, then Ramos may declare the Principal Sum owing and interest due under this Note at that time to be immediately due and payable.
All costs, expenses and expenditures including, and without limitation, the complete legal costs incurred by Ramos in enforcing this Note as a result of any default by the Borrower, will be added to the Principal Sum then outstanding and will immediately be paid by the Borrower. In the case of the Borrower’s default and the acceleration of the amount due by Ramos all amounts outstanding under this Note will bear interest at the rate of 18.00% per annum (or the legal maximum rate allowable by law) from the date of demand until paid in full.
This note is given to secure the payment of the purchase price of the Security as disclosed, herein.
Title to the Security will be transferred to the Borrower at execution of this Note. Ramos will retain a vendors’ lien in the Security and the Borrower grants to the Lender a security interest in the Security until this Note is paid in full. Ramos will be listed as a lender on the title of the Security whether or not Ramos elects to perfect a seller’s security interest in the Security.
If the Borrower defaults in payment as required under this Note or after demand for ten (10) days, the Security will be immediately provided to Ramos and Ramos is granted all rights of repossession as a secured party.
The failure of Ramos to require strict performance by Borrower of any provision of this Note is not a waiver for the future of any breach of the same or any other provision, herein. Provider's acceptance of late payments is not a waiver of any breach by Borrower.
If any term, covenant, condition or provision of this Note is held by a court of competent jurisdiction to be invalid, void or unenforceable, it is the parties’ intent that such provision be reduced in scope by the court only to the extend deemed necessary by that court to render the provision reasonable and enforceable and the remainder of the provision of this Note will in no way be affected, impaired or invalidated as a result, thereof.
This Note will be construed in accordance with and covered by the laws of the State of Kansas.
This Note will enure to benefit of and be binding upon the respective heirs, executors, administrators, successors and assigns of the Borrower and Ramos. The Borrower waives presentment for payment, notice of non-payment, protest and notice of protest.
This Note may be executed in one or more counterparts, each of which shall be deemed an original but all of which shall constitute one and the same document. Use of electronic signature, email, or other electronic medium shall have the same force and effect as an original signature.
YOU ACKNOWLEDGE YOU HAVE READ, UNDERSTAND AND AGREE TO BE BOUND BY ALL TERMS AND CONDITIONS OF THIS NOTE. THIS IS A BINDING LEGAL DOCUMENT. IF ANY PROVISIONS ARE NOT UNDERSTOOD, CONSULT AN ATTORNEY BEFORE SIGNING. CLIENT ACKNOWLEDGES RECEIPT OF A SIGNED COPY OF THIS AGREEMENT.
