    Professional Creative Services Agreement

    Brand Overview
    Southside Don Productions LLC is a premium commercial content studio specializing in intentional, cinematic, outcome‐driven photography and videography for businesses across the State of Illinois. This Agreement outlines the terms under which services will be provided to the Client.

    1. Parties
    This Letter of Agreement ("Agreement") is entered into between: Southside Don Productions LLC An Illinois Limited Liability Company Operating throughout the State of Illinois ("Producer") and Client The individual or organization engaging services ("Client") Together, the parties agree to the following terms.

    2. Scope of Work
    Producer agrees to provide professional photography, videography, and creative production services as outlined in the attached proposal, estimate, or project brief. Services may include:

    ● Corporate headshots
    ● Commercial photography
    ● Video production
    ● Editing and post‐production
    ● Creative direction
    ● Licensing and usage rights


    Any additional services requested outside the agreed scope require a written change order and may incur additional fees.

    3. Fees & Payment Terms
    Client agrees to pay the total project fee as outlined in the accompanying estimate or invoice.
    Payment Structure:
    ● A 50% non‐refundable retainer is required to secure project dates.
    ● Remaining balance is due upon delivery of final assets.
    ● Late payments may incur a 5% late fee every 14 days past due.

    Expenses such as travel, lodging, rentals, or specialized equipment will be billed to Client unless otherwise stated.

    4. Scheduling, Rescheduling & Cancellations
    Producer reserves specific dates and times for the Client.
    ● Cancellations within 7 days of the scheduled shoot may incur a 25% cancellation fee in addition to the non‐refundable retainer.
    ● One complimentary reschedule is allowed if requested 72 hours in advance.
    ● Weather‐related rescheduling for outdoor shoots will be handled in good faith.

    5. Deliverables & Turnaround
    Producer will deliver final edited assets in the format(s) specified in the project proposal. Typical Delivery Timelines:

    ● Photography: 3–7 business days
    ● Video: 7–21 business days, depending on scope


    Rush delivery may be available for an additional fee.

    6. Usage Rights & Licensing
    Upon full payment, Producer grants Client a non‐exclusive, perpetual license to use the delivered assets for approved purposes, including:
    ● Website
    ● Social media
    ● Internal communications
    ● Marketing materials
    ● Print collateral


    Restrictions: Client may not sell, sublicense, or transfer assets to third parties without written permission. Producer retains all copyright and intellectual property rights to original and edited work.

    7. Producer Rights
    Producer may use the work for:
    ● Portfolio display
    ● Website and social media
    ● Promotional materials
    ● Exhibitions or showcases


    If confidentiality is required, Client must request this in writing.

    8. Client Responsibilities
    Client agrees to:
    ●  Provide accurate information and necessary access
    ●  Ensure all participants consent to being photographed or filmed

    ●  Secure location permissions unless otherwise agreed


    Delays caused by Client may affect delivery timelines.

    9. Limitation of Liability
    Producer is not liable for:
    ● Circumstances beyond control (equipment failure, weather, emergencies)
    ● Loss of income, profits, or consequential damages
    ● Delays caused by Client or third parties


    Producer’s total liability is limited to the amount paid by Client under this Agreement.

    10. Termination
    Either party may terminate this Agreement with written notice. Client remains responsible for:
    ● All work completed up to termination
    ● Non‐refundable retainer
    ● Any expenses incurred

    11. Governing Law
    This Agreement is governed by the laws of the State of Illinois. Venue for any disputes shall be proper in the appropriate county based on the location of services rendered or the Client’s principal place of business.

    12. Entire Agreement
    This Agreement, along with any attached proposal or estimate, constitutes the entire understanding between the parties. Amendments must be made in writing and signed by both parties.
