The term “Conference” shall mean the 20/20 Vision for Birth Conference to be held in Anchorage, Alaska, February 20-23rd, 2020. The term “Exhibitor” shall mean any person, organization, or other entity that is approved to have an exhibit at the Conference. The term “Hotel” refers to the Sheraton in Anchorage, Alaska. These guidelines may be amended at any time by ABC in its sole reasonable discretion. ABC reserves the right to grant or deny its consent to any special requests and to apply, interpret, and enforce these rules and policies. Any point not specifically covered in these guidelines is subject to the decision of ABC, whose decision shall be final. Contract for Space: The digitally signed application for exhibit space and subsequent notice of space assignment from ABC constitutes an agreement between the exhibitor and The Alaska Birth Collective (ABC). The following rules and policies are part of the agreement. Space Assignment: Exhibit space will generally be assigned by ABC on a first come, first served basis, taking into consideration involvement in the ABC mission, the date a request is received, availability of the requested area, special needs, and compatibility of nearby exhibitors. ABC reserves the right in its sole discretion to use other assignment criteria. ABC cannot guarantee that a company exhibiting similar services or a competitor will not be located in a nearby space. ABC reserves the right to move exhibit space assignments as necessary; the exhibitor will be notified prior to relocation. Eligibility: ABC reserves the right to determine the eligibility of any company, organization, product, or service for inclusion in the exhibit space. Acceptance of a booth for the Conference does not imply ABC’s endorsement of the organization, products, or services displayed there. ABC reserves the right to require an Exhibitor to modify any Exhibit, which, in ABC’s opinion, is not in character with the Conference. ABC reserves the right to approve the Exhibitor’s display. ABC reserves the right, without recourse, to control or prohibit any exhibit or part of any exhibit, which, in ABC’s opinion, is not suitable or in keeping with the purpose or mission of the Conference or ABC. Unethical behavior or infraction of the rules on the part of the Exhibitor will subject the Exhibitor and/or their representatives to dismissal from the Conference and Exhibit Space without refund. Exhibitor Registration: Exhibit space does not include registration for the educational sessions. Exhibitors who want to attend the educational sessions must register for the conference. A 20% discount will be applied to no more than two general admission tickets (discount may not be applied to early bird registration tickets purchased in 2019). Security and Damages: The exhibit space is located in an area which members of the public may have access to. Security and 24-hour access control will not be provided. The Exhibitor is requested to remove any valuable or removable products during the overnight- hours of the Conference. ABC is not responsible for the loss of any material by or for any cause, and urges the Exhibitor to exercise normal precautions when they are not physically present at their booth. Indemnification and Hold Harmless: The Exhibitor agrees to indemnify, defend and hold ABC, its owners, directors, managers, employees, affiliates and suppliers, harmless from any and all liability, loss, claim, cause of action, and expense (including reasonable attorney’s fees) related to this Agreement, including but not limited to participating as an Exhibitor at the Conference, including any claim or demand, made by any third party due to or arising directly or indirectly out of the Exhibitor’s conduct or connection with the Conference. Payment: Full amount due on receipt. In the event any invoice is not timely paid, ABC reserves the right to immediately terminate the contract providing space to the Exhibitor. Cancellation: This contract may be cancelled by the Exhibitor by giving written notice to ABC, subject to the following fees: On or before January 1, 2020 – 50% of the exhibit fee will be refunded After January 1, 2020 – no refunds. Liability and Insurance: Neither ABC nor the venue shall provide liability insurance coverage for Exhibitors at any time during the ABC Conference on, or off, the premises of the venue of the ABC Conference. Exhibitors shall be responsible for their own liability insurance coverage, if they so choose. Force Majeure: ABC may suspend or terminate this Contract without penalty in the event the Hotel becomes unavailable, is destroyed or damaged, or if it becomes inadvisable, impractical, or impossible to hold the ABC Conference due to any event beyond the control of ABC, including but not limited to the following: emergency; act of God; act of war; or curtailment of local or national transportation. In such an event, Exhibitor hereby waives any and all damages and agrees that the sole liability of ABC shall be to refund to Exhibitor all payments made for exhibit space. Full Agreement; Choice of Law: This Agreement shall be governed by the laws of the Commonwealth of Alaska, and any disputes arising out of this Agreement for any reason shall be heard in the state or federal courts in Anchorage, AK. The Exhibitor acknowledges reading this Agreement and has had a full, fair, and reasonable opportunity to ask questions concerning its terms and to evaluate the answers given personally, or in consultation with legal counsel. By submitting an application, the Exhibitor further acknowledges reading, understanding, and agreeing to comply with all the requirements as stated above. The submission of the Exhibitor’s application is evidence of the Exhibitor’s full consent and agreement to such terms as a free and voluntary act.
