The Client agrees that he/she is responsible for all parties involved with the agreed upon photo session. If there is an individual involved in the photo session who does not agree to the terms of this agreement the Client assumes responsibility for any liability.

PRIVACY:
Wandering Dragonfly Photography is committed to respecting the privacy of her clients. No images will be shown without the permission from CLIENT as selected in this clause. Normally, Wandering Dragonfly Photography will post teasers to her Facebook page shortly after the session; will share images on social media; will update her website galleries to include session images; and will use for promotional uses online and in print.

BOOKING PROCESS:
Both an executed contract and a NON-REFUNDABLE RETAINER is required to reserve the photography services detailed in this contract. The proposed contract will expire one (1) week from the date it is prepared if the non-refundable retainer and signed contract are not received. Photography services are reserved on a first-come, first served basis. Therefore at the time the contract is signed by both parties and the non-refundable retainer is paid, Wandering Dragonfly Photography will reserve the date + time agreed upon for CLIENT } and will not make another reservation for the date + time agreed upon. For this reason, all retainers are non-refundable, even if the date + time is changed or if the CLIENT cancels this contract.

CANCELLATION/POSTPONEMENT:
Client understands that by entering into this agreement, Photographer is foregoing other photography jobs. In the event of a cancellation or postponement of the photo session/ agreement by Client, the retainers paid are non-refundable. Retainers are transferable if a date change is necessary. Forty-eight hours (48) notice of postponements or cancellations is appreciated. If it is not possible for a session to take place on a scheduled day due to weather, Photographer and Client will reschedule on an agreed date at the earliest date possible, with no additional charge. If client cancels within 24 hours, client agrees to pay full session amount. 

COOPERATION:
CLIENT agrees to cheerful cooperation and communication leading up to and at the portrait session. Wandering Dragonfly Photography does not warrant that it will provide specific images and shall not be liable if key individuals fail to appear or cooperate during the portrait session. In the event that CLIENT asks Wandering Dragonfly Photography to stop photographing for reasons including, but not limited to weather, dress malfunction, tardiness, or any situation out of her control, Wandering Dragonfly Photography shall not be liable for images not taken that would normally have been taken during that time.

ARTISTIC STYLE:
On CLIENT'S own behalf, and on behalf of the subject(s), CLIENT acknowledges that Wandering Dragonfly Photography requires and retains discretion as to how its services shall be provided (e.g. choice of poses, lighting, lenses, etc.); that CLIENT are familiar with the Photographer’s portfolio and is requesting Services with knowledge of the Photographer’s style; that Photographer’s work is constantly evolving; that Photographer’s services are of unique and artistic nature; that the images created may be different from images taken by the Photographer in the past; and that in creating the images, the Photographer shall use her personal artistic judgment to create images consistent with her personal vision of the session, which vision may be different from CLIENT and /or the Subject’s vision of the session. Accordingly, CLIENT acknowledge that the images shall not be subject to rejection on the basis of taste, esthetic criteria, or personal appearance.On CLIENT'S own behalf, and on behalf of the subject(s): CLIENT acknowledges that Wandering Dragonfly Photography requires and retains discretion as to how its services shall be provided (e.g. choice of poses, lighting, lenses, etc.); that CLIENT are familiar with the Photographer’s portfolio and is requesting Services with knowledge of the Photographer’s style; that Photographer’s work is constantly evolving; that Photographer’s services are of unique and artistic nature; that the images created may be different from images taken by the Photographer in the past; and that in creating the images, the Photographer shall use her personal artistic judgment to create images consistent with her personal vision of the session, which vision may be different from CLIENT and /or the Subject’s vision of the session. Accordingly, CLIENT acknowledge that the images shall not be subject to rejection on the basis of taste, esthetic criteria, or personal appearance..

ARCHIVAL OF IMAGES:
Wandering Dragonfly Photography deletes all RAW images upon delivery of the final JPEG files to CLIENT. Once Wandering Dragonfly Photography delivers the final JPEGs to CLIENT, CLIENT accepts all responsibility for archiving and protecting their images if digitals are purchases. Wandering Dragonfly Photography does not permanently archive image files.

CULLING + EDITING:
After the portrait session, each image is put through a careful selection process, where Wandering Dragonfly Photography selects images that meet her high standards of quality. Images with eyes closed, unflattering poses, and duplicate images are removed permanently immediately after Wandering Dragonfly Photography completes this culling process. CLIENT acknowledges that Dragonfly Photography retains complete control over the culling and editing process. Wandering Dragonfly Photography color corrects and does portrait editing on all delivered images in Adobe Photoshop.  Wandering Dragonfly Photography also retains complete control over which images are delivered in color and which images are delivered in black and white. All images that are printed through Wandering Dragonfly Photography are retouched in Adobe Photoshop at Wandering Dragonfly Photography's complete discretion. During the retouching phase for images printed through Wandering Dragonfly Photography, Wandering Dragonfly Photography will retouch any mark that will not be present in two weeks (i.e., acne). Any additional client requested edits, including but not limited to, removal of scars or birthmarks, removal of persons or things, body shaping, head swaps, etc., shall be done in no particular time limit for an additional $20 per image. 

DIGITAL IMAGE PRODUCTION TIMELINES; DOWNLOADING IMAGES FROM ONLINE GALLERY:
Wandering Dragonfly Photography shall post the High Resolution Images (3500px on the long side at 300ppi) to CLIENT'S online gallery within four to six (4-6) weeks after the session date. CLIENT shall download the file of digital images from the online gallery and will not receive a physical disc of images. CLIENT acknowledges that he/she understands how to download the images from the web onto his/her computer, and how to back up images to prevent image loss. Wandering Dragonfly Photography is not responsible for user error in downloading and saving final images.

LIMIT OF LIABILITY: We take the utmost care with respect to the exposure, retouching, and transportation of digital captures, proofs and prints. However, in the unlikely event that all the originals are lost, stolen, damaged or destroyed within or beyond Photographer’s control, Photographer’s liability is limited to the refund of all payments received, or a reshoot can be scheduled at no additional cost. The limit of liability for partial loss or damage of originals shall be a prorated amount of the total amount, based on the percentage of originals lost or damaged. In the unlikely event that Photographer is injured or becomes too ill to attend the portrait session, Photographer will make every effort to reschedule to the earliest possible date. If the situation should occur, and the portrait session must take place on the scheduled date, Photographer will make every effort to secure a replacement photographer. If the situation should occur and a suitable replacement is not found, responsibility and liability is limited to the return of all payments received.

In the unlikely event of a total photographic failure or cancellation of this contract by either party or in any other circumstance, the liability of one party to the other shall be limited to the total value of the contract. Neither party shall be liable for indirect or consequential loss.

CHANGES TO THIS AGREEMENT: There may be additional charges if changes are made to this agreement. Client may increase the period of Photographer’s service on the portrait date, provided Photographer is available during the time requested. Added expenses resulting from such change, including additional service cost, digital capture costs, and change-related retainers will be added on to the final balance and will be paid in full by Client prior to delivery of the proof book. Client may not decrease the period of Photographer’s service on the portrait date. If the period of Photographer’s service is cut short by reason of fire, casualty, death, act of God or other cause beyond the control of the parties, Photographer shall still receive the total retainers outlined in this Contract.

ENTIRE AGREEMENT: This agreement contains the entire understanding between Photographer and Client. It supersedes all prior agreements between the parties. The only way to add or change this agreement is to do so in writing, signed by all the parties. If the parties want to waive one provision of this agreement, it does not mean that any other provision is also waived. This constitutes an order for one portrait session with Wandering Dragonfly Photography by Jesica Yadon.

This contract between Wandering Dragonfly Photography and Client shall not become effective until it is signed and the initial amount due has been paid. At the time the contract takes effect, Wandering Dragonfly Photography shall reserve the date and time agreed upon, and not make any other reservations or accept any other clients for said date and time. For this reason, in the event that Client cancels the contract for any reason, all monies paid shall be retained by Wandering Dragonfly Photography in order to offset its loss of business.

The undersigned have read and understood the contract and agree to the terms and conditions in their entirety.
