KINGSMEN MEMBERSHIP AGREEMENT TERMS

By signing below, I acknowledge the following stipulations:

CLIENT ACKNOWLEDGEMENT AND ASSUMPTION OF RISK AND FULL RELAEASE FROM LIABILITY OF KINGSMEN. CLIENT ACKNOWLEDGES THESE PHYSICAL ACTIVITIES INVOLVES THE INHERENT RISK OF PHYSICAL INJURIES OR OTHER DAMAGES, INCLUDING, BUT NOT LIMITED TO, HEART ATTACKS, MUSCLE STRAINS, PULLS OR TEARS, BROKERN BONES, SHIN SPLINTS, HEAT PROSTRATION, KNEE/LOWER BACK/FOOT INJURIES AND ANY OTHER PHYSICAL ACTIVITIES. CLIENT FURTHER ACKNOWLEDGES THAT SUCH RISKS INCLUDE, BUT ARE NOT LIMITED TO, INJURIES CAUSED BY THE NEGLIGENCE OF AN INSTRUCTOR OR OTHER PERSON, DEFECTIVE OR IMPROPERLY USED EQUIPMENT, OVER-EXERTION OF A CLIENT, SLIP AND FALL BY CLIENT, OR AN UNKNOWN HEALTH PROBLEM OF CLIENT. CIENT AGREES TO ASSUME ALL RISK AND RESPONSIBILITY INVOLVED WITH PARTICIPATION IN THE PYSICAL ACTIVITIES. CLIENT AFFIRMS THAT CLIENT IS IN GOOD PHYSICAL CONDITION AND DOES NOT SUFFER FROM ANY DISABILITY THAT WOULD PREVENT OR LIMIT PARTICIPATION IN THE PHSYCIAL ACTIVITIES. CLIENT ACKNOLEDGES PARTICIPATION WILL BE PHYSICALLY AND MENTALLY CHALLENGING. AND CLIENT AGREES THAT IT IS THE RESPONSIBILITY OF CLIENT TO SEEK COMPETENT MEDICAL OR OTHER PROFESSIONAL ADVIDE, REGARDING ANY CONCERNS OR QUESTIONS INVOLVED WITH THE ABILITY OF CLIENT TO TAKE PART IN FORCE FITNESS AND PARTICIPATION IN THE PHYSICAL ACTIVITIES. CIETN AGREES TO ASSUME ALL RISK AND RESPONSIBILITY FOR NOT EXCEEDING HIS PHYSICAL LIMITS

EFT Request and authorization: Client hereby authorizes KINGSMEN or its assigns to make periodic charges of withdrawals (“EFT Authorization”) from the account used to pay the initial payment described above or the account listed below or replacement account designated by Client and accepted by KINGSMEN, for the payment of any and all fees, late charges, costs, expenses or any other monies due KINGSMEN under the terms and conditions of the Agreement.  Client understands that client is entitled to notice of all varying charges and withdrawals under the EFT, but Client waives the right to receive prior notice for charges of withdrawals made with respect to any uncollected payments or portions of the balance due described above and the corresponding service charges, both of which Client agrees are not varying charges or withdrawals. Client may change the account designated herin upon thirty (30) days written notice to and approved by KINGSMEN. Client may timely notify the financial institution in control of Client’s account to terminate Request, but such notification will constitute a default and may cause all sums under this Agreement to be due and payable immediately together with all costs of collection to extent permitted by law. KINGSMEN or its assigns reserve the right to add the following fees to the Client’s account balance should any of the following occur. Re-submit unpaid customer check – fifteen dollars. Payments received more than ten (10) days after the due date are assessed a late fee of $5.00 per payment.

IMPORTANT NOTICE: Client, on his own behalf, by signing and agreeing to partake in KINGSMEN Service and related activities, agrees to release KINGSMEN from liability due to participation. By signing the Agreement, Client acknowledges that Client has read, understood and agreed with all terms and conditions of the agreement. Client further acknowledges Client has received a filled in and complete copy of the agreement, which includes the EFT request, the release and waiver of liability, and all Additional Terms and Provisions located on the front of the Agreement. KINGSMEN has made no express of implied warranties or misrepresentations other than those expressly set forth in the agreement to induce Client to enter into the Agreement.

NOTICE: CLIENT, ON BEHALF OF CLIENT, HIS HEIRS, ASSIGNS, AND NEXT OF KIN, AGREES TO FULLY RELEASE KINGSMEN (AS WELL AS ANY OF ITS OWNERS, EMPLOYEES, OR OTHER AUTHORIZED AGENTS, INCLUDING INDEPENDENT CONTRACTORS) FROM ANY AND ALL LIABILITY, CLAIMS AND/OR LITIGATION ACTIONS THAT BUYER MAY HAVE FOR INJURIES, DISABILITY, OR DEATH OR OTHER DAMAGES OF ANY KIND, INCLUDING, BUT NOT LIMITED TO PUNITIVE DAMAGES, AIRISING OUT OF PARTICIPATION IN KINGSMEN ACTIVITIES, INCLUDING BUT NOT LIMITED TO THE PERSONAL TRAINING PROGRAMS AND THE PHYSICAL ACTIVITIES, EVEN IF CAUSED BY THE NEGLIGENCE, GROSS NEGLIGENCE, INTENTIONAL ACTS OR OMISSIONS AND/OR ANY OTHER TYPE OF FAULT OR KINGSMEN, ITS OWNERS, EMPLOYEES, OR OTHER AUTHORIZED AGENTS, INLCUDING INDEPENDENT CONTRACTORS. IN CONSIDERATION TO CLIENT FOR WAIVER BY CLIENT OF LEGAL RIGHTS AND ACCEPTANCE OF FULL RELEASE AND ALL PROVISIONS UNDER THIS AGREEMENT. BUYER ACKNOWLEGES GOOD AND VALUABLE CONSIDERATION FOR AGREEING TO ALL TERMS AND CONDITIONS OF THIS RELEASE, IN THE FORM OF KINGSMEN AGREEING TO RECUCE INITIAL CLIENT CHARGES BY THE AMOUNT SET FORTH ABOVE.

I understand that upon expiration of my membership term, this agreement will continue on a week-to-week basis and may be cancelled at any time, with talking with my Kingsmen location coach, with a minimum notice of 7 days.

I understand payments rejected for any reason will incur a rejection fee (up to $29 per rejection) and club access may be suspended during the time that membership fees are outstanding.

Using the KINGSMEN, facilities, services, or activities involves the risk of injury to you or your guest, whether you or someone else causes it. Specific risks vary from one activity to another and the risks range from minor injuries to major injuries, such as catastrophic injuries including death. In consideration of your acceptance of the benefits under this agreement, you understand and voluntarily accept this risk and agree that KINGSMEN, its officers, directors, employees, volunteers, agents and independent contractors will not be liable for any injury, including, without limitation, personal, bodily, or mental injury, economic loss or any damage to you, your spouse, guests, unborn child, or relatives resulting from the negligence of KINGSMEN, or anyone on KINGSMEN‘s behalf or anyone else whether related to exercise or not. You agree to indemnify, defend and hold KINGSMEN, harmless against any liability, damages, defense costs, including attorneys’ fees, or from any other costs incurred in connection with claims for bodily injury, wrongful death or property damage caused by your negligence or other wrongful acts or omissions. You further agree to hold harmless, defend and indemnify KINGSMEN, from all liability, damages, defense costs, including attorneys’ fees, or from any other costs incurred in connection with claims for bodily injury, wrongful death or property damage brought by you, your guests, or minors, even if KINGSMEN, was negligent. Further, you understand and acknowledge that KINGSMEN, does not manufacture fitness or other equipment at its facilities, but purchases and/or leases equipment. You understand and acknowledge that KINGSMEN, is providing recreational services and may not be held liable for defective products.

Throughout the duration of this agreement the client shall not, in any manner, represent, provide services or engage in any aspects of business that would be deemed similar in nature to the business of KINGSMEN. 

The client warrants and guarantees that throughout the duration of this agreement, completion or termination of this agreement, that he shall not directly or indirectly engage in any business that would be considered similar in nature to with KINGSMEN, its subsidiaries, and any current or former clients and/or customers. Nor shall the client solicit any client, customer, officer, staff or employee for the benefit of himself or a third party that is or may be engaged in a similar business.

The information disclosed in this document, including all designs and related materials, is the valuable property of KINGSMEN. KINGSMEN reserve all patent, copyright and other proprietary rights to this document, including all design, reproduction, use, and sales rights thereto, except to the extent said rights are expressly granted to others.

The KINGSMEN product(s) discussed in this document are warranted in accordance with the terms of the Warranty Statement accompanying each product.
