Vendor Compliance and Legal Responsibility
All vendors are solely responsible for ensuring that the products, merchandise, food items, services, and/or displays they offer for sale comply with all applicable federal, state, county, and local laws, regulations, licensing requirements, and permit requirements. Vendors are responsible for obtaining and maintaining any permits, licenses, certifications, inspections, tax registrations, or approvals required for their specific business activities.
Buffalo Events Marketplace, event organizers, staff, volunteers, sponsors, and the venue shall not be held liable for any violations of law, unauthorized sales, counterfeit merchandise, prohibited items, intellectual property infringements, tax obligations, permit violations, food safety violations, or any other legal or regulatory issues arising from a vendor's participation.
Any vendor found selling prohibited items, operating without required permits, or otherwise violating applicable laws or event policies may be required to cease sales immediately and may be removed from the event without refund at the discretion of event management.
By signing this agreement, the vendor certifies that they understand and agree to comply with all applicable laws and regulations and accept full responsibility for their participation in the event.
Registration
All vendors must be approved in advance and fully registered before the event. Booth sharing or subleasing is prohibited without written approval from Buffalo Events Marketplace.
Vendor Sales Guarantee
For qualifying events where the Vendor Sales Guarantee is offered, Buffalo Events Marketplace (“Organizer”) will provide a sales guarantee based on the Vendor’s paid vendor fee of $150.00.
If the Vendor’s total documented electronic sales made during the event are less than $150.00, the Organizer will reimburse the Vendor the difference between the Vendor’s documented qualifying sales and the $150.00 guarantee amount.
Examples:
$75 in qualifying sales = $75 reimbursement
$100 in qualifying sales = $50 reimbursement
$150 or more in qualifying sales = no reimbursement
To qualify for the Vendor Sales Guarantee, the Vendor must:
Have paid the required $150.00 vendor fee in full.
Participate in the event as agreed and remain in compliance with all vendor rules and requirements.
Provide accurate electronic documentation of sales made during the event.
Submit requested sales documentation to Buffalo Events Marketplace within 7 calendar days following the event.
Sales documentation must clearly identify sales made during the specific event for which the guarantee is being requested.
Electronic Sales Requirement:
For purposes of this guarantee, qualifying sales must be supported by electronic transaction records, including but not limited to Square, PayPal, Venmo, Cash App, Zelle, credit/debit card processing reports, or other verifiable electronic payment records. Cash sales will not be accepted as qualifying sales for purposes of the Vendor Sales Guarantee, as cash transactions cannot be independently verified by the Organizer.
The guarantee applies only to sales completed during the event. Future orders, deposits, pre-event sales, post-event sales, donations, tips, trades, or transactions unrelated to the event will not be included in the qualifying sales total.
The Organizer reserves the right to request reasonable documentation or clarification regarding reported sales before issuing any reimbursement. Any reimbursement determined to be owed will be issued after the Organizer has reviewed and verified the submitted documentation.
By participating in an event offering the Vendor Sales Guarantee, the Vendor acknowledges and agrees to the terms and documentation requirements outlined above.
Payment Policy
Full payment is required to secure vendor participation. All refunds are at the sole discretion of Buffalo Events Marketplace.
