Service Provider Service Agreement:

Sales Agreement for use of HRMATT Wellness Hub Services and Medical Liability Waiver&#13;&#10;&#13;&#10;This Sales Agreement (the "Agreement") is entered into on above date by and between HRMATT (hereinafter referred to as "HRMATT") and [Business  or Employee named as above].&#13;&#10;&#13;&#10;Services:&#13;&#10;HRMATT agrees to provide Wellness Hub services to [Employee or Business named as above] as outlined in the attached proposal or mutually agreed-upon terms. These services may include but are not limited to health, wellness and fitness digital health services hosted on an AWS Cloud-based platform powered by Patient Connect Ltd.&#13;&#10;&#13;&#10;Terms:&#13;&#10;The term of this Agreement shall commence on start date as above in Exhibit B and continue for a period of duration as above in Exhibit A, unless terminated earlier as per the terms herein.&#13;&#10;&#13;&#10;Payment:&#13;&#10;You employee or company agrees to pay HRMATT the agreed-upon fee for the services provided. Payment terms are as above in Exhibit A.&#13;&#10;&#13;&#10;Medical Liability Waiver:&#13;&#10;You or the company acknowledges that the Wellness Hub services provided by HRMATT may include activities or information related to health and wellness. You or the company agrees to release, indemnify, and hold harmless HRMATT, AWS and Patient Connect, its officers, employees, and agents from any and all liability, claims, demands, actions, or causes of action arising out of or related to any loss, damage, or injury, including death, that may be sustained by your company or its employees as a result of participating in the Wellness Hub services.&#13;&#10;&#13;&#10;Patient Connect:&#13;&#10;You or your company agrees to ensure that its employees or participants using the Wellness Hub services through Patient Connect will comply with all applicable terms and conditions set forth by HRMATT and will not engage in any unauthorized or unlawful activities.&#13;&#10;&#13;&#10;Confidentiality:&#13;&#10;Both parties agree to keep confidential any proprietary or sensitive information disclosed during the course of this agreement.&#13;&#10;&#13;&#10;Termination:&#13;&#10;Either party may terminate this Agreement with written notice if the other party breaches any material term of this Agreement.&#13;&#10;&#13;&#10;Miscellaneous:&#13;&#10;This Agreement constitutes the entire understanding between the parties and supersedes all prior negotiations, understandings, or agreements.&#13;&#10;&#13;&#10;For HRMATT:&#13;&#10;Allsha Long&#13;&#10;Title:&#13;&#10;Membership Officer&#13;&#10;E-signature verified&#13;&#10;&#13;&#10;
