LEADERS ON THE EDGE: PODCAST GUEST RELEASE
ClearEdge, LLC and Deborah Dubree, Creator and Host (hereinafter “Podcaster”)
Guest’s voice, audio recording, performance and video recording, interview or conversation with podcaster, the podcast. (hereinafter “Podcast”)
Guest hereby irrevocably consent and grant to Podcaster, their subsidiaries, affiliates, agents, successors, and assigns the right and permission to record, video, use, publish, stream live or offer for sale, or otherwise distribute any Podcast, audio, or video interview, and/or session with Podcaster. Such right and permission includes, but not limited to Guest: name, recorded voice or video, photograph or likeness, biographical information, or any materials upon or derived therefrom.
Guest understands that Podcaster may, at its sole discretion, produce presentations or publications based in whole or in part upon audio interview (or any portions thereof) and/or a video or audio recordings or photographs of said Podcast and that such media or transcripts may appear in print, online, or in any manner or media, including but not limited to promoting the Podcast or streaming audio of Podcast. Podcaster shall have the right to edit and/or transcribe Guest’s session/interview/or Podcast.
Guest has no right of approval, no claim for compensation, and no claim (including, without limitation, claims based upon defamation) arising out of or in connection with, any use, alteration, or use of any composite form hereunder.
Guest hereby releases and discharges Podcaster, together with all principals, shareholders, officers, employees, agents, successors, heirs, assigns and affiliates from any and all liability arising out of or in connection with the Podcast, the session, the making, producing, reproducing, processing, exhibiting, distributing, publishing, transmitting by any means or otherwise using the above-mentioned production.
Guest hereby warrants and represents that they have the right to enter into this agreement and to grant the rights granted to Podcaster herein. Guest agrees that during the course of the Podcast interview/or session, Guest has not violated the rights of any third parties, including but not limited to copyrights, rights of privacy, trade secrets, and non-disclosure agreements, and that in the event of any breach of any of these warranties, that Guest will defend and hold Podcaster harmless against any such claims.
This release shall be binding upon Guest and my heirs, legal representative and assigns now and in perpetuity.

Nothing contained in this Guest Release shall be construed to obligate Podcaster to use any of the rights granted or acquired by Podcaster, or to make, sell, license, distribute or otherwise exploit the Podcast or Materials whatsoever.
Guest understands and agrees that they shall receive no compensation or remuneration, now or in the future, for appearances on and participation in the Podcast.
Guest’s name and likeness may be used in advertising and promotional materials for the Podcast, by not as an endorsement of any product or service unless otherwise agreed to in a separate written agreement.
Jurisdiction – This Agreement shall be governed by and interpreted in accordance with the Laws of the State of Arizona, County of Maricopa.
