Inquirer acknowledges that certain confidential information may be provided by Franchise Analyst and its consultant Jonathan D. Anderson in connection with evaluating a potential franchise business opportunity. Inquirer agrees that any non-public information received will be treated as confidential and will not be disclosed to third parties except for the purpose of evaluating the opportunity. Inquirer may share such confidential information with professional advisors, including attorneys, accountants, lenders, or potential business partners, provided those parties agree to maintain the confidentiality of the information. Inquirer further agrees not to contact the franchisor, franchisee, employees, customers, or vendors associated with the franchise or business opportunities discussed without the prior consent and or without the direct or indirect introduction by Franchise Analyst or its consultant, and only as part of the normal due diligence process coordinated through Franchise Analyst. Inquirer agrees not to use any information to in any way circumvent Franchise Analyst or its consultants in order to directly pursue the opportunities discussed without their involvement. Inquirer understands any circumvention of Franchise Analyst is subject to a $250 penalty up to including full damages. The obligations of confidentiality contained in this agreement shall remain in effect for two (2) years from the date of acceptance.
