IT IS AGREED, subject to the following terms and conditions of this Agreement and the Event Exhibitor Application or Service Provider application, incorporated herein and made a part of this Agreement, that the exhibitor/service provider ("You" or "Your") agree to rent from Girl Scouts of Maine ("GSME") exhibit space ("Exhibit Space") at the Wicked Maine Outdoor Fest ("Event").
RENTAL AMOUNT AND EXHIBIT SPACE DIMENSIONS: The amount of rental, date due and payable, size of Exhibit Space is specified in the Exhibitor Agreement. Payment should be made online at wickedmaineoutdoorfest.com. You will be charged $50.00 in the event of a return of payment for insufficient funds.
CONTRACT FOR SPACE: Your delivery of a completed Event Exhibitor Application, full payment of rental fees and the required certificate of insurance constitutes a contract for the right to use the Exhibit Space allotted. GSME reserves the right to relocate Exhibit Space assigned to you to accommodate issues such ingress, egress, and safety.
ELIGIBLE EXHIBITS: Exhibit Space is open generally, but not limited to, those companies and organizations that provide products or services related to recreational activities and gear in the outdoor industry, or items made in Maine. GSME reserves the right to refuse Exhibit Space.
PRODUCTS AND SERVICES TO BE EXHIBITED: GSME reserves the right to compel the removal of any and all products/services not included on Your Exhibitor Agreement. GSME shall have no liability in the event that an exhibitor with a similar product/service or a competitor is located in an adjoining or nearby space.
COMPLIANCE WITH RULES AND REGULATIONS: You agree to abide with any rules and regulations which may be adopted by GSME at the Event for the best interest of the Event, and agree that GSME has the final decision in adopting any rule or regulation it deems necessary prior to or during the Event, including, but not limited to, rules and regulations which do not appear in this Agreement.
You agree to comply with State mandated guidelines for COVID-19 safety and or other mandates which may be in place at the time of the Event, including wearing of face coverings and social distancing. You assume all/sole responsibility for necessary enforcement of such mandates.
EXHIBIT SPACE REPRESENTATIVES: You and Your representatives must wear badge identification (furnished by GSME) during the Event. You must staff your booth during all open Event hours. You and Your representatives agree to abide by all terms and conditions of this Agreement.
LICENSES: Prior to the event and at Your own expense, You shall obtain all required licenses, including but not limited to any and all city, county, state or federal licenses, inspections or permits required by law of for the installation, display, exhibition, or sale items related to Your participation at the Event, including any and all insurance and or requirements relating to selling or giving away food samples or any edible matter. You assume responsibility for any food matter that is either sold or given away.
MAINE STATE SELLERS CERTIFICATE: If you are selling products, goods or services, it is Your responsibility to be properly registered and where applicable collect, report and remit all sales taxes as required by law. In order to open, You must show proof of Maine Sellers certificate or You will not be allowed to open Your Exhibit Space.
GAMES OF CHANCE: The State of Maine requires a license for all games of chance.
GIVEAWAYS: You are encouraged to offer incentives for attendees of the Event. You will provide Your own prizes and ways to promote giveaways. GSME will not be responsible for shipping or mailing prizes. You will keep prizes at Your Exhibit Space and will be responsible for delivering prize(s) to winner(s).
LOSS OR DAMAGE TO EXHIBITOR PROPERTY: GSME assumes no responsibility for loss or damage to any of Your goods, materials, or property of any kind before, during or after the Event. You are solely responsible for the protection of Your property. GSME assumes no responsibility for Your property delivered to the Event or left in any building or on the grounds after closing hours. If You wish to insure Your property, including merchandise, You must do so at Your own expense.
You assume all responsibility for losses to Your property caused by any and all means.
INSURANCE REQUIREMENTS: You are required to submit a certificate of insurance naming The Cumberland Farmers Club and Girl Scouts of Maine as additional insureds, providing a minimum of $1,000,000.00 liability. Insurance must be valid the week of the Event which will include a description of Your operation on the certificate. No exceptions.
CANCELLATION: The Event is a rain or shine event and there will be no refunds related to inclement weather of any sort under any conditions or any other circumstances. GSME shall not be liable for damages or expenses of any kind incurred by You if the Event is delayed, interrupted or not held as scheduled; and if for any reason the Event is not held.
You waive any claim for damages or compensation from GSME, and under no circumstances shall GSME be liable for incidental or consequential damages of any kind. GSME may terminate this contract for convenience at any time upon providing exhibitor five (5) days prior written notice. If You fail to comply in any respect with the terms of this Agreement, all of Your rights as an exhibitor will cease and terminate. Any payment You have made will be retained by GSME as liquidated damages for breach of contract.
AUDIO/VISUAL: Exhibits that include the operation of audio/visual or lighting equipment or the amplification or production of sound must be conducted and arranged so that the sound/light will not annoy or disturb any contiguous or adjacent exhibitors or attendees. GSME solely will determine the acceptable level of sound and light in all such instances.
SUBLETTING AND ASSIGNMENT: You may not sublet, assign or share the whole or any part of the Exhibit Space assigned unless prior to the event You obtain written authorization from an authorized representative of GSME.
FIRE REGULATIONS: If You plan to use a helium tank, it must be secured to a stationary object using a chain or duct tape securely wrapped around the tank. No flammable fluids, propane or open flame in any form are allowed unless prior to the event You obtain written authorization from an authorized representative of GSME and the local fire department.
FIREARMS/WEAPONS: No firearms or weapons of any kind are allowed in Exhibit Space or in exhibitor displays.
TRASH: You shall keep Exhibit Space free of undue accumulation of trash and use designated receptacles provided for exhibitors at the Event.
ANIMALS: No live animals may be exhibited or sold at the Event.
SMOKING: Smoking is not allowed in any of the buildings on the Cumberland Fair Grounds at any time during the Event, including set-up and breakdown. Smoking is limited to designated areas and You may not smoke in Your Exhibit Space at any time.
ALCOHOLIC BEVERAGES: You may not bring alcoholic beverages into the Event. Beer and wine are anticipated to be available at the Event, but must be consumed in the designated area and are prohibited in the Exhibit Space. You agree to follow all rules and regulations designated with regard to alcohol at the Event.
SET-UP AND TEARDOWN TIME: Exhibit Space must be set up by 9:45 a.m. EST Saturday, June 25, 2022 - NO EXCEPTIONS. Teardown of Exhibit Space may not begin until after the Event closes on Saturday, June 25, 2022 at 3 p.m. EST and must be completed by 5:00 p.m. EST Saturday, June 25, 2022. Unless otherwise agreed, You will be charged $100 for non-compliance with this provision. All transportation and storage fees shall be Your sole responsibility. Special setup needs, or size and height requirements, contact Darcy at dfoerster@gsmaine.org at least 15 days prior to setup.
PARKING: You will receive exhibitor parking passes from GSME and may park vehicles in the designated exhibitor area. No vehicles will be allowed on the grounds of the Event between the hours of 9:30 am and 3:00 pm. This rule will be strictly enforced.
TRADEMARKS: Without the express prior written consent and license of GSME, You shall not use or reproduce in any manner or on any item, including, but not limited to, on merchandise, souvenir, credentials, tickets or apparel, any of the following words, images or phrases and any similar words, images or phrases, which You agree are the sole property of GSME or Girl Scouts of the USA: GSME, GIRL SCOUTS, GIRL SCOUTS OF MAINE, GIRL SCOUTS OF MAINE LOGO; THE EVENT, THE EVENT LOGO.
PHOTOGRAPHY AND VIDEO: GSME or its agents may be taking photographs and video at the Event. Such photographs and videos shall be the property of GSME. You and Your employees and representatives consent to the taking of such photographs and videos and the publication and sale and/or license of such photographs and videos.
INDEMNIFICATION AND LIABILITY: Except to the extent caused by the negligent or wrongful act or omission of GSME, You agree that You will at all times indemnify, defend, and hold harmless GSME, its officers, directors, employees, agents, assigns, and volunteers from and against any and all losses and liabilities (including reasonable attorneys' fees) whatsoever on account of any injury to or death of any person or any loss or damage to any property, including theft, arising in any manner whatsoever from the Your use of the Exhibit Space or Your participation at the Event by You, Your employees, agents, or invitees, or arising from or in connection with any other act or omission by You, Your employees, agents, or invitees. Under no circumstances shall the parties to this Agreement be liable for any incidental, or consequential damages or loss of business.
ENTIRE AGREEMENT: This Agreement is the entire agreement between You and GSME relating to the Event and cancels and supersedes all previous agreements relating to the Event. This Agreement shall be governed by and in accordance with the laws of the State of Maine and any action shall be brought exclusively in a federal or state court in Maine. Any modification to this Agreement must be in writing and signed by you and GSME. Confirming emails are acceptable.
